HomeMy WebLinkAboutContract 45387-A6 ♦ /q CITY SECRETARY crrro� 12019 CONTRACT NO. 53$ — `rT AMENDMENT NO. 6 TO FORT WORTH CITY SECRETARY CONTRACT NO. 45387 AGREEMENT FOR ARBITRAGE REBATE COMPLIANCE SERVICES This Amendment No. 6 to Fort Worth City Secretary Contract No. 45387 ("Amendment") is made and entered into by and between the City of Fort Worth, a home rule municipal corporation of the State of Texas ("Issuer" or "City"), and Hilltop Securities Asset Management, LLC, formerly known as First Southwest Asset Management, Inc., a Delaware Corporation("First Southwest" or"Consultant"). WHEREAS, Issuer and First Southwest previously entered into an agreement for arbitrage rebate compliance services, the same being Fort Worth City Secretary Contract No. 45387 (the "Agreement"); and WHEREAS, the Agreement provided for an initial term of one year and two one year renewal options; and WHEREAS, the Agreement was subsequently renewed twice and amended three times, with each amendment extending the term for an additional one year period, those renewals and amendments being Fort Worth City Secretary Contracts 45387-A1, A2, A3,A4, and A5; and WHEREAS, the most recent amendment provided for a term that expires on July 31, 2019; and WHEREAS,the Issuer and Consultant wish to again amend the Agreement to provide an additional one year extension for continued services and to incorporate recently applicable changes in state law. NOW, THEREFORE, City and Consultant, acting herein by and through their duly authorized representatives, agree as follows: 1. That Section 7, "Effective Date of Agreement," of Fort Worth City Secretary Contract No. 45387, as previously amended, is hereby further amended and revised to provide that the Agreement shall continue in effect under the same terms and agreements until July 31, 2020, unless terminated earlier in accordance with Section 7 of the Agreement. 2. That Fort Worth City Secretary Contract No. 45387, as previously amended, is hereby further amended to add a new Section 10 to read as follows: OIFNUJ Amendment No.6—Arbitrage Rebate Compliance Services Agreement P f9ECRE A G FT WORTH,TX Compliance with Chapter 2270 10. Consultant acknowledges that in accordance with Chapter 2270 of the Texas Government Code, Issuer is prohibited from entering into a contract with a company for goods or services unless the contract contains a written verification from the company that it: (1) does not boycott Israel; and (2) will not boycott Israel during the term of the contract. The terms "boycott Israel" and "company" shall have the meanings ascribed to those terms in Section 808.001 of the Texas Government Code. By signing this Amendment, Consultant certifies that Consultant's signature provides written verification to the Issuer that Consultant and any wholly owned subsidiary, majority-owned subsidiary, parent company, or affiliate of Consultant(1) do not boycott Israel; and(2) will not boycott Israel during the term of the Agreement, as amended and extended. 3. All other provisions of the Agreement, as amended, that are not expressly amended herein shall remain in full force and effect.
