o� SECOND AMENDMENT TO CITY SECRETARY CONTRACT NO. 47211
A CONDITIONAL SALE AGREEMENT BETWEEN THE CITY OF FORT WORTH
AND YAMAHA MOTOR CORPORATION, U.S.A.
This SECOND AMENDMENT TO CITY SECRETARY CONTRACT NUMBER
47211 ("Second Amendment") is made and entered into by and between the CITY OF FORT
WORTH ("City"), a home-rule municipal corporation of the State of Texas, acting by and
through its duly authorized Assistant City Manager, and YAMAHA MOTOR
CORPORATION, U.S.A. ("Seller"), a California corporation authorized to conduct business in
the State of Texas,acting by and through its duly authorized representative.
WHEREAS,the City and Seller entered into a conditional sale agreement for golf, utility
and beverage carts, City Secretary Contract Number 47211 ("Agreement");
WHEREAS,the Agreement was previously amended to correct Equipment Schedule No.
112599 (City Secretary Contract Number 47211-A1);
WHEREAS, the City and Seller have agreed that the City can return to Seller twenty-
eight golf carts that are the subject of the Agreement as a result of the City's plan to close the
Sycamore Creek Golf Course;
NOW,THEREFORE,the City and Seller agree to amend the Agreement as follows:

The Addendum to the Agreement is amended to add Subsection 11, which shall be and
read as follows:
11. Return of Equipment: City shall be allowed to return to Seller twenty-eight YDRA
used golf carts that are the subject of Equipment Scheduled No. 112599 due to the
closure of Sycamore Creek Golf Course. Seller shall take possession of the twenty-eight
golf carts at the Sycamore Creek Golf Course no later than October 4, 2019
and provide City with a receipt at the time Seller takes possession. Seller shall be
responsible for all costs associated with removing the twenty-eight golf carts from the
City's property and transporting to Seller's property. City liability for the twenty-eight
golf carts, including any payment obligations under the Agreement, shall terminate upon
Seller taking possession of the twenty-eight golf carts.
II.
Effective October 28, 2019 Equipment Schedule No. 112599 of the Agreement is
amended to be and read as set forth in Exhibit "A" of this Second Amendment.

III.
1. All other terms and conditions of the Agreement shall remain in full force and
effect except as specifically set forth in this Second Amendment.
2. All terms of this Second Amendment that are capitalized but not defined shall
have the meanings assigned to them in the Agreement.
