This Amendment No. 4 (the "Fourth Amendment") is entered into by and between the
City of Fort Worth(hereafter "City"), a Home Rule municipal corporation organized under the
laws of the State of Texas, with its principal place of business at 200 Texas Street, Fort Worth,
Texas, and SENTINEL-THE ALARM COMPANY(hereafter"Vendor").
WHEREAS, on January 15, 2013,the Fort Worth City Council approved entering into a
Sole Source Purchase Agreement with Vendor for maintenance,repair, software updates and
installation of physical security surveillance, access and intrusion equipment(M&C P-114 71)
for an annual amount up to $925,000 (the"Agreement"); and
WHEREAS, on December 5, 2017, the Fort Worth Mayor and City Council amended the
Agreement to extend the term of the Agreement and increase the amount up to $1,605,000 to
continue services while the City sought to procure new services (M&C P-12142); and
WHEREAS,on June 26, 2018, the Fort Worth Mayor and City Council amended the
Sole Source Purchase Agreement to extend the term of the Agreement and increase the amount
up to $2,705,000.00,to continue services while the City sought to procure new services (M&C
P-12211);
WHEREAS, on January 14, 2019,the Fort Worth Mayor and City Council amended the
Sole Source Purchase Agreement to extend the term of the Agreement and increase the amount
up to$3,705,000.00, to continue services while the City sought to procure new services (M&C
P-12283);
WHEREAS, the City and Vendor desire to amend the Agreement to extend the term.
NOW, THEREFORE, City and Vendor, acting herein by the through their duly
authorized representatives, enter into the following Fourth Amendment:
1. The Term of the Agreement is hereby extended until September 30, 2020.
2. The Software Maintenance Agreement(SMA) associated with the Agreement that
grants City access to the Bosch Security Systems -Building Integration System(BIS) shall
hereby be extended until August 17, 2020 once Sentinel the alarm company receives payment
for the SMA's from the City in the amount of$47,367.21, which consists of$31,578.14 for the
2 prior years SMA's, (August 16, 2017-August 17,2018 &August 16, 2018-August 17,2019),
and$15,789.07 for the current year SMA, (August 16 2019-August 17, 2020). Furthermore,the
City, at its choosing, may extend the SMA until September 30,2020, by purchasing from
Sentinel an additional SMA prior to August 17, 2020.

3. All other provisions of the Agreement, which are not expressly amended herein
shall remain in full force and effect.
4. This Fourth Amendment may be executed in multiple counterparts, each of which
shall be an original and all of which shall constitute one and the same instrument. A facsimile
copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall
have the same effect as an original.
