G A NON-EXCLUSIVE ATM LICENSE AGREEMENT
THIS SECOND RENEWAL OF FORT WORTH SECRETARY CONTRACT NUMBER
7421,as amended,("Second Renewal")is made and entered into by and between the City of Fort Worth
("Licensor"), a home-rule municipal corporation acting by and through its duly authorized Assistant City
Manager, and Fort Worth City Credit Union("Licensee"), a credit union chartered by the State of Texas,
acting by and through its duly authorized representative. The Licensor and Licensee may be referred to
herein individually as a Party, or collectively as the Parties.
WHEREAS,the Licensor and Licensee are parties to an a license agreement whereby the Licensee
has been granted a non-exclusive license to install,operate, and maintain ATMs in certain locations within
the Fort Worth Convention Center,the same being City Secretary Contract("CSC")Number 47421;
WHEREAS,the Agreement provides for an initial term of two years, which ended on November
30, 2017;
WHEREAS, the parties amended the Agreement to allow for two optional two-year renewal
periods instead of three additional one-year renewal periods and extended it through November 30, 2019,
the same being CSC No. 47421- R1A1 (CSC Nos. 47421 and 47421-RIA1 are collectively referred to
herein as the"Agreement);
WHEREAS, the Licensor desires to exercise the second and final renewal term of two years,
effective beginning on December 1,2019 and expiring on November 30, 2021;
NOW, THEREFORE, the Parties agree to renew and extend the Agreement for the second and
final renewal term as follows:
1. The Parties agree to renew and extend the Agreement for a second renewal term of two years,
effective beginning December 1,2019 and expiring on November 30, 2021.
2. All terms and conditions of the Agreement that are not expressly amended pursuant to this
Second Renewal will remain in full force and effect.
3. All terms in this Second Renewal that are capitalized but not defined have the meanings
assigned to them in the Agreement.
IN WITNESS WHEREOF, the parties hereto have executed this Second Renewal in multiples in
Fort Worth,Tarrant County,Texas.
