Q cr FIRST AMENDMENT TO FORT WORTH CITY SECRETARY CONTRACT NO. 49046 This first Amendment to Fort Worth City Secretary Contract No. 49046 ("first Amendment") is made between the City of Fort Worth ("Fort Worth"), a municipal corporation and Praetorian Group d/b/a LocalGov Academy a Texas corporation, ("Vendor"). WHEREAS, Fort Worth and Vendor entered into an Agreement identified as Fort Worth City Secretary Contract No. 49046 beginning May 4, 2017 (the "Agreement"); and WHEREAS, it is the collective desire of both Fort Worth and Vendor to amend the Agreement to add additional services. NOW THEREFORE, known by all these present,Fort Worth and Vendor, acting herein by the through their duly authorized representatives, agree to the following terms, which amend the Agreement as follows: 1. The Agreement is hereby amended by adding Exhibit A, attached to this first Amendment, as an additional page to Exhibit A of the Agreement. 2. The following sections of the Agreement are hereby replaced in their entirety with the following: a. Term. The Agreement shall become effective upon the signing of the Agreement by an Assistant City Manager of the City (the"Effective Date")and shall expire one year after the Effective Date (the Expiration Date"), unless terminated earlier in accordance with the provisions of the Agreement or otherwise extended by the parties. The Agreement will automatically renew annually for five (5) years with a two (2) one-1 year optional renewals. b. Compensation. The City shall pay Vendor $99,990.00 for the initial Term of this agreement for implementation as well as all ongoing services,maintenance, training and support services. The City will also pay Vendor an amount not to exceed $99,990.00 during each Renewal Term for continued subscription, maintenance, training, and support services. Vendor shall not perform any additional services for the City not specified by this Agreement unless the City requests and approves in writing the additional costs for such services.The City shall not be liable for any additional expenses of Vendor not specified by this Agreement unless the City first approves such expenses in writing. 3. All other terms,provisions,conditions,covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect. WORTH, rX First Amendment to Fort Worth City Secretary Contract No.49046 Page 2 of 3 EXHIBIT A SCOPE OF WORK The LocalGov Academy (a Praetorian Digital Company) has partnered with the City to provide an online training academy, known as "Fire Rescue 1 Academy," to provide City employees training resources and capabilities to access this training content in an online format. The training resources offered will consist of an array of topics ranging from HR and Safety, and will include courses approved for continued education credit.
