SOLE SOURCE PURCHASE VENDOR AGREEMENT
This Amendment is entered into by and between the City of Fort Worth (hereafter
"City"), a Texas home rule municipal corporation, acting by and through its duly authorized
Assistant City Manager, and Horizon Lab Systems, LLC (f/k/a Chemware, LLC) (hereafter
"Vendor"), a corporation acting by and through Eric Dingfelder, its duly authorized General
Manager, each individually referred to as a"party" and collectively referred to as the "parties."
WHEREAS, the parties have previously entered into City of Fort Worth Sole Source
Contract No. SS 18-00418971 (the "Contract"), with an effective date of May 1, 2018; and
WHEREAS, the Contract involves services related to the provision of laboratory
information management systems; and
WHEREAS, the Contract includes an initial one-year term and three, one-year renewal
terms at the City's option; and
WHEREAS,the City and Vendor entered into City Secretary Contract No. 52403 to renew
and extend the Contract until April 30, 2020; and
WHEREAS, the City and Vendor now wish to amend the original Contract to reflect that
the annual Contract amount shall be increased to $87,311.00, which will cover the current Contract
amount of$46,242.00 per year, plus additional licensing, maintenance, support, and professional
services totaling $41,069.00;
NOW, THEREFORE, City and Vendor, acting herein by the through their duly
authorized representatives, enter into the following agreement to amend the contract:

The final two sentences of the second paragraph of the Contract (Page 1 of the
Contract) are amended to read as follows:
The Annual Agreement amount shall not exceed Eighty-Seven Thousand Three Hundred and Eleven
Dollars and 00/100($87,311.00)annually.The total amount of the Agreement, including all renewals,shall
not exceed Three Hundred Forty-Nine Thousand, Two Hundred and Forty-Four Dollars and 00/100
($349,244.00).
2.
All other provisions of the Contract which are not expressly amended herein shall remain
in full force and effect.
