("Renewal") y t3'
Fort Worth, a home-rule municipal corporation of the State of Texas ("City"), and
Wolters Kluwer Financial Services U.S., Inc. ("WKFS"), a Delaware corporation.
WHEREAS, City and WKFS are parties to a licensing, hosting, and maintenance
agreement for sixteen licensees for TeamMate® automated audit working papers
software, that agreement being for Fort Worth City Secretary Contract No. 48334 (the
"Base Contract"); and
WHEREAS, City and WKFS are also parties to a licensing, hosting, and
maintenance agreement for four additional licensees for TeamMate® automated audit
working papers software, that agreement being for Fort Worth City Secretary Contract
No. 48334-Al (the "Adjunct Contract"); and
WHEREAS, the current term of both the Base Contract and the Adjunct Contract
will expire on November 3, 2019; and
WHEREAS, the parties wish to renew and extend both the Base Contract and
Adjunct Contract for an additional one-year period.
NOW, THEREFORE, City and WKFS do hereby covenant and agree as follows:
1. That City Secretary Contract Nos. 48334 is hereby renewed and extended for a
one-year renewal term, commencing on November 4, 2019 and ending on
November 3, 2020.
2. That City Secretary Contract Nos. 48334-Al is hereby renewed and extended for
a one-year renewal term, commencing on November 4, 2019 and ending on
November 3, 2020.

3. That the City's total cost for the one-year renewal period for both Fort Worth City
Secretary Contract Nos. 48334 and 48334-A1 shall be $40,712.00 ($16,712.00 for
Licenses and Support and $24,000.00 for Hosting).
4. That all other terms and conditions of Fort Worth City Secretary Contract Nos.
48334 and 48334-A1 that are not amended herein shall remain in full force and
effect throughout the renewal period.
