SECOND AMENDMENT TO
FORT WORTH CITY SECRETARY CONTRACT NO. 51058
This Second Amendment to Fort Worth City Secretary Contract No. 51058 ("Second
Amendment") is made between the City of Fort Worth ("FORT WORTH"), a municipal
corporation, acting herein by and through , its duly authorized Assistant City Manager and
CITIBOT, INC., a South Carolina limited liability company ("CITIBOT") acting herein through
W. Bratton Riley, its duly authorized CEO.
WHEREAS, FORT WORTH and CITIBOT entered into an Agreement identified as Fort
Worth City Secretary Contract No. 51058 executed on or about July 19, 2018 (the "Agreement");
and
WHEREAS, on or about February 7,2019,the Agreement was amended to include Exhibit
A, "Pricing and Payment Schedule; and
WHEREAS, it is the collective desire of both FORT WORTH and CITIBOT to amend the
Agreement to include MILESTONE PAYMENT SCHEDULED.
NOW THEREFORE, KNOWN ALL BY THESE PRESENT, FORT WORTH and
CITIBOT,acting herein by the through their duly authorized representatives,enter into this Second
Amendment, which amends the Agreement as follows:
1.
The Agreement is hereby amended by replacing the Milestone payment schedule in its
entirety with the following.

built in to direct the SR interactions delivered to
FW testing and signed off by FW team.
5 Volume testing plan and result shared to FW 25%of Motorola Integration Costs at$11,000.00
and signed off by FW team
6 Motorola Integration launch/signoff 5%of Motorola Integration Costs at$2,200.00
7 30 days from the launch 111 year maintenance 50%of 11'year maintenance costs at$18,000.00
8 Six months after launch 50%of 111 year maintenance costs at$18,000.00

All other terms, provisions, conditions, covenants and recitals of the Agreement not
expressly amended herein shall remain in full force and effect.
