PROFESSIONAL SERVICES AGREEMENT This PROFESSIONAL SERVICES AGREEMENT ("Agreement") is made and entered into by and between the CITY OF FORT WORTH (the "City"), a home rule municipal corporation organized under the laws of the State of Texas, acting by and through Tom Higgins, its duly authorized Acting Assistant City Manager, and FORT WORTH PARTNERSHIP FOR COMMUNITY DEVELOPMENT ("FWPCD"), a Texas nonprofit corporation in good standing with the State of Texas, acting by and through Charlotte B. Sobel, its duly authorized President/Chief Executive Officer. RECITALS A. On or about January 29, 2007, the City and FWPCD entered into that certain Professional Services Agreement on file in the City Secretary's Office as City Secretary Contract No. 34839 (the "First Agreement") pursuant to which FWPCD agreed to provide assistance to the City by leveraging private sector funds to aid neighborhood housing and commercial development sponsored by nonprofit community development corporations under the Program, as outlined more specifically in the First Agreement. B. The Initial Contract Period of the First Agreement expired January 28, 2008. The First Agreement allows the City and FWPCD to renew the First Agreement for up to two (2) consecutive additional terms of twelve (12) months each if the Scope of Work under the First Agreement is not completed by the end of the Initial Contract Period. As provided in this Agreement, the City and FWPCD now wish to renew the First Agreement for up to one (1) additional term of twelve (12) months in order to allow FWPCD more time to complete the Scope of Work set forth in the First Agreement. C. In addition to renewing the First Agreement, the City and FWPCD desire for FWPCD to provide continuing or additional services beyond those specified in the Scope of Work under the First Agreement and for the City to provide additional funding to FWPCD in consideration for such continuing or additional services under the Program, as more specifically set forth in this Agreement. NOW, THEREFORE, in consideration of the mutual benefits and promises contained herein and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the City and FWPCD agree as follows: ILI?.,� 04-07-0 8 A09: 18 I Page 1 Professional Services Agreement between City of Fort Worth and Fort Worth Partnership for Community Development AGREEMENT 1. SCOPE OF WORK. 1.1. FWPCD's Services. Pursuant to and in accordance with the First Agreement, the First Agreement is hereby renewed and incorporated herein by reference for all purposes in order to allow FWPCD to complete the Scope of Work set forth in the First Agreement. Any compensation payable for such work shall be paid from funds originally appropriated pursuant to Ordinance No. 17287-11-2006, which was adopted by the City Council on November 14, 2006 at the same time that the City Council approved execution of the First Agreement, and as appropriated in the City's 2007-08 fiscal year budget. In addition to completing the Scope of Work under the First Agreement, FWPCD hereby agrees to provide the City's Economic and Community Development Department ("ECD") and the Housing Department with continuing and additional professional consulting services to assist certain Fort Worth community-based development organizations in providing comprehensive community economic development and diverse, focused activities that produce housing units and create and retain jobs, and to complete other comprehensive projects that result in substantial, measurable improvements in the quality of life in low and moderate income neighborhoods of the City, as more specifically set forth in Exhibit "A", attached hereto and hereby made a part of this Agreement for all purposes (collectively, the "Second Year's Scope of Work"). The City and FWPCD may change the Second Year's Scope of Work by substituting an amended Exhibit "A", signed by both the City and FWPCD, which shall then be attached to this Agreement and made a part of this Agreement for all purposes. 1.2. City's Duties. The City shall provide FWPCD access on a reasonably timely basis to various City personnel for interviews, questions, consultation, document reviews and other forms of participation necessary to the Second Year's Scope of Work. The City shall also provide FWPCD with reasonable facilities and equipment in order to allow FWPCD to perform its duties and obligations under this Agreement when it is necessary for FWPCD to be on-site. 1.3. Work Schedule. Within one hundred and twenty (120) days following the Effective Date of this Agreement (as defined at Section 2) the City and FWPCD shall complete a written work schedule applicable to the Second Year's Scope of Work ("Work Schedule") for the Term (as defined at Section 2). This Work Page 2 Professional Services Agreement between City of Fort Worth and Fort Worth Partnership for Community Development Schedule shall establish timetables and milestones relating to and in accordance with each step or line item of work referenced in Exhibit "A" for the Term. 1.4. Negotiation of Agreement for Third Year of Program. Prior to the expiration of the Term, the City and FWPCD shall use commercially reasonable efforts to prepare a mutually agreeable Scope of Work and Work Schedule for a third year of the Program that covers the twelve (12)- month period immediately following the expiration of the Term of this Agreement. The Scope of Work and the Work Schedule for this third year of the Program shall be addressed in a written agreement in substantially the same form as this Agreement, subject to approval by the City Council. The amount of compensation payable by the City to FWPCD under such agreement shall not exceed $275,000.00, subject to appropriation of such funds by the City Council. 2. TERM. This Agreement shall commence on January 29, 2008 ("Effective Date") and shall expire on January 28, 2009 (the "Term") thereafter unless terminated earlier in accordance with the provisions of this Agreement. Should FWPCD not complete the Second Year's Scope of Work by the end of the Term, the City and FWPCD may renew the contract by written consent of both parties up to one (1) additional twelve (12)- month term, provided that the City has appropriated sufficient funds in its then-current fiscal year budget to pay FWPCD. 3. COMPENSATION. Subject to the provisions of Sections 4.2 and 4.3 of this Agreement, the City shall pay FWPCD a sum not to exceed $275,000.00 ("Year 2 Funding Commitment") in various installments for services to be provided and expenses to be incurred in the carrying out and fulfillment of FWPCD's duties and obligations under this Agreement for the Term. The first installment shall equal $68,528.26. In order to receive the first installment, FWPCD shall submit to the City a request for payment that will include (i) the Work Schedule referred to in Section 1.3; (ii) a revised budget that shows how the Year 2 Funding Commitment will be spent in a format substantially similar to that attached as-Exhibit "B", and (iii) evidence that sufficient financial controls and policies are in place to ensure adequate accountability and oversight on the expenditure of funds. The City shall provide FWPCD any objections with respect to such submitted information within ten (10) business days. Should the City have no objections to such submitted information, the City agrees to pay the first installment no later than thirty (30) days after the request for payment. Notwithstanding anything to the contrary herein, the amount and timing of each subsequent installment shall be dependent on the amount of funds that the City Council has appropriated for purposes of this Agreement and the work provided by FWPCD, as determined in the sole, but reasonable discretion Page 3 Professional Services Agreement between City of Fort Worth and Fort Worth Partnership for Community Development of the City. FWPCD will submit quarterly reports, in a format substantially similar to that attached hereto as Exhibit "C", for services and activities undertaken by Contractor in performance of this Agreement. Each report will be signed by a duly authorized agent or contractor and submitted by the 15th day of the month following the quarter which is reported. The City and FWPCD may renew this Agreement in accordance with Section 2, provided that the City and FWPCD first agree on the amount of compensation to be paid to FWPCD for services rendered during such renewal period and the City has appropriated sufficient funds in the then-current fiscal year for such services to be undertaken in the subsequent renewal period. 4. TERMINATION. 4.1. Written Notice. The City and FWPCD may terminate this Agreement at any time and for any reason by providing the other party thirty (30) calendar days' advance written notice of termination. 4.2. Fiscal Funding Out. FWPCD understands and agrees that as of the execution date of this Agreement by both the City and FWPCD, the City Council has only appropriated $68,528.26 for purposes of this Agreement. Additional appropriations by the City Council will be necessary in order for FWPCD to be paid any additional compensation hereunder. Nothing herein compels the City Council to appropriate additional funds for purposes of this Agreement, and FWPCD understands and agrees that unless such additional funds are so appropriated, the City shall have no obligation to pay FWPCD more than $68,528.26 for any services provided pursuant to the Second Year's Scope of Work. Notwithstanding anything to the contrary herein, the parties understand and agree that if the City Council fails to appropriate additional funds for purposes of this Agreement, either party may immediately terminate this Agreement without further obligation to the other party. 4.3. Duties and Obligations of the Parties. Subject to Section 4.2, in the event that this Agreement is terminated prior to the conclusion of its Term, the City shall pay FWPCD for services actually rendered as of the effective date of termination and FWPCD shall continue to provide the City with services requested by the City and in accordance with this Agreement up to the effective date of termination. FWPCD shall not be obligated to return to the City any compensation or other sums previously paid to FWPCD by the City pursuant to this Agreement, Page 4 Professional Services Agreement between City of Fort Worth and Fort Worth Partnership for Community Development provided that FWPCD timely performs all components of the Second Year's Scope of Work for which such sums have been paid. 5. DISCLOSURE OF CONFLICTS AND CONFIDENTIAL INFORMATION. FWPCD hereby warrants to the City that FWPCD has made full disclosure in writing of any existing or potential conflicts of interest related to FWPCD's services and proposed services with respect to the Second Year's Scope of Work. In the event that any conflicts of interest arise after the Effective Date of this Agreement, FWPCD hereby agrees immediately to make full disclosure to the City in writing. The City acknowledges that FWPCD may use products, materials or methodologies proprietary to FWPCD. The City agrees that FWPCD's provision of services under this Agreement shall not be grounds for the City to have or obtain any rights in such proprietary products, materials or methodologies unless the parties have executed a separate written agreement with respect thereto. Notwithstanding the foregoing, FWPCD understands and agrees that the City is subject to various public information laws and regulations, including, but not limited to, the Texas Open Records Act. FWPCD, for itself and its officers, agents and employees, further agrees that it shall treat all information provided to it by the City as confidential and shall not disclose any such information to any third parry without the prior written approval of the City. 6. AUDITS. FWPCD will provide to the City an annual audit on the performance and financial management of this Agreement. Additionally, the City shall have, for three (3)years following the termination or expiration of this Agreement and upon reasonable advance notice, access to and the right to examine and audit any books, documents, papers, records or other data of FWPCD that involve transactions relating to this Agreement. Accordingly, FWPCD shall provide the City with access during normal working hours to all of FWPCD's facilities and with appropriate workspace at FWPCD's facilities necessary for the City to conduct examinations and audits in accordance with this Agreement. This Section 6 shall survive the termination or expiration of this Agreement. 7. INSURANCE. During the term of this Agreement, FWPCD shall procure and maintain at all times, in full force and effect, a policy or policies of insurance that provide the specific coverage set forth in this Section 7 as well as coverage for any and all other public risks Page 5 Professional Services Agreement between City of Fort Worth and Fort Worth Partnership for Community Development related to FWPCD's performance of its obligations under this Agreement. FWPCD shall specifically obtain the following types of insurance at the following limits: Commercial General Liability (CGL) $1,000,000 each occurrence $2,000,000 aggregate limit Coverage shall include but not be limited to the following: premises/operations, independent contractors, products/completed operations, personal injury, and contractual liability. Insurance shall be provided on an occurrence basis, and as comprehensive as the current Insurance Services Office (ISO) policy. The City of Fort Worth, its' Officers, Employees and Volunteers shall be named as an Additional Insured. Automobile Liability $1,000,000 each accident on a combined single limit basis A commercial business policy shall provide coverage on "Any Auto", defined as autos owned, hired and non-owned. Professional Liability $1,000,000 per occurrence or per claim $1,000,000 aggregate Prior to the Effective Date, FWPCD shall provide the City with certificates of insurance that verify FWPCD's compliance with the insurance requirements of this Agreement. The City's Risk Manager shall have the right to review and evaluate FWPCD's insurance coverage and to make reasonable requests or revisions pertaining to the types and limits of that coverage. FWPCD shall comply which such requests or revisions as a condition precedent to the effectiveness of this Agreement. 8. INDEPENDENT CONTRACTOR. It is expressly understood and agreed that FWPCD shall operate as an independent contractor as to all rights and privileges granted herein, and not as an agent, representative or employee of the City. Subject to and in accordance with the conditions and provisions of this Agreement, FWPCD shall have the exclusive right to control the details of its operations and activities and shall be solely responsible for the acts and omissions of its officers, agents, servants, employees, contractors and subcontractors. FWPCD acknowledges that the doctrine of respondent superior shall not apply as between the City, its officers, agents, servants and employees, and FWPCD, its officers, agents, employees, contractors and subcontractors. FWPCD further agrees that nothing herein shall be construed as the creation of a partnership or joint enterprise between the City and FWPCD. FWPCD SHALL BE LIABLE AND RESPONSIBLE FOR ANY AND ALL CLAIMS, DEMANDS, LAWSUITS OR OTHER ACTIONS FOR DAMAGES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, PROPERTY LOSS, PROPERTY DAMAGE AND/OR PERSONAL INJURY, INCLUDING DEATH, TO ANY AND ALL PERSONS, OF ANY KIND OR CHARACTER, WHETHER REAL OR ASSERTED, TO THE EXTENT CAUSED BY THE NEGLIGENT ACT(S) OR OMISSION(S), MALFEASANCE OR INTENTIONAL MISCONDUCT OF FWPCD,ITS OFFICERS,AGENTS,SERVANTS OR EMPLOYEES. FWPCD COVENANTS AND AGREES TO, AND DOES HEREBY, INDEMNIFY, HOLD HARMLESS AND DEFEND THE CITY, ITS OFFICERS, AGENTS, SERVANTS AND EMPLOYEES, FROMAND AGAINST ANYAND ALL CLAIMS OR LAWSUITS FOR DAMAGES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, PROPERTY DAMAGE OR LOSS (INCLUDING ALLEGED DAMAGE OR LOSS TO FWPCD'S BUSINESS AND ANY RESULTING LOST PROFITS) AND/OR PERSONAL INJURY, INCLUDING DEATH, TO ANY AND ALL PERSONS, OF ANY KIND OR CHARACTER, WHETHER REAL OR ASSERTED, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, TO THE EXTENT CAUSED BY THE NEGLIGENT ACTS OR OMISSIONS OR MALFEASANCE OF FWPCD, ITS OFFICERS, AGENTS, SERVANTS OR EMPLOYEES. 10. ASSIGNMENT AND SUBCONTRACTING. To carry out the Second Year's Scope of Work, FWPCD may subcontract certain elements of the Second Year's Scope of Work. FWPCD will provide the City in writing the name of agency, agency contact, address, and scope of work for any subcontractor who will provide services in carrying out any elements of the Second Scope of Work. Through FWPCD's execution of any such contract—with a subcontractor, the subcontractor shall be bound by the duties and obligations of FWPCD under this Agreement. FWPCD shall not assign or subcontract any of its duties, obligations or rights under this Agreement other than the extent outlined in this Section 10 without the prior written consent of the City. If the City grants such consent, the assignee or subcontractor shall execute a written agreement with the City under which the assignee or subcontractor agrees to be bound by the duties and obligations of FWPCD under this Agreement. Page 7 Professional Services Agreement between City of Fort Worth and Fort Worth Partnership for Community Development 11. COMPLIANCE WITH LAWS, ORDINANCES,RULES AND REGULATIONS. FWPCD agrees to comply with all federal, state and local laws, ordinances, rules and regulations. If the City notifies FWPCD of any violation of such laws, ordinances, rules or regulations, FWPCD shall immediately desist from and correct the violation. 12. NON-DISCRIMINATION COVENANT. FWPCD, for itself, its personal representatives, assigns, subcontractors and successors in interest, as part of the consideration herein, agrees that in the performance of FWPCD's duties and obligations hereunder, it shall not discriminate in the treatment or employment of any individual or group of individuals on the basis of race, color, national origin, religion, handicap, sex, sexual orientation or familial status. If any claim arises from an alleged violation of this non-discrimination covenant by FWPCD, its personal representatives, assigns, subcontractors or successors in interest, FWPCD agrees to assume such liability and to indemnify and defend the City and hold the City harmless from such claim. 13. LICENSES AND PERMITS. FWPCD shall, at its sole expense, obtain and keep in effect all licenses and permits necessary for it to carry out its duties and obligations hereunder. 14. NOTICES. Notices required pursuant to the provisions of this Agreement shall be conclusively determined to have been delivered when (1) hand-delivered to the other party, its agents, employees, servants or representatives, (2) delivered by facsimile with electronic confirmation of the transmission, or(3) received by the other party by United States Mail, registered, return receipt requested, addressed as follows: Page 8 Professional Services Agreement between City of Fort Worth and Fort Worth Partnership for Community Development To THE CITY: To FWPCD: City of Fort Worth Charlotte B. GOVERNMENTAL POWERS. It is understood and agreed that by execution of this Agreement, the City does not waive or surrender any of its governmental powers. 16. NO WAIVER. The failure of the City or FWPCD to insist upon the performance of any term or provision of this Agreement or to exercise any right granted herein shall not constitute a waiver of the City's or FWPCD's respective right to insist upon appropriate performance or to assert any such right on any future occasion. 17. VENUE ,JURISDICTION AND EXPENSES. This Agreement shall be construed in accordance with the laws of the State of Texas. If any action, whether real or asserted, at law or in equity, is brought on the basis of this Agreement, venue for such action shall lie in state courts located in Tarrant County, Texas or the United States District Court for the Northern District of Texas, Fort Worth Division. In any such action, the prevailing party shall be entitled to recover from the other party reasonable attorneys' fees incurred in the bringing or defending of the action. 18. SEVERABILITY. If any provision of this Agreement is held to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired. The City and FWPCD shall exercise their best efforts to meet their respective duties and obligations as set forth in this Agreement, but shall not be held liable for any delay or omission in performance due to force majeure or other causes beyond their reasonable control, including, but not limited to, compliance with any government law, ordinance or regulation, acts of God, acts of omission, fires, strikes, lockouts, national disasters, wars, riots, material or labor restrictions by any governmental authority, transportation problems and/or any other similar causes. 20. HEADINGS NOT CONTROLLING. Headings and titles used in this Agreement are for reference purposes only and shall not be deemed a part of this Agreement. 21. ENTIRETY OF AGREEMENT. This Agreement, including the schedule of exhibits attached hereto and any documents incorporated herein by reference, contains the entire understanding and agreement between the City and FWPCD, their assigns and successors in interest, as to the matters contained herein. Any prior or contemporaneous oral or written agreement is hereby declared null and void to the extent in conflict with any provision of this Agreement. This Agreement shall not be amended unless agreed to in writing by both parties and, if required, approved by the City's City Council. Deliver a sustained and comprehensive message to Fort Worth at large about the importance of community development. Progress toward achieving this important part of the Fort Worth Partnership for Community Development(FWPCD)mission will be measured in the following ways: A. Leverage the City's Year 2 Funding Commitment by raising$1 new dollar from private or other public sources for each dollar of Year 1 Funding • Commitment expended; B. Forge new collaborative efforts and strengthen existing partnerships; C. Obtain in-kind assistance and resources that directly translate to support for the Beneficiary organizations. II. Put in place a solid organizational framework for the FWPCD that ensures the agency's long-term ability to help build a city of healthy,thriving and diverse neighborhoods and to lessen the burdens of government of Fort Worth. Making strides towards this effort will be measured by accomplishing the following during the Initial Contract Period: A. Expand the Board of Directors by at least two members,bringing additional leadership and financial support to the goals of the organization. B. Adoption by the Board of an annual budget for Year 2. The goal of the organization would be to achieve a"Good"rating utilizing the benchmarks and criteria established by Charity Navigator(www.charitynavi atg or.org); C. Adoption by the Board governance policies and procedures: and, D. Establishment of criteria,procedures,performance measures for funds granted to Beneficiaries in a manner that helps build strong, accountable locally-led community development organizations. III. Support comprehensive community economic development and diverse, focused activities that produce housing units and create and retain jobs, and completing other comprehensive projects that result in substantial,measurable improvements in the quality of life in neighborhoods of Fort Worth. Addressing this fundamental portion of the FWPCD's mission will be measured by the following: A. Increase of 50% in number of housing units in the development process over pre-grantee status totals; B. Increase of 30% in number of commercial and/or mixed use square feet in the development process over pre-grantee status totals; C. Assist at least two(2)additional Beneficiary organizations in achieving stronger organizational development D. Establish and expand the FWPCD network and outreach system. E. Authorize the extension of City Secretary Contract No. 34839, Professional Services Agreement with the Fort Worth Partnership for Community Development executed on January 29, 2007; 2. Authorize execution of a Professional Services Agreement with the Fort Worth Partnership for Community Development to expire on the earlier of the date all services are completed by Fort Worth Partnership for Community Development or January 28, 2009, for the purposes outlined below; 3. DISCUSSION: The Fort Worth Partnership for Community Development(FWPCD) is a local funding intermediary that pools private and public financial resources to sustain and grow the impact and capacity of community development organizations and advocates for the community development industry. On January 29, 2007, the City of Fort Worth entered into City Secretary Contract No. 34839 with the FWPCD to provide professional consulting services to assist certain Fort Worth community-based development organizations in providing comprehensive community economic development and diverse, focused activities that produce housing units and create and retain jobs, and completing other comprehensive projects that result in substantial, measurable improvements in the quality of life in low and moderate income neighborhoods. On November 6, 2007, the FWPCD briefed the Central City Revitalization and Economic Development Committee of the City Council on its performance against first-year benchmarks. Accomplishments include: Leadership and Organization Structure: The Board of Directors was expanded to five members, and is currently seeking additional members who will provide financial and leadership support. After an initial national search, the Board chose an Interim Director to help achieve its goals while a second search was launched. The permanent President/CEO was hired in January 2008. The organization received its IRS designation and has adopted six-month and twelve-month objectives for the year ahead. Fund Development: The sale of a city-owned property provided the City's first year funding commitment of $250,000. Two local foundations, the Amon Carter Foundation and the Sid Richardson Foundation, have committed $400,000 over a three-year period. The President of the Board of Directors is actively seeking corporate funding support. The U. S. Department of Housing and Urban Development(HUD) provided a technical assistance grant through the City to provide business planning coaching for candidate non-profit organizations. Program Delivery Organization self-assessments were conducted with local community development organizations. Participants completed business plans through the HUD technical assistance grant. The development of a pool of experts was initiated, who will provide technical assistance through the FWPCD to local community development organizations. A grant process was formalized resulting in the award of operating grants to the first three successful organizations. Year 2 performance benchmarks include: 1. Expansion of the Board of Directors by two members; 2. Raise $200,000 in corporate gifts for the financial support of the FWPCD and its goals; 3. Complete the financial audit of Year 1 operations; 4. Transition of operations to the new President/CEO of the FWPCD; 5. Operations infrastructure development including payroll and insurance for its employees; 6. Deliver technical assistance and training to grantees and to other nonprofit development organizations with in-place but more nascent capacity; and 7. Conduct Year 2 grant selection process and award. Contingent on successful annual benchmark performance and financial and organizational reporting requirements, the City committed to a three-year funding of$800,000 consisting of$250,000 in Year 1 and $275,000 in each of Years 2 and 3. Council directed staff to fund Year 1 and Year 2 through the sale of City-owned surplus properties. To date $318,528.26 has been raised toward that two-year commitment ($525,000) through surplus property sales authorized by M&C L-14280, M&C L-14281, and M&C L- 14203. A disbursement of$75,000 has been made and a request for disbursement of an additional $175,000 has been processed. Council action authorizing distribution of the remaining proceeds of $68,528.26 to the FWPCD is sought in this Council action. The extension of the previous Professional Services Agreement with FWPCD authorizes the disbursement of future surplus property sale proceeds designated for the FWPCD as they become available, the total of which not to exceed $525,000. Staff will continue its effort to identify additional properties to raise the remaining $206,471.74 of the Year 2 commitment. FISCAL INFORMATION / CERTIFICATION: The Finance Director certifies that upon approval of the above recommendations and adoption of the attached supplemental appropriation ordinance, funds will be available in the General Fund.
