HIS FIRST AMENDMENT OF CITY SECRETARY CONTRACT NUMBER
It Ut 6 31 ("First Amendment"), is made and entered into by and between the City of Fort Worth, a
home-rule municipal corporation of the State of Texas ("City"), acting by and through its duly
authorized Interim Assistant City Manager, and L.J. Design & Construction, LLC, a Texas
limited liability company("Contractor"), acting by and through its duly authorized representative.
WHEREAS, the City and Contractor entered into a Vendor Services Agreement for
Botanic Garden greenhouse repairs and maintenance, City Secretary Contract Number
5253 1("Agreement"); and
WHEREAS, City has identified changes in the plans and specifications and the need for
additional work and materials for greenhouse maintenance and repairs; and
WHEREAS, City and Contractor desire to amend the Agreement to provide for the
additional work to be performed and to clarify the renewal terms applicable to the Agreement;
NOW, THEREFORE, in consideration of the mutual covenants and agreements
contained herein, the City and Contractor agree to amend the Agreement as follows:
I.
Section 2 of the Agreement is amended to read as follows:
This Agreement shall begin on June 28, 2019 ("Effective Date") and shall expire on June
27,2020("Expiration Date"),unless terminated earlier in accordance with this Agreement("Initial
Term"). City shall have the option, in its sole discretion, to renew this Agreement under the same
terms and conditions, for up to four(4) one-year renewal terms ("Renewal Term").
II.
Section 3 of the Agreement is amended to read as follows:

City shall pay Contractor an amount not to exceed $90,608.54 in accordance with the
provisions of this Agreement and Exhibit"A".Contractor shall not perform any additional services
for the City not specified by this Agreement unless the City requests and approves in writing the
additional costs for such services. The City shall not be liable for any additional expenses of
Contractor not specified by this Agreement unless the City first approves such expenses in writing.
City agrees to pay all invoices of Contractor in accordance with the applicable provisions of
Chapter 2251 of the Texas Government Code.
III.
Exhibit"A" of the Agreement is amended to add the information set forth in Exhibit"A"
of this First Amendment.
IV.
a. All terms and conditions of the Agreement that are not expressly amended pursuant
to this First Amendment shall remain in full force and effect.
b. All terms in this First Amendment that are capitalized but not defined shall have
the meanings ascribed to them in the Agreement.

IN WITNESS WHEREOF, the parties have executed this First Amendment to be
effective on the date signed by the City's Interim Assistant City Manager.
