CITY OF FORT WORTH,TEXAS AND ORACLE USA,INC.
VENDOR DEMONSTRATION VIDEOTAPE AGREEMENT
The City of Fort Worth, Texas(the"City') and Oracle USA,Inc. ("Oracle") hereby agree
to the following.
1. Oracle consents to be videotaped by the City as part of the City's evaluation process for RFP
07-0308,ERP Project: HR/Payroll Implementation Services and Software("RFP")on March
3-4,2008,provided that:
• the City agrees that its sole permitted use of the resulting videotape is its internal
evaluation of Oracle's response to the RFP; and
• the City agrees to treat the contents of the resulting videotape as Oracle confidential
and proprietary information,subject to applicable disclosure provisions as required by
law.
2. The parties agree that the videotape is for information purposes only and its contents do not
constitute an offer or binding representation by Oracle.
3. The parties agree that any binding commitment with respect to the subject matter and content
of the videotape will be evidenced by a separate,negotiated agreement following an award to
Oracle.
This agreement is effective as of the P day of March 2008.
