HomeMy WebLinkAboutContract 37548-A2AMENDMENT NUMBER 2 STATE OF TEXAS S CITY SECRETARY CONTRACT NO.<O COUNTY OF TARRANT $ WHEREAS, the City of Fort Worth (CITY) and Freese &Nichols, Inc., (ENGINEER) made and entered into City Secretary Contract No. 37548, (the CONTRACT) which was authorized by the City Council by M&C C- 22997 on the 9th day of February, 2010, WHEREAS, the Contract involves engineering services for the following project: Update the Wastewater System Master Plan Citywide (Project No. ); WHEREAS, it has become necessary to execute Amendment No. 2 to said Contract to include an increased scope of work and revised maximum fee; NOW THEREFORE, CITY and ENGINEER, acting herein by and through their duly authorized representatives, enter into the following agreement, which amends the Contract: 1. Article I of the Contract is amended to include the additional engineering services specified in the attached Exhibits Al, B and 13-2A, copies of which are attached hereto and incorporated herein. The cost to City for the additional design services to be performed by Engineer total $515,928.00. 2. Article II of the Contract is amended to provide for an increase in the maximum fee to be paid to Engineer for all work and services performed under the Contract, as amended, so that the total fee paid by the City for all work and services shall not exceed the sum of $3,849,548.00, 3. WORTH, TX i ATTACHMENT B (Amended) COMPENSATION AND SCHEDULE i I. COMPENSATION A. The ENGINEER. shall be compensated at a cost plus with a maximum fee of $3,849,548 for Basic Services as summarized on Exhibits "M" and "B-2" in the original contract and "B-1A" and "K2 A" in this Amendment. Payment of the fee shall be considered full compensation for the services described in Exhibit "A4" for all labor, materials, supplies and equipment necessary to complete the project. ATTACHMENT B-1 J SUPPLEMENTAL SCOPE OF SERVICES (SUPPLEMENT TO ATTACHMENT "A") The following is a clarification of the tasks that ENGINEER will perform under Amendment 2 to the existing contract for the Update of the Wastewater System Master Plan Citywide. Work under this amendment includes engineering services for the following: The amendment No. 2 scope of services includes two task items. Task item A is to provide supporting engineering information for hydraulic modeling in the master plan to include modeling from the Village Creek Influent Headworks to the first free water surface in the plant. Task item B is the short term needs evaluation of the proposed Mary's Creek WWTP. Task item C is the development of a Major Amendment to the Village Creek WWTP TPDES discharge permit to support future flow increases in the plant up to an average daily flow of 191 MGD. D. Task item D is the coordination with other consultants on Village Creek Capacity Issues and recalibration of the Village Creek Basin model after interceptor cleaning A. Task Item A —Village Creek Plant Hydraulic Model Update 1. Meet with CITY: (1) to review the updated scope of services, (2) to verify CITY's requirements for this task, and (3) to review available data. 2. Update the existing hydraulic model for the Village Creek WWTP influent piping system. There currently is uncertainty about the plant's peak hydraulic capacity, particularly from the headworks through the primary clarifiers. FNI will update its existing plant hydraulic model to calculate the plant influent hydraulic capacity under different flow scenarios. Modeling will include evaluation of plant yard piping and hydraulic limitations from the headworks to the primary clarifiers, including the use of the High Rate Clarifiers at flows above 255 MGD. This in turn will provide backwater surface elevations in the headworks and allow FNI to calculate the twin barrel capacities during different plant operation scenarios. 3. Install two (2) flow meters for 45 days at the Village Creek WWTP to use in analyzing the flow split within the WWTP. a. Engineer shall attend a coordination meeting with City Field Operations staff to coordinate the Engineer's placement of the proposed temporary flow meters. b. Engineer shall prepare the temporary flow metering equipment for field installation through conducting a series of operation tests to verify performance. Engineer shall inspect the temporary flow meter locations to determine their suitability for installation of the necessary equipment. If a location is identified as being unsuitable, then additional sites will be identified and confirmed by Engineer as suitable for equipment installation. c. Engineer shall maintain the temporary flow meters over the forty-five (45) day monitoring period. Maintenance shall be carried out on a weekly basis and includes calibration of the recording equipment, downloading of recorded data, onsite analysis of the data to ensure that the meter is working correctly, cleaning of the sensor, and replacement of any defective equipment. d. Engineer shall remove the temporary flow meters at the completion of the forty-five (45) day monitoring period if adequate weather conditions have been observed. Engineer shall advise City if adequate weather conditions have not been observed during the initial forty-five (45) EXHIBIT A-1 day monitoring period to allow the Engineer and the City to consider the funding of an extended period for flow monitoring, in advance of removal of the temporary flow meters. e. Analyze flow data and develop average daily dry weather now diurnal curves and base now peaking factors. 4. Calibrate the existing hydraulic model using SCADA information from the plant on water surface elevations in the primary influent junction boxes and measured flow information provided through additional monitoring in the primary influent piping. 5. Meet with CITY to conduct an Influent Hydraulic Modeling Workshop. This workshop will establish a phased implementation approach for management of influent peak wet weather flow conditions by reducing the hydraulic grade line at the headworks facility through plant hydraulic improvements, management of collection system influent flows through collection system improvements, or a combination of these two factors to provide CITY with options for overall relief for influent peak flow management. 6. Utilize the HGL and flow monitoring results to update the InfoWorks CS wastewater model and reanalyze the existing system in the model based on the updated information. 7. Include the new influent hydraulic modeling information in development of the final Near Term Peak Flow Management Memorandum and the Long Term VCWWTP Capacity Memorandum. Incorporate the results of the modeling efforts into alternative evaluations to be submitted with those memorandums in support of Technical Memorandum 7 — Facilities Improvement Program. B. Task Item B —Coordination Plannin ag nd System Anal sites Impact of the Mary's Creek WWTP 1. Develop buildout population, employment and flow projections by subarea for Mary's Creek �NRC service area, iriciudirig `Walsh Rancii, NiOrl ngstar Ranc'fi, Dean Ranch acid uiideveioped area in the ETJ. 2. Evaluate sizing of downstream improvements to the Village Creek WWTP with and without Mary's Creek buildout flows using the InfoWorks CS model with 2030 flows from all other basins. Develop costs of improvements for both scenarios for collection system improvements and Village Creek WWTP expansions. Costs for the Mary's Creek WRC developed by APAI will be used in this analysis. 3. Coordinate with City and Other Consultants on the Mary Creek WWTP Siting Study and Open House. Meetings include Mary's Creek Team Meetings (3 meetings), Open House Rehearsals (3 rehearsals), manning a booth at the Mary's Creek Open House and a meeting on the Mary's Creek Open House debriefing. 4. Prepare Technical Memorandum on the benefits achieved versus the costs of constructing the Mary's Creek WWTP now to reduce the flows and system improvements needed at the Village Creek WWTP based on two short term service area options for the Mary's Creek WWTP. C. Task Item C — TPDES Major Permit Amendment Application for the Village Creek WWTP 1. Meet with CITY: (1) to review the scope of services, (2) to verify CITY's requirements for this task, and (3) to review available data. 2. Conduct up to 4 meetings with EPA to discuss permit approach options, technical findings from wastewater system and VCWWTP hydraulic analysis, peak flows above 255 MGD presently covered under the HRC provisions, and preliminary findings from the peak flow storage facility EXHIBIT A-2 analysis. These meetings would occur at different steps throughout the process as more analysis information is determined, with the first meeting taking place at the start of the permit amendment application process. 3. Participate in a plant site visit and walkthrough with VCWWTP staff to verify major process equipment functionality and assess the reliable firm capacity to meet future flow conditions. 4. Participate in a one day workshop with the CITY at the VCWWTP to present findings from the plant walk through and discuss the list of improvements needed. 5. Evaluate and determine maximum extended peak wet weather flow secondary treatment capacity of the VCWWTP based on peak flow data analysis and historical plant operational information. 6. Develop Critical Month Flow peaking factors based on historical analysis of VCWWTP operations and available data. Identify treatment plant process limitations and potential solutions for compliance with Critical Month Flow conditions and correlate that flow to the future permitted running annual average flow of 191 MGD. Critical Month Flow is defined as the potential combination of high flow and cold water conditions that would be the limiting operating factor for treatment plant compliance. Include Critical Month Flow analysis and conditions in the Final VCWWTP Summary Memorandum. 7. Compile Existing Information and Meet with City. Engineer will obtain the current TPDES permit application form from the TCEQ. Where appropriate, we will use information, including pertinent drawings, from the City's previous TPDES permit application to address questions in the current application. In addition, we will meet with the City onsite to review data, identify other information needed for the application, and take photographs and make general observations at the plant and receiving waters. 8. Meet with the CITY for a one (1) day workshop on permitting strategies; goals and timeline related to permitting, wasteload allocation and blending options for peak flows. This workshop will be used to present operational scenarios to the CITY and to determine path forward as it relates to each of these strategic issues. 9. Assist in Wasteload Allocation Development. Assist the CITY in updating the wasteload allocation analysis for the receiving stream for use by the CITY in meetings with the Trinity River Water Quality Compact. 10. Compile Effluent Analysis Results. Engineer will provide to the City and its designated laboratory, copies of tables to be completed by the City's laboratory from the current TCEQ application form. The City's laboratory shall complete these analytical tables to reduce the risk of transcription errors. Upon receipt, Engineer will review the tables for consistency with TCEQ MAL limits. Engineer will also perform a TEXTOX evaluation to compare allowable effluent concentrations with the effluent analysis results. If the TEXTOX evaluation indicates the potential for new or more stringent effluent limitations, additional effluent testing may be recommended to evaluate whether the initial laboratory results were representative of actual conditions. 11. Prepare Permit Application and Transmittal Letter. Engineer will prepare a draft permit application for the City's review. The application will include maps, engineering drawings, schematic diagrams, and other figures as required to reflect the proposed plant improvements. Information to be prepared by Engineer for the application will include the following: • Affected landowner map and mailing list, based on ownership data to be provided by the City, for properties adjacent to the wastewater plant boundaries and along both sides of the receiving stream for one stream mile downstream from the point of discharge EXHIBIT A-3 • Buffer zone map • Ground -level photographs (and a map showing the photo points) of new/expanded treatment unit location(s) and the point of discharge looking downstream • Justification of the need for the proposed WWTP modification • Sewage sludge solids management plan We will provide up to three copies of the draft application to the City for review and comment. We will finalize the application based on the City's comments and deliver a final original application and copies for the City to transmit to TCEQ. We will also provide up to three copies of the final application for the City's files. 12. Prepare Core Data Form. If necessary, Engineer will prepare the TCEQ Core Data Form for the City to submit to TCEQ. This form is required by TCEQ to register the City as a "customer" and to identify the City's plant as an "entity" in the TCEQ's Central Registry. 13. Follow-up with TCEQ. Engineer will respond to requests for clarification and additional information from TCEQ after submittal of the application. This task also includes review and preparation of comments on the draft TPDES permit when issued by TCEQ. Engineer assumes a level of effort not to exceed 80 hours to accomplish this task. If it appears that the effort will exceed that amount, we will contact the City for authorization of additional services before proceeding. 14. Participate in Meetings with TCEQ. Engineer will participate in meetings with or on behalf of the City with permitting staff at TCEQ in Austin to discuss issues relative to the City's proposed permit amendment. Two meetings are assumed for this task. D. Task Item D -Coordination with Other Consultants on Village Creek Capacity Issues and Recalibrate Village Creek Basin after Interceptor Cleaning 1. Meet with City to review capacity issues in the Village Creek Sewer Basin (up to three meetings). 2. Install two (2) flow meters for 45 days in the Village Creek Basin south of Interstate 20. Provide services consistent with Task A2 (a) through (e). Review flow monitoring data and develop diurnal patterns for additional flow monitoring in Village Creek Basin. 3. Recalibrate dry weather and wet weather conditions in Village Creek Basin after interceptor cleaning. 4. Coordinate with other consultants on recent and existing projects affecting capacity within the Village Creek Sewer Basin (up to 4 meetings). Provide modeling results to other consultants requested by the City. 5. Prepare memorandum on short term capacity and operational recommendations to address capacity issues within the Village Creek Sewer Basin. ADDITIONAL SERVICES: Additional Services to be performed by FNI, if authorized by CITY, which are not included in the above described basic services, are described as follows: A. Extensive negotiations with the EPA beyond technical permit amendment analysis and any specialized sampling and testing program beyond that typical for standard permit applications. B. Field surveying required for the preparation of designs and drawings. EXHIBIT A4 C. Field layouts or the furnishing of construction line and grade surveys. D. GIS mapping services or assistance with these services. E. Making property, boundary and right -of --way surveys, preparation of easement and deed descriptions, including title search and examination of deed records. F. Providing services to investigate existing conditions or facilities, or to make measured drawings thereof, or to verify the accuracy of drawings or other information furnished by CITY. G. Providing renderings, model, and mock-ups requested by the CITY. H. Making revisions to drawings, specifications or other documents when such revisions are 1) not consistent with approvals or instructions previously given by CITY or 2) due to other causes not solely within the control of FNI. I. Investigations involving consideration of operation, maintenance and overhead expenses, and the preparation of rate schedules, earnings and expense statements, feasibility studies, appraisals, evaluations, assessment schedules, and material audits or inventories required for certification of force account construction performed by CITY. J. Preparing applications and supporting documents for government grants, loans, or planning advances and providing data for detailed applications. K. Conducting pilot plant studies or tests. L. Preparing data and reports for assistance to CITY in preparation for hearings before regulatory agencies, courts, arbitration panels or any mediator, giving testimony, personally or by deposition, and preparations therefore before any regulatory agency, court, arbitration panel or mediator. M. Assisting CITY in the defense or prosecution of litigation in connection with or in addition to those services contemplated by this AGREEMENT. Such services, if any, shall be furnished by FNI on a fee basis negotiated by the respective parties outside of and in addition to this AGREEMENT. N. Providing environmental support- services including the design and implementation of ecological baseline studies, environmental monitoring, impact assessment and analyses, permng assistance (beyond those elements identified in basic services), and other assistance required to address environmental issues. O. Design, contract modifications, studies or analysis required to comply with local, State, Federal or other regulatory agencies that become effective after the date of this agreement. P. Visits to the site or meetings in excess of the number of trips included in Basic Services for periodic site visits, coordination meetings, or contract completion activities. Q. Providing basic or additional services on an accelerated time schedule. The scope of this service include cost for overtime wages of employees and consultants, inefficiencies in work sequence and plotting or reproduction costs directly attributable to an accelerated time schedule directed by the CITY. R. Providing services made necessary because of unforeseen, concealed, or differing site conditions or due to the presence of hazardous substances in any form. EXHIBIT A-5 S. Preparing statements for invoicing or other documentation for billing other than for the standard invoice for services attached to this professional services agreement. T. Provide Geotechnical investigations, studies and reports. U. Additional permitting and engineering analysis in the event that the current blended flow provision of the CITY's TPDES permit is rescinded. V. Post Application Follow-up. If TCEQ's comments and requests for additional information regarding the City's proposed wastewater treatment plant modifications exceed the anticipated level assumed under basic services, FNI will notify the City and wait for authorization before proceeding to respond to the agency's requests. We will provide these follow-up services based upon rates presented in Attachment CO. W. The scope of services for this project is based on the assumption that the application will be processed by the TCEQ as an uncontested TPDES permit amendment. If the permit becomes contested, or if the City decides to modify the wastewater treatment plant after submitting the application, additional effort would be necessary to revise the application. Other items that are not expected to be required for this application include, but are not necessarily limited to, conducting a physical characteristics assessment of the receiving stream; assisting with pollutant analyses (Domestic Worksheet 4.0) or toxicity testing requirements (Domestic Worksheet 5.0); attending meetings with the TCEQ and USEPA beyond those listed under basic services; and applying for a buffer zone variance. FNI can provide these or other additional services, if necessary, upon authorization by the City. R)ESPONSIBILI�'IES ®� CIT'3�: CITY shall perform the following in a timely manner so as not to delay the services of FNI: A. CITY recognizes and expects that certain Change Orders may be required. Unless noted otherwise, the CITY shall budget a minimum of 59/o for new construction and a minimum of i u% for construction that includes refurbishing existing structures. Further, CITY recognizes and expects that certain Change Orders maybe required to be issued as the result in whole or part of imprecision, incompleteness, errors, omission, ambiguities, or inconsistencies in the Drawings, Specifications, and other design documentation furnished by Engineer or in the other professional services performed or furnished by Engineer under this Agreement ("Covered Change Orders"). Accordingly, CITY agrees to pay for Change Orders and otherwise to make no claim directly or indirectly against Engineer on the basis of professional negligence, breach of contract, or otherwise with respect to the costs of approved Covered Change Orders unless the aggregate costs of all such approved Covered Change Orders exceed 2% for new construction and 4% for reconstruction. Any responsibility of Engineer for the costs of Covered Changed Orders in excess of such percentage will be determined on the basis of applicable contractual obligations and professional liability standards. For purposes of this paragraph, the cost of Covered Change Orders will not include: • any costs that CITY would have incurred if the Covered Change Order work had been included originally in the Contract Documents and without any other error or omission of Engineer related thereto, • Any costs that are due to unforeseen site conditions, or • Any costs that are due to changes made by the CITY. • Any costs that are due to the Contractor Nothing in this provision creates a presumption that, or changes the professional liability standard for determining if, Engineer is liable for the cost of Covered Change Orders in excess of the percent of Construction Cost stated above or for any other Change Order. Wherever used in this document, the EXHIBIT A-6 term Engineer includes Engineer's officers, directors, partners, employees, agents, and Engineers Consultants. B. Designate in writing a person to act as CH. i s representative with respect to the services to be rendered under this AGREEMENT. Such person shall have contract authority to transmit instructions, receive information, interpret and define CITY's policies and decisions with respect to FNI's services for the Project. C. Provide all criteria and full information as to CITY's requirements for the Project, including design objectives and constraints, space, capacity and performance requirements, flexibility and expandability, and any budgetary limitations; and furnish copies of all design and construction standards which CITY will require to be included in the drawings and specifications. D. Assist Freese and Nichols by placing at Freese and Nichols' disposal all available information pertinent to the Project including previous reports and any other data relative to the Project. Information needed for the permit application includes, but is not necessarily limited to, the following items: 1. Copy of the City's previous TPDES wastewater permit application and attachments, including electronic files of maps and schematics, if available; 2. Tables of effluent analyses to be prepared by the City's laboratory for all required parameters, including but not limited to the following: i. Current effluent analysis laboratory reports for conventional parameters (nutrients, CBOD, dissolved oxygen, pH, bacteria, etc.); 3. Copies of signed laboratory reports for the tests listed above; 4. Information for industrial users, as defined by the TCEQ, that discharge into the wastewater system; 5, Information on the City's current pollution prevention prop-ram./activities as necessary to prepare the TCEQ application. E. Arrange for access to and make all provisions for FNI to enter upon public and private property as required for FNI to perform services under this AGREEMENT. F. Examine all studies, reports, sketches, drawings, specifications, proposals and other documents presented by FNI, obtain advice of an attorney, insurance counselor and other consultants as CITY deems appropriate for such examination and render in writing decisions pertaining thereto within a reasonable time so as not to delay the services of FNI. G. Furnish approvals and permits from all governmental authorities having jurisdiction over the Project and such approvals and consents from others as maybe necessary for completion of the Project. H. CITY shall make or arrange to have made all subsurface investigations, including but not limited to borings, test pits, soil resistivity surveys, and other subsurface explorations. CITY shall also make or arrange to have made the interpretations of data and reports resulting from such investigations. All costs associated with such investigations shall be paid by CITY. I. Provide such accounting, independent cost estimating and insurance counseling services as may be required for the Project, such legal services as CITY may require or FNI may reasonably request with regard to legal issues pertaining to the Project including any that may be raised by Contractor(s), such auditing service as CITY may require to ascertain how or for what purpose any Contractor has used the moneys paid under the construction contract, and such inspection services as CITY may require to ascertain that Contractor(s) are complying with any law, rule, regulation, ordinance, code or order applicable to their furnishing and performing the work. EXHIBIT A-7 J. Give prompt written notice to FNI whenever CITY observes or otherwise becomes aware of any development that affects the scope or timing of FNI's services. K. Furnish, or direct FNI to provide, Additional Services as stipulated in Attachment SC, Article II of this AGREEMENT or other services as required. L. Bear all costs incident to compliance with the requirements of this Article IV. The City shall provide the application fee and submit the final application, copies, and the fee to TCEQ for the TPDES Permit Amendment. The City shall also provide for public advertisement and notification of permit application in accordance with TCEQ instructions. Authorize the City Manager to transfer $515,928.00 from Water and Sewer Fund to the Sewer Capital Project Fund; 2. Adopt the appropriation ordinance increasing estimated receipts and appropriations in the Sewer Capital Project Fund in the amount of $515,928.00 from available funds; and 3. Authorize the City Manager to execute Amendment No. 2 in the amount of $515,928.00 to City Secretary Contract No. 37548, an Agreement with Freese and Nichols, Inc., to update the Wastewater System Master Plan Citywide, increasing the total fee to $3,849,548.00. DISCUSSION: On August 26, 2008, (M&C C-22997) the City Council authorized the execution of an engineering agreement with Freese &Nichols, Inc., to update Wastewater Master Plan for a total fee not to exceed $2,987,193.00. Wastewater Master Plan will address system deficiencies as well as future growth areas. On February 9, 2010, (M&C C-24085) the City Council approved Amendment No. 1 in the amount of $346,427.00. The Amendment No. 1 scope of services included linking core GIS unique Asset IDs to wastewater pipe condition data and work orders and additional flow monitoring. The Amendment No. 2 scope of services will include: 1) development of a permit renewal for the Village Creek Wastewater Treatment Plant (VCWWTP) Texas Pollutant Discharge Elimination System (TPDES). The City of Fort Worth owns and operates the VCWWTP and the existing permit will expire on September 1, 2011. As a requirement of the Texas Administrative Code (30 TAC Section 305.63). The City is required to file an application for renewal of the permit with the Texas Commission on Environmental Quality (TCEQ) prior to the expiration date. The City must submit an application by March 1, 2011 to meet the renewal application requirements. Failure to submit the application in a timely manner may result in initiation of enforcement actions or expiration of the permit. 2) provide coordination with other consultants on Village Creek collector capacity issues and recalibration of the Village Creek Basin model after interceptor cleaning. 3) additional modeling of the VCWWTP hydraulics to determine capacity, and; 4) evaluation of the impact of the proposed Mary's Creek Wastewater Treatment Plant on future system capacity. Freese and Nichols, Inc., is in compliance with the City's M/WBE Ordinance by committing to 21 percent M/WBE participation on this Amendment No. 2.
