Home My WebLink AboutContract 40795-R4 RECEIVED APR 2 4 2020 CITY SECRETARY CONTRACT NO. 40795-R4 CITY OF FORT WORTH 0TYSMYTARy SUBSCRIPTION RENEWAL NOTICE NO. 4 UNDER CITY SECRETARY CONTRACT NO. 40795 This Subscription Renewal Notice #4 is executed by and between the City of Fort Worth (hereafter "City"), a home rule municipal corporation situated in portions of Tarrant, Denton and Wise Counties, Texas, with its principal place of business at 200 Texas Street, Fort Worth, Texas, and NewsBank, Inc. (hereafter "Licensor"), a Delaware corporation registered on the Fort Worth BuySpeed website at https://bso.fortworthtexas.gov/bso/, with its principal place of business at 5801 Pelican Bay Boulevard, Suite 600, Naples Florida. City and Licensor are each individually referred to herein as a"Party"and collectively as the"Parties." WHEREAS, the parties have previously entered into a NewsBank License Agreement known as Contract No.40795 (the"Contract"); and WHEREAS, the Contract was executed by the City on behalf of the Fort Worth Public Library(the"Library")for access to certain products subscribed to by the Library from time to time; and WHEREAS,the original subscription term for access to news databases:America's News, Genealogy Bank,and Historical Newspapers(the"Subscription"); under the Contact expired on June 30,2017; and WHEREAS, the Contract allows for initial subscriptions and renewal subscriptions so long as the Parties mutually agree to same; and WHEREAS,the Subscription was last renewed July 1,2019 through June 30,2020; and WHEREAS, the City and Contractor now wish to renew the term of the Subscription for continued access pursuant to the original Contract for an additional year, specifically from July 1, 2020, to June 30, 2021 using the attached NewsBank Renewal Notice# RTRN952290 dated 4/3/2020 for pricing(Such Renewal Notice being a Subscription Form under the Contract). NOW, THEREFORE, City and Contractor acting herein by and through their duly authorized representatives,enter into the following agreement to renew the Subscription: 1. WORTH,TX 30, 2021, unless terminated earlier in accordance with the Contract. 2. The City will process payment for NewsBank Renewal Notice#RTRN952290. 3. The Subscription will continue to be governed by the terms and conditions of the Contract. 4. The terms and conditions of the original Contract remain unchanged.
