WHEREAS, the City of Fort Worth (City) and Carollo Egineers,
Inc. , (Engineer) made and entered into City Secretary Contract No.
38537, (the Contract) which was authorized by the City Council by
M&C C-23490 on the 28th day of April, 2009; and
WHEREAS, the Contract involves engineering services for the
following project:
Village Creek Wastewater Treatment Plant Secondary Area and Filter
Rehabilitation and Modifications, Project No. P275-70130 0128980
WHEREAS, it has become necessary to execute Amendment No. 2
to said Contract to include an increased scope of work and revised
maximum fee;
NOW THEREFORE, City and Engineer, acting herein by and
through their duly authorized representatives, enter into the
following agreement which amends the Contract:
1.
Article I of the Contract is amended to include the
additional engineering services specified in M&C C-24530,adopted
by the City Council on the 12 day of October 2010 and further
amplified in a proposal letter dated July 13, 2010, copies of
which are attached hereto and incorporated herein. The cost to
City for the additional design services to be performed by
Engineer total $ 350,000. 00 .
2.
Article II of the Contract is amended to provide for an
increase in the maximum fee to be paid to Engineer for all work
and services performed under the Contract, as amended, so that the
total fee paid by the City for all work and services shall not

exceed the sum of $ 1,392,000 . 00.

Dear Farida:
Attached is the scope of work and fee associated with the engineering efforts for Amendment
No. 2 to the Village Creek Wastewater Treatment Plant Secondary Area and Filter
Rehabilitation and Modifications project. Amendment No. 2 is for providing engineering services
during construction for the above mentioned project.
The detailed scope of services for Amendment No. 2 is described in "Attachment A-1". The fee
justification and proposed M/WBE goal is summarized in "Attachment A-2". The proposed fee
for Amendment No. 2 is $ 350,000. The proposed M/WBE goal for Amendment No. 2 is 21%.
We will achieve this goal by utilizing Gupta and Associates, Inc. (GAI)for electrical and
instrumentation and Jaster-Quintanilla (JQ)for structural work. Attachment A-3 outlines scope
items that are beyond the scope of work or are considered additional services.

SCOPE OF SERVICES
AMENDMENT NO.2
VILLAGE CREEK WASTEWATER TREATMENT PLANT
SECONDARY AREA AND FILTER REHABILITATION AND MODIFICATIONS
ENGINEERING SERVICES DURING CONSTRUCTION
The scope of work presented herein represents the Office Services portion of the
Engineering services During Construction for the Village Creek Wastewater Treatment
Plant Secondary Area and Filter Rehabilitation and Modifications Project.
ENGINEER will support the construction phase for office services. Field services and on
site representation will be provided by qualified CITY designated personnel. The
required level of engineering services is highly dependent on the experience and quality
of the CONTRACTOR and experience of the CITY's Resident Project Representatives.
CITY and ENGINEER will review the job progress on a quarterly basis in accordance
with the construction schedule, to verify the assumed effort required to complete job
tasks as defined in the Scope of Services.
ENGINEER will endeavor to protect CITY in providing these services however, it is
understood that ENGINEER does not guarantee the CONTRACTOR's performance, nor
is ENGINEER responsible for supervision of the CONTRACTOR's operation and
employees. ENGINEER is not responsible for the means, methods, techniques,
sequences, or procedures of construction selected by the CONTRACTOR, or any safety
precautions and programs relating in any way to the condition of the premises, the work
of the CONTRACTOR or any SUBCONTRACTOR. ENGINEER is not responsible for the
acts or omissions of any person (except its own employees or agents) at the project site
or otherwise performing any of the work of the Project.
Task 500 —General Administration
Subtask 510— Project Administration & Coordination
ENGINEER will furnish general administrative services to remain current on the project
status and to provide organized execution of work and retrieval of information.
ENGINEER will coordinate work of subconsultants and communicate with CITY staff.
ENGINEER will provide the necessary MWBE submittal and progress report required by
CITY. ENGINEER will provide CITY with monthly progress reports on services
performed. Monthly progress reports will include information such as cumulative
percentage of the overall budget expended, a brief description of work performed during
the reporting period, and such other information as may be appropriate.
Subtask 520--Filing Maintenance
ENGINEER will maintain electronic filing system using CITY's BUZZSAW for the
duration of the project assumed at 15 months.

Subtask 530—Pre-Construction Conference
ENGINEER will conduct a pre-construction conference to establish communication
procedures between the CITY, CONTRACTOR, and ENGINEER; to review schedule,
submittal requirements, shut-down and operational constraints; and other construction
issues.
Task 600 — Engineering Services during Construction
The ENGINEER will provide engineering services during construction as described
below. Services in excess to what is described below are considered additional services.
Services are based on a construction time not exceeding 15 months in accordance with
the construction contract documents.
Subtask 610—Monthly Progress Meetings and Site Visits
ENGINEER will visit the project site on a monthly basis and attend monthly progress
meetings. Engineer will also conduct a site visit at the day of the monthly progress
meeting. The purpose of the monthly visits is to consult with OWNER the
CONTRACTOR regarding project issues. This task allows for total of up to fifteen (15)
visits, with an average of four (4) hours per person per visit at the job site and one
person per visit.
Subtask 620— Weekly Coordination
ENGINEER will participate in weekly conference calls with CITY, CONTRACTOR, and
CITY's Resident Inspector. The intent of these conference calls is communicate with
CITY's Resident Inspector the intent of contract documents, discuss design details, stay
current on project progress, and assist in resolving situations that may arise during the
construction.
Subtask 630—Additional Site Visits
The ENGINEER will conduct additional site visits to observe certain construction tasks,
review or verify field conditions, assist in start-up procedures as needed or requested by
CITY for a total of fifteen (15) visits through out the construction period as follows.
A. Structural. Up to two (2) visits.
B. Process Mechanical & Piping. Up to nine (9) visits.
C. Electrical/ I&C. Up to four(4)visits.
Subtask 640— Submittals
ENGINEER will review technical Shop Drawings, Record Data, Operation and
Maintenance Manuals, and other submittals for conformance with the intent of the
Contract Documents. This task assumes a maximum of two hundred (200) submittals
and re-submittals. Additional submittals or excessive reviews will be considered as
additional service. ENGINEER will track the budget expended for submittal review
beyond (2) two re-submittal for reimbursement by CONTRACTOR through CITY.
Submittals will generally be reviewed and returned within the timeframe allotted per the
Construction Documents.

Subtask 650—Responses to Requests for Information
CONTRACTORS issue Requests for Information (RFIs) periodically during the course of
a construction project to clarify details associated with the design project. The
ENGINEER will prepare responses to substantive RFIs. It is assumed that up to forty
(40) RFI responses will be prepared throughout the duration of the project.
Subtask 660— Change Orders
Review and provide the CITY with recommendations on CONTRACTOR'S CHANGE
ORDER (CO) requests. A total of two (2) change orders are assumed for this task.
Change orders that are assumed for this task are for elements that do not require
additional design or extensive engineering effort.
Subtask 670—Project Closeout
ENGINEER will assist in project completion activities at the conclusion of the
construction. Including observation of completed construction for general conformance
with the design concept and preparation of a list of deficiencies to be corrected by the
CONTRACTOR before final payment can be recommended. Services include preparing
a preliminary list of deficiencies; a follow-up review of project after the punch list has
been completed by the CONTRACTOR, and a final walk through with the CITY staff.
Subtask 680—Record Drawings
Using information obtained from CONTRACTOR's record drawings and the field set of
contract documents maintained by CITY, ENGINEER will revise the Contract Documents
at the end of the project to record drawing status. The drawings will be issued in draft
form for review and comment by the CITY. A final set will be prepared based on
comments received. It is assumed that CONTRACTOR will provide a detailed set of
drawings showing changes made throughout the construction.
Deliverables:
Five (5) reduced size (11" x 17") bond sets of record drawings will be submitted to the
CITY along with a CD of the electronic drawings (AutoCAD v. 2006 and pdf format).

ADDITIONAL SERVICES
AMENDMENT NO.2
Additional services not included in the scope of work are listed below:
A. Materials testing for confirmation of Contractor's materials preparing applications and
supporting documents for government grants, loans, planning advances, and providing
data for detailed applications.
B. Modification to the project elements resulting in additional design work.
C. Preparing or reviewing Environmental, Archeological Surveys, Impact Assessments or
Statements, Hazardous Materials Management Plan and Section of the Clean Water Act
404 permit applications.
D. Resident Representation for Project.
E. Warranty Inspection for Project.
F. Submittal reviews in excess to the number stipulated in the scope of work.
G. (Request for Information) RFI responses in excess to the number stipulated in the scope
of work.
H. Change orders in excess of the number stipulated in the scope of work.
I. Facility Operations and Maintenance Manual (different from equipment Operations and
Maintenance Manual submittals).
J. Appearing before regulatory agencies or courts as an expert witness in any litigation with
third parties or condemnation proceedings arising from the development or construction
of the Project, including the preparation of data and reports for assistance to the City.
K. Investigations involving detailed consideration of operation, maintenance, and overhead
expenses, and the preparation of rate schedules, earnings and expense statements,
feasibility studies, appraisals, evaluations, assessment schedules, and material audits or
inventories required for certification of force account construction performed by the City.
L. Attending additional meetings or site visits beyond those specifically identified in scope
of work services.
M. Design, contract modification, studies, or analysis to comply with Local, State, Federal,
or other regulatory agencies that become effective after the date of this agreement.
N. Additional design effort not specifically included in the scope of work.

O. Providing additional copies of reports and studies.
P. Assistance to the City as an expert witness in any litigation with third parties, arising from
the development or construction of the project including the preparation of engineering
data and Preparation of all applications and supporting documents for governmental
grants, loans or advances in connection with the Project; preparation or review of
environmental assessments and impact statements; review and evaluation of the effect
on the design requirements of the Project of any such statements and documents
prepared by others; and assistance in obtaining approvals of authorities having
jurisdiction over the anticipated environmental impact of the Project.
Q. Services after the award of each contract in evaluating substitutions not specified in an
"or equal" proposed by the Contractor(s) as authorized by the City.
R. Making revisions to Drawings and Specifications occasioned by substitutions.
S. Additional services during construction made necessary by:
1. Work damaged by fire or other cause during construction.
2. A significant amount of defective or neglected work of contractor(s).
3. Construction period beyond what was specified in the basic services.
4. Acceleration of the progress schedule required by the City involving services
beyond normal working hours, and default by contractor(s).

Filters Rehabilitation and Modifications (COUNCIL DISTRICT 5)
RECOMMENDATION:
It is recommended that the City Council authorize the City Manager to execute Amendment No. 2 in the
amount of$350,000.00 to City Secretary Contract No. 38537,with Carollo Engineers,P.C.,for the design of
Village Creek Wastewater Treatment Plant secondary area and filters rehabilitation and modifications,
thereby increasing the contract cost to$1,392,000.00.
DISCUSSION:
On April 28, 2009, (M&C C-23490)the City Council authorized the execution of an engineering agreement
with Carollo Engineers,P.C.,in the amount of$893,000.00 for the design of Village Creek Wastewater
Treatment Plant(WWTP) Secondary and Filter Rehabilitation and Modification. The project consists of the
rehabilitation and modification of final clarifiers 22 and 24,return sludge pump station modifications,the
deep bed media filters study and valve replacement and the traveling bridge/continuous backwash filter
modifications.
On March 9, 2010, (M&C C-24127)Amendment No. 1 in the amount o f$149,000.00 was approved, which
included detailed assessment of deep media filters,piping modifications for separating(Return Activated
Sludge)RAS Pump Station 6 and 7,yard piping and meter vaults for primary effluent flow, geotechnical
investigation, as well as deletion of deep media filter bulkhead design.
This Amendment No.2 includes engineering services during construction for the Village Creek WWTP
Secondary and Filter Rehabilitation and Modification. These services will include project administration and
coordination;maintenance of electronic filing system;pre—construction conference;monthly progress
meetings and site visits; weekly coordination with City, Contractor and Inspector;review of shop drawings,
pay estimates,record data, operational&maintenance manuals and other submittals;project completion
activities; and furnishing of Record Drawings.
Carollo Engineers,P.C.,proposes to perform the necessary additional engineering work for an amendment
fee not to exceed$350,000.00.The City staff considers this amendment to be fair and reasonable for the
additional scope of services proposed.
Carollo Engineers,P.C.,is in compliance with the City's M/WBE Ordinance by committing to 21 percent
M/WBE participation on this Amendment No. 2. The City's goal on this Amendment is 21 percent.
This project is located in COUNCIL DISTRICT 5 (Mapsco 68N) and serves all districts.
FISCAL INFORMATION:
The Financial Management Services Director certifies that funds are available in the current capital budget,
as appropriated, of the Sewer Capital Projects Fund.
