HomeMy WebLinkAboutContract 48301-A2 CSC No.48301-A2 SECOND AMENDMENT TO FORT WORTH CITY SECRETARY CONTRACT NO. 48301 This Second Amendment is made between the City of Fort Worth("FORT WORTH"), a municipal corporation, acting herein by and through Dana Burghdoff, its duly authorized Assistant City Manager and("Aqua Metric Sales Company"), a registered d/b/a of Thirkettle Corporation, a California Corporation("Consultant or Contractor") acting herein through Tommy Thirkettle, its duly authorized President. RECITALS: WHEREAS, FORT WORTH and Contractor entered into an Agreement identified as Fort Worth City Secretary Contract No. 48301 (the "Contract") for a period of five (5)years beginning October 14, 2016 to expire no later than March 31, 2021; and WHEREAS, it is the collective desire of both FORT WORTH and the Contractor to execute this Second Agreement to amend the Scope of Work to modify the program as depicted in Attachment A for continued program support based on the current demonstrated successful performance of the Contractor; and WHEREAS, the Parties agree that due to the collaborative nature of the AMI Program, certain changes are necessary to complete the AMI Program and effectuate the Contract; AND WHEREAS, the Parties have been authorized to now agree to memorialize in this Amendment No. 2 to the Contract. The changes the City and Contractor intend to include are attached hereto as Attachment A,Attachment B and Attachment C,which are hereby attached hereto and incorporated herein. AGREEMENTS: NOW THEREFORE, KNOWN ALL BY THESE PRESENT: This Second Amendment shall commence upon the date of complete execution("Effective Date") and not expire no later than March 31, 2021. 1. Memorializing the Parties intent to amend the agreement for program changes in accordance with Attachment A,this Second Amendment to Fort Worth City Secretary Contract No. 48301, which amends Exhibit A, Statement of Work and Exhibit B accordingly; and 2. MyH2O Program Manager F ECORD:%,; ETARY`'H, T Second Amendment to Fort Worth City Secretary Contract No.48301 Page 4 of 17 "ATTACHMENT A—Amendment to Exhibit A- Statement of Work" SECOND AMENDMENT TO FORT WORTH CITY SECRETARY CONTRACT NO. 48301 Proposed Contract Modification Requests (PCMR) were administratively approved and shall be incorporated formally into this Amendment No. 2 to City Secretary Contract Number 48301. 1. Modifications related to the AMI Network:The AMI Network consists of 30 sites strategically located across the service area to capture individual water meter usage data through wireless transmissions. The process of siting, licensing, permitting and installing the necessary equipment in a rapidly changing market required flexibility and focus. The end result is a stable communication network for the Fort Worth water utility that adequately covers the service area to enable remote reads of nearly all water meters. The original contract budget was overly conservative and did not include all of the services required to develop documents to permit the equipment installation in the City of Fort Worth. The following items are the changes needed to complete the AMI Network: 1.1. PCMR01 and PCMR04: Load Studies: Aqua Metric procured structural engineering services on behalf of the city to produce load studies for nine (9) city-owned and (18) leased network sites. The load studies provided necessary documentation required for the City's permit of AMI Network installation and ensured the existing towers could safely support the additional equipment. 1.2. PCMR02: Civil Drawings for Antenna Installations: Aqua Metric procured civil engineering services on behalf of the city to produce site surveys. The site surveys provided necessary documentation required for the City's permit of AMI Network installation. 1.3. PCMR03: Electrical Drawings for Permits: Aqua Metric procured professional services on behalf of the city to produce electrical design drawings. The electrical design documents provided necessary documentation required for the City's permit of AMI Network installation. 1.4. PCMR05: ATC Lease Sites:The City requested the Contractor alter the original project phasing and proceed with full city-wide AMI network installation. The rapidly changing market forces along with the need to have a comprehensive network solution necessitated the change. To deploy the AMI Network,Aqua Metric executed licenses/ leases with American Tower Corporation for 19 sites, facilitating full deployment of the AMI Network. This decision to secure all the AMI Network sites earlier than planned was made to manage the risks associated with losing key locations. PCMR07, PCMR08, PCMR09 and PCMR10 Additional Tower Sites: Added communication sites and equipment for appropriate coverage of the full city-wide AMI network. 2. Software and Professional Services: The AMI Solution originally proposed by Aqua Metric included budget for some software and professional services in excess of actual needs in some areas and short in others. The following items summarize the budget balancing of these services. 2.1. Regional Network Interface:The RNI SaaS fees were originally budgeted to be paid out of the capital project. These costs were classified as operating in nature and as a result the contract was assigned to the city and paid from the city's operating budget. This amendment reallocates the remaining budget balance to offset other costs within the project. 2.2. Harris Software Licenses:The City purchased the software licenses for the Harris MDMS and is working towards the MDMS implementation. However, the proposed portal did not meet the City's long-term customer engagement requirements (PCMR13) and the city opted to pursue a different portal solution. This amendment reallocates the unused budget for the Harris customer portal to offset other costs within the project. 2.3. SEW Customer Portal: The City determined the SEW Customer portal meets the long- term customer engagement requirements. Therefore,the City and Aqua Metric approved PCMR25 which allows Aqua Metric to procure the SEW software and implementation services on behalf of the City. Aqua Metric assigned the SEW contracts over to the City. 2.4. Utiliworks Professional Services: A portion of the Utiliworks professional services was deleted from the scope of work (PCMR11). This amendment reallocates the unused budget to offset other costs within the project. 2.5. MuleSoft Integration:The City has identified MuleSoft software as an integration platform to meet the City's MyH2O Program requirements. Therefore,the City and Aqua Metric approved PCMR26 allowing Aqua Metric to procure the MuleSoft software and implementation services on behalf of the City. Aqua Metric assigned the MuleSoft contracts over to the City. 2.6. Tenon: The City has determined a need for some preliminary data management professional services to assist staff with the increasing amount of water usage, billing and other data. The City and Aqua Metric approved PCMR24 securing Tenon services on behalf of the City. Aqua Metric assigned the Tenon contracts over to the City. Omni Meter 1-1/2"and 2" (PCMR15):The initial contract included procurement of Omni R2 meters for locations with either 1 %" or 2" service. The Omni R2 meter is designed for large residential applications and therefore has lower accuracy when measuring high flow consumption. The City requested a change from Omni R2 to Omni C2 and Omni T2 type meters. Fort Worth intends to deploy the Omni C2 for all "water account" services and the Omni T2 for all "irrigation" services. The Omni C2 and T2 (designed for commercial applications) support a higher flow rate metering compared to the Omni R2. In addition,the Omni C2 and T2 include additional features like data logging, pulse output, etc. The unit cost of the Omni C2 and T2 is higher. The quantities required have been offset due to ongoing large meter exchange work in a separate contract and updated billing/account information. The City intends to exchange 100% of the existing meters in the system with Aqua Metric, using the Sensus meters for a complete and functional system. In the event additional meters and endpoints are needed to complete the project, the City will allocate the additional funding necessary. The City and Aqua Metric will work together in good faith to execute a suitable contract format at that time to procure and install the required meters, and any additional services related to the AMI system from Aqua Metric. Installation: 4.1. Product Warehousing(PCMR06):The Contractor requested an increase in the program budget for leasing a warehouse in Fort Worth. The rapidly changing real estate market resulted in an extremely competitive market. The City and Aqua Metric agreed to increase the monthly budget for the warehouse and, both parties agreed the warehouse would be necessary for a longer duration than the original forecast. 4.2. Plugs for Drilling Holes-Meter Box Lids(PCMR14 and 14A): The meter exchange process consists of two site visits that may be eight weeks apart. The first step includes the drilling of a hole in the meter box lid. This results in a two-inch hole that may allow debris to fall in and the existence of the open hole may present a hazard to pedestrians. The Contractor will provide a cap for the holes until the meter smart/endpoint equipment can be installed. 4.3. Meter Box Prep for Full Program Implementation (PCMR19): The meter box preparation services consist of removing dirt, pests and debris from the existing meter box and drilling a hole into the meter lid to eventually receive the radio endpoint during the meter exchange process. The price increase for this effort is to address increases in the cost of labor since the original budget was developed in 2016. 4.4. Residential Direct Connect for Full Program Implementation (PCMR20): During the Initial Deployment phase, Aqua Metric encountered locations where customer service was directly connected to the City's meter (that is, without a fitting that would allow the installer to disconnect the meter from the customer service piping). To facilitate the meter exchange, Aqua Metric will handle this pre-existing issue by providing additional services to work the location, exchange the meter and install a coupling in accordance with Fort Worth standards. The cost for this work per location is $205.00 (materials and labor). Based on forecasts, this affects approximately 1000 locations. 4.5. Flange Kit Install for Full Program Implementation (PCMR21): During the Initial Deployment phase, Aqua Metric encountered locations where services were connected to meters over 1-1/2-inch in diameter with a threaded connection. The Omni meter requires a flanged meter connection. To complete the meter exchange,Aqua Metric will address this pre-existing issue by providing additional services to install flange kits. The cost to install flange kits is$475.00 (materials and labor)for each location. Based on forecasts, approximately 500 flange kit installations will be needed. 4.6. Meter Box Reset for Full Program Implementation (PCMR22): During the Initial Deployment phase, Aqua Metric encountered locations where meter connections were inaccessible through the normal meter box opening. To access the meter connections, Aqua Metric's installers must temporarily remove the meter box. The cost to perform the meter box reset is $30.00 per location. Meter Lid/Box Replacement (PCMR26): During the Initial Deployment phase,Aqua Metric encountered locations where meter box lids and/or boxes needed to be installed or replaced. To complete the project,Aqua Metric will procure both meter lids and meter boxes to be used at the locations where boxes and/or lids are missing or require replacement. This amendment gives Aqua Metric the approval to purchase meter boxes and lids that conform to the Fort Worth standard products. 5. Leak Detection (PCMR12):The solution proposed by the Contractor was rejected by the City. The replacement of existing leak detection equipment shall be completed through the operating division's budget under a separate contract. This amendment reallocates the remaining budget balance to offset other costs within the project.
