HomeMy WebLinkAboutContract 48488-A1 May 15, 2020 CSC No. 48488-A1 3:16 pm AMENDMENT TO CITY SECRETARY CONTRACT NO. 48488 STORMWATER FACILITY MAINTENANCE AGREEMENT This AMENDMENT TO CITY SECRETARY CONTRACT NO 48488, STORMWATFR FACILITY MAINTENANCE AGREEMENT (this "Amendment"), is made and entered into by and between the City of Fort Worth,a municipal corporation of Tarrant, - - -- Denton,--Parker,-Wise;-and--Johnson Counties; Texas, acting-herein-by-an-d-through its-zluly - -- authorized City Manager or duly designated Assistant City Manager, hereinafter referred to as the "City", Quail Valley Devco 1, LLC, hereinafter referred to as "Landowner', and Walsh Homeowners Association 1, Inc., hereinafter referred to as"Association." RECITALS WHEREAS,the City, Landowner and Association entered into City Secretary Contract No. 48488(the"Agreement"),effective December 22,2016,with respect to construction and maintenance of on-site stormwater management facilities(the"Facility")on approximately 217.70 acres of land in Parker County,Texas,owned and developed by Landowner as Walsh Ranch Quail Valley Phase l C: and WHEREAS,the Agreement was recorded in the real property records of Tarrant County op December 28, 2016 as Instrument#D216302077 and in the real property records of Parker County on February 27,2019 as Instrument#201904411; WHEREAS,the Agreement defines"Facility"to include a 1.6-acre detention pond described as Pond 3C;and WHEREAS, the Agreement contains Exhibits A and B that depict the location and design specifications of the Facility, including without limitation Pond 3C;and Amendment to Stormwater Facilities Maintenance Agreement—Page I OFFICIAL RECORD CITY SECRETARY FT. WORTH,TX WHEREAS, Quail Valley Devco II, LLC, an affiliate of Landowner ("Devco 1I"), is developing Walsh Ranch Quail Valley Phase II on property adjacent to the western boundary of Walsh Ranch Quail Valley Phase 1C; and WHEREAS, in connection with development of Walsh Ranch Quail Valley Phase II, Pond 3C will be expanded from 1.6 acres to 2.571 acres in order to serve both Phase 1 C and Phase H and will be renamed Pond B-3C(Revised);and WHEREAS,Pond B-3C(Revised)will be constructed partly on land owned by Landowner; partly on land owned by Devco H, consisting of a portion of PA 2, a 182.393 acre tract of land described in a deed to Devco H recorded in Document#201815085 of the Official Public Records of Parker County, Texas, and more expressly described in Exhibit A-1 (the "Devco II Tract"); and partly on land owned by Walsh Ranches Limited Partnership("Walsh Ranches LP"),consisting of a portion of a tract of land described in a deed to Walsh Ranches LP as recorded in Volume 1699, Page 1865,of the Deed Records of Parker county,Texas,and more expressly described in Exhibit A-1 (the "Walsh Ranches LP Tract"); and WHEREAS, Devco II and Walsh Ranches LP are subject to the rights and obligations set out in Section 5 of this Agreement, only, including without limitation to allow Devco I, the Association, its successors and assigns the right to access across the Devco II Tract and the Walsh Ranches LP Tract, as reasonably needed to perform Devco I's and the Association's obligations pursuant to this Agreement; WHEREAS, Pond B-3C (Revised) as described by this Amendment will be a "Facility"as defined in the Agreement and will be governed by the Agreement; and WHEREAS, this Amendment does not modify the other detention ponds described in the Agreement; and Amendment to Stormwater Facilities Maintenance Agreement—Page 2 WHEREAS,it advisable to execute this Amendment to replace portions of Exhibits A and B to the Agreement describing Pond 3C with Exhibits A-1 and 13-1 attached hereto describing Pond 13- 3C (Revised)and to insert a new Exhibit D containing inspection checklists; and WHEREAS,with the exception of such changes,the Agreement will remain in full force and effect; NOW THEREFORE, City, Landowner and the Association, acting herein by and through their duly authorized representatives, agree as follows: 1. Exhibit A to the Agreement, is hereby supplemented by Exhibit A-1, describing Pond B-3C (Revised). All references in Exhibit A to Pond 3C shall be superseded by Exhibit A-1. The remainder of Exhibit A shall remain in full force and effect without change. 2. Exhibit B to the Agreement is hereby supplemented by Exhibit B-1, describing Pond B-3C (Revised). All references in Exhibit B to Pond 3C shall be superseded by Exhibit B-1. The remainder of Exhibit B shall remain in full force and effect without change. 3. Exhibit D to the Agreement is hereby replaced by Exhibit D attached hereto. 4. Pond B-3C (Revised) shall constitute a Facility, as defined in the Agreement. The City will look solely to Landowner and Association for construction and maintenance of Pond B-3C(Revised) in accordance with the Agreement, as amended by this Amendment. By signing this Agreement, Devco II and Walsh Ranches LP (i)consent to construction and maintenance of Pond B-3C on property owned by Devco II and Walsh Ranches LP, expressly described in Exhibit A-1; and (ii) grant to Devco 1, the Association, its successors and assigns the right to access across the Devco II Tract and the Walsh Ranches LP Tract to perform the obligations of Devco I and the Association pursuant to the Agreement,as amended. The City acknowledges that Devco II and Walsh Ranches LP have no obligations whatsoever with respect to Pond B-3C(Revised) pursuant to the Agreement,as amended,except as expressly stated in this Section 5_ 6. This Amendment shall be filed with the City Secretary as an amendment to the Agreement and recorded among the land records of Tarrant County, Texas and Parker County, Texas, shall constitute a covenant running with the land,and shall be binding on the Landowner,Association,and their administrators,executors,assigns,heirs and any other successors in interests. 7. All provisions of the Agreement which are not expressly amended herein shall remain in full force and effect.
