MEMORANDUM OF OIL AND GAS LEASE
§ KNOW ALL MEN BY THESE PRESENTS:

BE IT REMEMBERED that on the j
and Gas Lease was made and entered into by and
home rule municipal corporation of the State

between the CITY OF FORT WORTH, a
of Texas, 1000 Throckmorton Street, Fort
Worth, Texas 76102, hereinafter called "(LESSOR)"; and XTO Energy Inc., 810 Houston
Street, Fort Worth, Texas 76102, hereinafter called ("LESSEE"), where LESSOR hereby grants,
leases and lets exclusively to LESSEE for the purpose of exploring for, developing, producing
and marketing oil and gas, together with any liquid or gaseous substances produced in
association therewith, from the following described land situated in Tarrant County, Texas, to.
wit:
SEE EXHIBIT "A" ATTACHED HERETO AND MADE A PART HEREOF
Subject to the other provisions therein contained, said lease provides for a primary term
of two (2) years, from the date thereof, and as long thereafter as oil or gas or other substances
covered therein are produced in paying quantities from the leased premises or from lands pooled
therewith, or this lease is otherwise maintained in effect pursuant to the provisions therein.
An Executed copy of said Oil and Gas Lease is in the possession of LESSEE at its
address indicated above.

k-844, and the William Welch Survey, A-1644, Tarrant County, Texas, and being more particularly
described in the following nine (9) tracts of land:
TRACT 1: 0.065 of an acre, more or less, being a called 0.009 of an acre, being the west 10 feet of Lot 17
Block 4, Grainger's First Addition, an Addition to the City of Fort Worth, Tarrant County, Texas,
according to the Plat thereof recorded at Volume 31, Page 405, Official Public Records, Tarrant County,
Texas, and being more particularly described in that certain Condemnation Suit filed on October 16,
1929, between the City of Fort Worth vs. A. Engler, et ux, as recorded at Cause No. 28452, District Court
Records, Tarrant County, Texas; and
TRACT 2: 0.003 of an acre, more or less, being a called 0.002 of an acre, being more particularly
described in that certain Warranty Deed, dated November 26, 1973, from Louis Engler and Joseph I.
Engler, Independent Executors of the Adolph Engler Estate, to the City of Fort Worth, a municipal
corporation, as recorded at Volume 5585, Page 395, Official Public Records, Tarrant County, Texas; and
TRACT 3: 0.045 of an acre, more or less, being a called 0.011 of an acre, being the West 10 feet of Lot 2,
Block 4, Grainger's First Addition, an Addition to the City of Fort Worth, Tarrant County, Texas,
according to the Plat thereof recorded at Volume 31, Page 405, Deed Records, Tarrant County, Texas,
and being more particularly described in that certain Warranty Deed, dated May 24, 1937, from Nelle
Rouer, a feme sole, to the City of Fort Worth, a municipal corporation, as recorded at Volume 1332, Page
208, Official Public Records, Tarrant County, Texas; and
TRACT 4: 0.002 of an acre, more or less, being more particularly described in that certain Judgment,
dated January 20, 1978, between the City of Fort Worth vs. Mattie Ola Sutton, et al, as recorded at
