STATE OF TEXAS § FIRST AMENDMENT TO
§ CITY SECRETARY CONTRACT
COUNTY OF TARRANT § N0.39453
This FIRST AMENDMENT TO CITY SECRETARY CONTRACT NO. 39453 is made and
entered into by and between THE CITY OF FORT WORTH ("CITY"), ahome-rule municipal
corporation of the State of Texas, acting by and through its duly authorized Assistant City
Manager, and BUXTON COMPANY ("CONSULTANT"), acting by and through its duly
authorized representative.
WHEREAS, on October 13, 2009, the City Council adopted M&C C-23850, which
authorized execution of an agreement with CONSULTANT for a Customer Analytics Study for
the Fort Worth Library's Comprehensive Plan; and
WHEREAS, CITY and CONTRACTOR made and entered into City Secretary Contract
No. 39453 ("CONTRACT") to provide services in accordance with M&C C-23850; and
WHEREAS, the Parties have discovered that Subparagraph (i) of Subsection 3(b),
"Structure of Payments," of Section 3, "Compensation," incorrectly allocates CONSULTANT'S
compensation; and
WHEREAS, the Parties wish to amend the CONTRACT to correct this error.
NOW, THEREFORE, CITY and CONSULTANT, agree as follows:

Subparagraph (i) of Subsection 3(b), "Structure of Payments," of Section 3,
"Compensation," of the CONTRACT is deleted in its entirety and replaced with the following:
i. The Consultant's fee will be divided into three payments corresponding to
certain project milestones as follows:
Execution of Contract $69,000.00
Delivery of CustomerID Profile $349500.00
Delivery of Final Report $34,500.00
All other portions of Section Three, "Compensation," shall remain in full force and effect
throughout the initial term and any renewals.
2.
All other provisions of the CONTRACT that are not expressly amended herein shall
remain in full force and effect throughout the initial term and any renewals.
