§ CITY SECRETARY CONTRACT
COUNTY OF TARRANT § NO. 42340
This AMENDMENT TO CITY SECRETARY CONTRACT NO. 42340 ("Amendment") is made
and entered into by and between THE CITY OF FORT WORTH ("CITY"), a home rule municipal
corporation situated in Tarrant, Denton, Parker and Wise Counties acting by and through its duly authorized
Assistant City Manager, and SKIRE, INC., ("CONSULTANT") acting by and through its duly authorized
representative.
WHEREAS, the CITY and CONSULTANT, made and entered into City of Fort Worth City Secretary
Contract("CSC")No. 42340,on or about September 29, 2011 (the"Agreement"); and
WHEREAS, the Agreement involved Consultant services to configure and implement enhancements
for the City's Capital Projects Management System("CPMS"); and
WHEREAS, the parties now wish to amend the Agreement to extend the term, increase the payment,
and expand the services under the Agreement.
NOW,THEREFORE, CITY and CONSULTANT, agree as follows:
I.
Section 1,Scope of Services, shall be amended to add the following:
Consultant shall also provide the following professional consulting services:
• Complete the full configuration and build out of City of Fort Worth-approved, Shells-based Planning
Manager design from City of Fort Worth uStage Environment in the CPMSIUnifier Production
Environment(the"Project");
• Use Consultant resources to lead the effort for the Project;
• Be responsible for completing the configuration/build out of the approved design in the CPMS
Production Environment;
• Use Consultant resources to train and direct City of Fort Worth resources, working in conjunction with
the Consultant resources, in the build out of the Shells-based Planning module in the CPMS Production
Environment, both to expedite the process and to train the City staff on Shells business process and
other configuration and set up.

This Agreement shall commence upon the date that both the City and Consultant have executed this
Agreement("Effective Date") and shall continue in full force and effect until termination in accordance with the
terms herein, but not later than May 1, 2013, unless terminated earlier in accordance with the provisions of this
Agreement.

Section 3—Compensation is amended to increase the amount to be paid to Consultant by$4,000, in accordance
with the provisions of the attached Order Form, # JMCFW0812001-PS, for time and materials professional
consulting services rendered by Consultant,for a total contract amount of$39,000.
In the event that the Scope of Services described in Section 1 of this Amendment will require additional hours of
Skire professional consulting services beyond the 40 hours authorized by this Amendment, then Skire will
provide the City with a revised estimate of hours and, upon mutual agreement, Skire and the City will execute
another amendment to cover the additional hours and fees necessary to deliver the services.
4.
All other provisions of the Agreement that are not expressly amended herein shall remain in full force
and effect.

1)Customer's signature on this Order Form constitutes a binding agreement pursuant to the terms and conditions of the Skire Inc.Software License and Maintenance
Master Agreement,Hosting Agreement,Service Level Agreement and all amendments and order forms executed by the parties,which are incorporated herein by
reference. This Order Form and the aforementioned agreements contain the entire agreement between the parties with respect to the subject matter hereof and
supersede any and all other agreements and communications,written or oral,expressed or implied.
2)Services are billed monthly in arrears with travel expense reimbursable to Skire at cost. Skire Professional Services will not exceed 40 hours under this Order Form.
3)Pricing terms provided to Customer are confidential and for Customer internal use only. t
