WHEREAS, this Amendment No. 1 ("Amendment") to City Secretary Contract No.
40884 (the "Agreement") is entered into Uy and between the City of Fort Worth ("City" or
"Customer") and ESi Acquisitions, Inc., ("ESi") as authorized by the City Council by M&C C-
24468 on the 21 st day of September, 2010; and
WHEREAS, the Agreement involves hosting services for a WebEOC software solution
that provides real-time emergency information management and distribution of information
about incidents and events that affect various geogt•apliical areas and multiple agencies; and
WHEREAS, the original Term of the Agreement expired on November 30, 2013; and
WHEREAS, the parties wish to extend the Term and expand the scope of the Agreement
for continued maintenance and support services;
NOW, THEREFORE, Customer and Esi, acting herein by and through their duly
authorized representatives, hereby amend the Agreement as follows:
Section 1, Definitions, is hereby amended to read as follows:
(a) "Agreement" means this Agreement and its Exhibits, the WebEOC End User License
Agreement (EULA), license agreements for all other software used in performance of the
Agreement, any purchase order issued under this Agreement, and any other signed writings
betwccn the parties that effectively operate to amend this Agreement. If there is any conflict

between the provisions, the order of precedence shall be (1) this Master Services Agreement; (2)
the FULA; (3) this Amendment; and (4) any purchase order issued under this Agreement.
2.
Section 31 Term, of the Agreement is hereby amended to extend the Term to expire
November 30, 2014 ("Extension Term"). Following the Extension Term, the Customer may
renew the Agreement for maintenance and support for one additional year in accordance with the
procedure set forth in Section 4(b) of the Agreement.

Section 4(a), Fees and Payments, is hereby amended to add Exhibit B-1, "Quote for
Services Number Q19773," which is attached hereto and incorporated into the Agreement.
Customer shall pay ESi the amount of $25,990.00 for maintenance and support services during
the Extension Term in accordance with Exhibit B-1.
4.
All other provisions of the Agreement which are not expressly amended herein shall
remain in full force and effect.
