Home My WebLink AboutContract 53407-A2 CSC No. 53407-A2 AMENDMENT NO. 2 TO CITY OF FORT WORTH CONTRACT 53407 This Amendment is entered into by and between the City of Fort Worth (hereafter "City"), a home rule municipality, with its principal place of business at 200 Texas Street, Fort Worth, Texas, and Traf-Sys,Inc. (hereafter "Vendor") a Corporation. City and Vendor shall be referred to individually as a Party and collectively as the Parties. WHEREAS, on January 14, 2020, Parties entered into City Secretary Contract 53407 for Vendor to provide a people counting solution for the Library("Agreement"); and WHEREAS, on March 27,2020,Parties amended the Agreement to reflect the updated locations and needs by the City; specifically to remove two locations and to add three entry points for a new library location; and WHEREAS, the Contract provided the contract would be for a one year term with unlimited one-year renewal options; and WHEREAS, the Parties wish to amend the Agreement to reflect the increase in costs associated with the additional locations added in the first amendment to this Agreement. NOW, THEREFORE, the Parties, acting herein by the through their duly authorized representatives, enter into the following agreement: 1. AMENDMENTS 1. Section 3. COMPENSATION. is hereby amended and replaced in its entirety with the following: City shall pay Vendor in accordance with the fee schedule under this Agreement in accordance with the provisions of this Agreement and Exhibit"B,"--Price Schedule.Total payments made under this Agreement for the first year by City shall be in the amount of Thirty-one thousand seven hundred and fifty-five dollars ($31,755). Total payment made under this Agreement for annual data hosting and reporting following the Initial Term shall be One hundred eighty dollars($180)for each location serviced.Fees for any renewal year shall not increase by more than 3% over the previous year's fees. The City shall be able to add new Library locations by purchasing additional hardware along with data hosting and reporting services for the new location at the then-current rate for the other locations subject to this Agreement. Vendor shall not perform any additional services or bill for expenses incurred for City not specified by this Agreement unless City requests and approves in writing the additional costs for such services. City shall not be liable for any additional expenses of Vendor not specified by this Agreement unless City first approves such expenses in writing. CSC 53407 Amendment 2 Page 1 of 11 Ft WORTH,TX 2. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement which are not expressly amended herein shall remain in full force and effect. 3. ELECTRONIC SIGNATURE This Amendment may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as an original.
