HomeMy WebLinkAboutContract 43482 (2)CITY SECREmpy ONTR4mr NO, DESIGN PROCUREMENT AGREEMENT FOR DESIGN SERVICES NORTH RIVERSIDE DRIVE WHEREAS, Hillwood Alliance Services, LLC, a Texas limited liability company., ("Developer") and the City of Fort Worth, a Texas municipal corporation ("City"), each desires to make certain roadway and street improvements to North Riverside Drive in the City of Fort Worth, Tarrant County, Texas, from Dalton Drive to the North Tarrant Parkway including related water, sewer, and drainage improvements (Phases 3 and 4) (the "Project") as further described on Attachment "A"; and WHEREAS, Developer is a company authorized to do business in Texas and is willing to advance the Project on an earlier schedule than it might otherwise have been implemented; and WHEREAS, Developer and City desire to enter into this Design Procurement Agreement ("Agreement") in order to accomplish the goals of the Parties; and WHEREAS, Developer will retain the services of Peloton Land Solutions ("PLS"). to provide for the design of the Project; and WHEREAS, Staff has reviewed both the scope, fee, and schedule for the design of the Project and find there to be fair and reasonable; and WHEREAS, it is understood that this Agreement may be amended from time to time to accommodate expanded scope and cost participation; and WHEREAS, construction of the Project may be accomplished in phases, and; WHEREAS, City and Developer intend to execute a Community Facilities Agreement that provides for the Developer to award, construct, and seek reimbursement from the City for the construction costs and certain construction related expenses for Phases 3 and 4 of the Project subject to the availability of funding and based on a public bid process, NOW, THEREFORE, For and in consideration of the covenants and conditions contained herein, the City and the Developer do hereby agree as follows: I. General Requirements A. Th Project will generally consist of certain water, sanitary sewer, paving, OFflC L rEC3R t cetscape, and drainage infrastructure improvements related to the corry =LUTA Tr w, orstruction of North Riverside Drive (Phase 3 and 4) from Dalton Rd to the L10 9 l tth Tarrant Parkway as further described on Attachment B hereto. Developer will retain Peloton Land Solutions as the "Engineer" for the Project pursuant to a written agreement approved by the City (the "Engineering Contract") attached as Attachment C. C. City agrees to reimburse Developer for 50% of the actual cost to complete the design of the project Phase 3, an amount not to exceed $100,000.00, upon presentation of plans for Phase 3, including, as appropriate, engineering drawings, studies, renderings, contract specifications, estimates, and other documents, (collectively the "Work Product") necessary to construct the improvements contemplated by this Agreement. Additionally, City agrees to reimburse Developer for 100% of the actual cost to complete the design of the project Phase 4, an amount not to exceed $200,000.00, upon presentation of plans for Phase 4, including, as appropriate, engineering drawings, studies, renderings, contract specifications, estimates, and other documents, (collectively the "Work Product") necessary to construct the improvements contemplated by this Agreement In the event City and Developer enter into a Community Facilities Agreement providing for the Developer to award, construct and seek reimbursement from the City for the City's share of the construction cost and certain related construction expenses for Phase 3 and 4 of the project, the Developer's cost incurred pursuant to the Engineering Contract will become part of the Developer's required participation as set forth in Attachment B In the event no Community Facilities Agreement is entered into on or before August 15, 2012, then City will reimburse Developer for 100% of all cost to design project. D. The Developer covenants and agrees to, and by these presents does hereby, indemnify, hold the city, its officers, agents and employees hainiless against any and all suits, actions or claims of any character, including, but not limited to, those for property damage or loss and/or personal injury including death, that may relate to, arise out of or be occasioned by (i) Developer's breach of any of the teens of this Agreement or (ii) any act or omission of Developer or any of its affiliates, officers, agents, associates, employees, DPA City of Fort Worth — Hillwood North Riverside Drive Page 2 contractors or subcontractors, related to the Project, except that the indemnity provided for in this paragraph shall not apply to any liability resulting from the sole negligence of the City its officers, agents, employees, or separate contractors, and in the event of joint and concurrent negligence of both Developer and the City, responsibility, if any, shall be apportioned comparatively in accordance with the laws of the state of Texas. E. Developer agrees that the Engineering Contract shall include provisions granting to the City the right to enforce such contracts as an express intended third party beneficiary of such contract. IN TESTIMONY WHEREOF, the City and Developer have each caused this instrument to be executed in quadruplicate in its name and on its behalf by its duly authorized representative. The project will be built in (2) phases to be defined as "Dalton - Shiver" (2,400 LF) and 'Shiver to North Tarrant Parkway (2 500 LF). The project will be designed utilizing the COFW design criteria unless otherwise specified or detailed below. BASIC SCOPE OF SERVICES- "DALTON - SHIVER" A. PRELIMINARY DESIGN: 1. PLS will attend a kick-off meeting with Owner to discuss and formalize the project scope, schedule and design parameters PLS will perform topographic field surveys to locate and tie existing driveways, signage, water/sewer/storm drain Infrastructure, trees and slope areas needed to complete the design. 3. PLS will prepare a preliminary alignment layout, centerline profiles and proposed storm drainage infrastructure plans for the proposed improvements. These documents will be submitted to the Owner and/or contractor for review and comment prior to preparation of the final construction documents. 4. PLS will perform a WOUS field investigation for the alignment that will document and/or delineate the current conditions of the area. This scope does not include any permitting of wetlands with the USACE. B. CONSTRUCTION DOCUMENTS: 1. Prepare final roadway construction plans including engineering, design and drafting for the proposed infrastructure improvements. These plans will be prepared in accordance with the City of Fort Worth criteria and include the following: o Paving plan and profile, and typical section consisting of additional turning movement lanes and driveways per the City of Fort Worth standards. Associated pedestrian access, ramps, street crossings and intersection improvements will be included in this design if warranted. o PLS will prepare (1) set of construction phasing plans to include traffic control measures and street lighting design (by outside consultant) per the COFW criteria. o PLS will prepare a drainage area map and the associated hydraulic calculations. o Drainage infrastructure plan and profiles for storm drain improvements / extensions across the roadway alignment. Prepare a ROW Plat in accordance to the COFW criteria for conveyance of ROW. 3. Prepare Storm Water Pollution Prevention Plan (SWPPP) and Specifications. 4. Prepare construction contracts, specifications and construction quantities required for bidding purposes. 5. Easements or legal descriptions for dedication of ROW, utility extensions, slope e asements or access will be prepared by PLS in this scope. (6) Legal descriptions or e asements are anticipated. 6. PLS will prepare a CFA document for the project that will be submitted to the COFW and the contract for review and execution. C. CONSTRUCTION PHASE SERVICES: 1. PLS will provide the following service: o Assist the Owner in the opening and tabulation of bids for construction and recommended course of action. o Attend pre -construction conference at the City of Fort Worth. (Assumes 2 meetings) o Establish a minimum of 2 horizontal and 1 vertical control networks for survey construction staking by others. o Prepare and process change orders and review shop drawings with respect to Industry standard relevance and other submittals by the contractor (anticipates 8 submittals). o Attend a `Final Inspection or Acceptance" meeting for the project as conducted by the City of Fort Worth. 2. PLS will provide franchise utility coordination for the construction of the project. An estimated timeline for production permitting and construction. 4. Rights to access the property (les) along the proposed alignment as representatives of Peloton Land Solutions. It is recommended that the City Council: 1. Adopt the attached appropriation ordinance increasing the estimated receipts and appropriations in the Special Assessments Fund in the amount not to exceed $280,000.00 from available funds; 2. Authorize the transfer of $280,000.00 from the Special Assessments Fund to the New Development Fund 3. Adopt the attached appropriation ordinance increasing estimated receipts and appropriations in the New Development Fund in the amount not to exceed $280,000.00 from available funds; and 4. Authorize the execution of a Design Procurement Agreement with Hillwood Alliance Services, LLC, in the amount not to exceed $280 000.00 for engineering services related to the design of North Riverside Drive from Dalton Road to North Tarrant Parkway. DISCUSSION: The City of Fort Worth currently has a design contract with Teague Nall & Perkins for Phase 2 of North Riverside Drive (M&C C-25080) as reflected in the attached exhibit. Completion of design for Phase 2 of N orth Riverside Drive is scheduled for August 2012. The Transportation and Public Works Department would like to accelerate the engineering design for Phases 3 and 4 such that the design of all three phases are complete in August 2012. The execution of this Design Procurement Agreement will allow Hillwood Alliance Services, LLC, ("Hillwood') to advance the engineering design of Phases 3 and 4 of North Riverside Drive. Hillwood will be responsible for 50 percent of the design costs of Phase 3, North Riverside Drive from Dalton Street to S hiver Road, which abuts their property. The City will reimburse Hillwood Alliance Services 50 percent of the design costs for Phase 3 and 100 percent of the design costs for Phase 4, North Riverside Drive from S hiver Road to North Tarrant Parkway The total of the City's reimbursement under the Design P rocurement Agreement in the amount not to exceed $280,000.00 It is anticipated that the City and Hillwood will enter into a subsequent Agreement for construction of this project.
