Lease Site 1N Hangar Lease (CSC-43608) between the City of Fort Worth and Texas Jet, Inc. for the 1N Hangar ("Leased Premises") Dear Mr. Piginan: As part of the Leased Premises under the above -described lease, your company leases the paved area south of the 1N Hangar. As City staff has discussed with Texas Jet representatives, the City desires to temporarily carve out of the Leased Premises the portion of the parking lot shown on the attached drawing to create a temporary parking lot for other users ("Temporary Parking Lot"). This letter is to set out the terms of the Temporary Parking Lot between the City and Texas Jet, Inc. During the period of June 10, 2015, to June 30, 2016 ("Expiration Date"), the City and Texas Jet, Inc. agree that the area covered by the Temporary Parking Lot is not subject to the Lease and is not a part of the Leased Premises. Texas Jet, Inc. is exempt from all requirements under the Lease as they relate to the Temporary Parking Lot, including but not limited to any and all maintenance obligations. In addition, the monthly lease payment will be reduced by an amount of $69.34 which is calculated at a rate of $0.2881 for 2,888 sf of ground lease space. The City shall place a temporary fence along the north and west perimeter of the Temporary Parking Lot, as denoted on the attached drawing. On the Expiration Date, or earlier if by written agreement of the parties, the Temporary Parking Lot shall return to the Leased Premises and shall immediately be subject to the Lease, and Texas Jet, Inc. shall resume all Lease rights and obligations to the Temporary Parking Lot, including but not limited to any and all maintenance obligations. RECITALS: A. On October 1, 2012, Lessor and Lessee entered into a Hangar and Ground Lease Agreement ("Agreement") for Lease Site 1N ("Premises") at Fort Worth Meacham International Airport ("Airport") in Fort Worth, Tarrant County, Texas. B. The parties have agreed to enter into this Memorandum for the purposes of recording notice of the Lease to protect the rights and interests of Landlord and Tenant as to third parties. NOW, THEREFORE, the parties hereby make the following declarations: 1. The parties to the Agreement are the City of Fort Worth as Lessor, and TEXAS JET, INC., as Lessee. 2. The Premises consist of approximately 101,670 square feet of ground space situated at the Airport, as more particularly described by metes and bounds on Exhibit "A" attached hereto and made a part hereof for all purposes. 3. The term of the Agreement commences on October 1, 2012. The term of the Agreement is five (5) years, unless sooner terminated in accordance with the provisions of the Agreement. 4. Lessee has agreed, pursuant to the terms of the Agreement, to use and/or occupy the Premises solely for aviation -related purposes only and strictly in accordance with the terms and conditions of the Agreement. 5. In the event of any conflict or any inconsistency between the terms and provisions of the Agreement, on the one hand, and the terms and provisions of this Memorandum, on the other hand, the terms and provisions of the Agreement shall control. Nothing contained in this Memorandum shall alter, modify or amend the provisions of the Agreement, which remains in full force and effect according to all of the terms and provisions thereof. 6.
