PROFESSIONAL SERVICES AGREEMENT

CONTRACT NO.
WHEREAS, the City of Fort worth ("City") and Presidio Networked Solutions Group,
LLC, a Delaware limited liability company ("Consultant") and a wholly owned subsidiary of
Presidio Networked Solutions LLC (f.k.a. Presidio Networked Solutions, Inc.), collectively
referred to as the "parties", made and entered into City of Fort Worth City Secretary Contract
("CSC") no. 43551 on or about August 30, 2012 (`Agreement");
WHEREAS, the Agreement involves the procurement of equipment and the
implementing of segmentation in the Water Department's technology network for Payment Card
Industry (PCI) compliance;
WHEREAS, in the first amendment, the parties amended the Agreement to install
hardware and provide implementation services for an EMC RSA two factor authentication
solution;
WHEREAS, in the second amendment, the parties amended the Agreement to provide
implementation services for replacing an existing, end of life Juniper Firewall cluster on its
Internet connection with new Juniper SRX240 Firewall appliances;
WHEREAS, in the third amendment, the parties amended the Agreement to add the
installation of two additional IPS licenses to increase the functionality of the firewall, as well as
support for the Juniper devices;
WHEREAS, in the fourth amendment, the parties amended the Agreement to add
equipment and professional services for the migration of network infrastructure from the existing
server space at City Hall into the consolidated server room, in support of the City's energy
savings performance contract (ESPC) with Johnson Controls; and
WHEREAS, in this, the fifth amendment, the parties are amending the Agreement to add
additional equipment for the migration of network infrastructure from the existing server space at
City Hall into the consolidated server room, in support of the City's energy savings performance
contract (ESPC) with Johnson Controls;
NOW THEREFORE, City and Consultant, acting herein by and through their duly
authorized representatives, enter into the following agreement:
Exhibits A, A-1, A-2, A-3, and A-4 to the Agreement shall be amended to add equipment
and professional services for the migration of network infrastructure from the existing server
space at City Hall into the consolidated server room and at SCADA, as set forth in the proposal
which is attached hereto as Exhibit A-5 ("QUOTE: 2003115003339-03"), and incorporated into
the Agreement for all purposes.

Section 3, Compensation, is hereby amended to increase the contract amount by
$5,087.36, thereby increasing the total contract amount to $81,719.63, inclusive of all services
and expenses. However, the total contract amount for this fifth amendment and fiscal year 2015
is only $5,087.36.
All other provisions of the Agreement that are not expressly amended herein shall remain
in full force and effect.
