HomeMy WebLinkAboutContract 49493-A2 CSC No.49493-A2 SECOND AMENDMENT TO FORT WORTH CITY SECRETARY CONTRACT NO. 49493 This Second Amendment to Fort Worth City Secretary Contract No. 49493 ("Second Amendment") is made between the City of Fort Worth ("Fort Worth"), a municipal corporation and AskReply, Inc. dba 132GNow, an Arizona corporation. ("Vendor"). WHEREAS, Fort Worth and Vendor entered into an Agreement identified as Fort Worth City Secretary Contract No. 49493 beginning August 7, 2017 (the "Agreement"); and WHEREAS, it is the collective desire of both Fort Worth and Vendor to amend the Agreement to include additional renewal periods. NOW THEREFORE,known by all these present,Fort Worth and Vendor,acting herein by the through their duly authorized representatives, agree to the following terms, which amend the Agreement as follows: 1. The Agreement is hereby amended by replacing Section 2,Term,in its entirety with the following: Term. This Agreement shall commence upon August 7,2017 ("Effective Date")and shall expire no later than August 6,2018("Expiration Date"),unless terminated earlier in accordance with this Agreement("Initial Term'').This Agreement may be renewed for an unlimited number of renewals at the mutual agreement of the parties,each a"Renewal Term."The City shall provide Vendor with written notice of its intent to renew at least thirty(30)days prior to the end of each term. 2. Section 3,Compensation,is replacing in its entirety with the following: Compensation. City shall pay Vendor an amount not to exceed $56,900.00 for the first year in accordance with the provisions of this Agreement and Exhibit `B," Payment Schedule, which is attached hereto and incorporated herein for all purposes. [For each Renewal Term, the City shall pay the amount on a quote provided by Vendor which shall then be attached to the City's respective renewal form.] Renewals are subject to an annual increase not to exceed 3%. Vendor shall not perform any additional services for City not specified by this Agreement unless City requests and approves in writing the additional costs for such services.City shall not be liable for any additional expenses of Vendor not specified by this Agreement unless City first approves such expenses in writing.City agrees to pay all invoices of Vendor within thirty(30)days of receipt of such invoice. 3. All other terms,provisions, conditions,covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect.
