HomeMy WebLinkAboutContract 54531 09/28/2020 CSC No.54531 12:06 PM FUTURE IMPROVEMENTS AGREEMENT FOR INFRASTRUCTURE IMPROVEMENTS Everman Parkway Development Oak Grove Road from Everman Parkway to Enon Road This Future Improvements Agreement (this "Agreement") is by and between the City of Fort Worth ("City") and Everman Owner, LP, a Delaware limited partnership authorized to do business in Texas ("Developer"). BACKGROUND WHEREAS, Developer is developing property within the City of Fort Worth, including the construction of two industrial buildings ("Project"); and WHEREAS, City desires to ensure that all developments are adequately serviced by public infrastructure that is constructed according to City standards; and WHEREAS, as a condition of approval of the Project, Developer is required to construct public infrastructure improvements; and WHEREAS, City and Developer entered into a Community Facilities Agreement for the construction of a portion of the public infrastructure improvements necessary to serve the Project, City Secretary Contract Number 54338 ("CFA!'); and WHEREAS, in addition to the public infrastructure improvements being constructed pursuant to the CFA, the Developer is required to construct its proportionate share of public infrastructure improvements on Oak Grove Road north of Everman Parkway, including paving, storm drain, street lights, and street signs in order to widen and construct Oak Grove Road to a five lane roadway, as more specifically described and depicted in Exhibits A, B, 131 and C ("Improvements"); and WHEREAS, the City has determined that Developer's rough proportional share of the Improvements is one-half the cost of the Improvements; and WHEREAS, in lieu of Developer including the Improvements in the CFA, Developer will pay City the Developer's rough proportional share of the Improvements and the City will design and construct the Improvements as part of future city-programmed work to improve Oak Grove Road ("Work"); and WHEREAS, City and Developer agree that Developer's rough proportional share of the Improvements, which includes an additional twenty-five percent of the cost of the Developer's share as required by the CFA Ordinance, is $1,336,393.73 ("Developer Funds"); and WHEREAS, City agrees to accept the Developer Funds and to construct the Improvements; and OFFICIAL RECORD Developer Funding Agreement—Everman Parkway CITY SECRETARY Development Page 1 of 5 FT.WORTH TX WHEREAS, the determination of the amount of Developer's Funds is not an assessment pursuant to Chapter 313 of the Texas Transportation Code. AGREEMENT NOW THEREFORE, in consideration of the above recitals, incorporated herein for all purposes, City and Developer, acting by and through their duly authorized representatives, do hereby agree as follows: 1. Subject to Section 4 of this Agreement, City may construct (or cause to be constructed) the Improvements at a time convenient to City provided that adequate public funds, including the Developer Funds, for construction of the Improvements are secured. 2. Concurrently herewith, Developer has paid to City the amount of$1,336,393.73, such Developer Funds, Developer and City agree, are the entire amount of Developer's contribution and obligation for the cost to construct the Improvements. City's obligations set forth in this Agreement shall be conditional upon City's receipt of the Developer Funds. By accepting the Developer Funds and by execution of this Agreement, City agrees that Developer will have no further obligation to pay any amounts in addition to the Developer Funds or take any further action with regard to the construction of the Improvements, even if (a) the actual costs to construct the Improvements exceeds the costs expected by City as of the date of this Agreement, (b)the specifications, composition, or other characteristics of the Improvements hereafter change for any reason, (c)a mistake has been made (mutual or unilateral) in computing the costs of the Improvements or otherwise, or (d) the costs or scope of the Improvements change for any reason. 3. This Agreement shall be binding upon and inure to the benefit of City and Developer and their respective successors and assigns. This Agreement, together with any exhibits attached hereto, constitutes the entire agreement between the parties hereto, and may not be amended except by a writing signed by all parties and dated subsequent to the date hereof. 4. City will use its best reasonable efforts to construct the Improvements without undue delay, but City's construction will be subject to City securing the additional funding which is necessary to design and fully construct the Work. 5. Developer, unless a sole proprietor, acknowledges that in accordance with Chapter Developer Funding Agreement—Everman Parkway Development Page 2 of 5 2271 of the Texas Government Code, if Developer has 10 or more full time- employees and the contract value is $100,000 or more, City is prohibited from entering into a contract with a company unless the contract contains a written verification from the company that it: (1) does not boycott Israel; and (2) will not boycott Israel during the term of the contract. The terms"boycott Israel" and "company" shall have the meanings ascribed to those terms in Section 808.001 of the Texas Government Code. By signing this contract, Developer certifies that Developer's signature provides written verification to City that if Chapter 2271, Texas Government Code applies, Developer: (1) does not boycott Israel; and (2) will not boycott Israel during the term of the contract. 6. This Agreement may be executed in multiple counterparts, each of which will be deemed an original, but which together will constitute one instrument. This Agreement may be executed by electronic signature, which shall be considered as an original signature for all purposes and shall have the same force and effect as an original signature. For these purposes, "electronic signature" shall mean electronically scanned and transmitted versions (e.g., via pdf file) of an original signature, signatures electronically inserted and verified by software such as Adobe Sign, or faxed versions of an original signature.
