Memorandum of Understanding (MOU)
The Morris Foundation(The Foundation) has approved the grant request identified here,subject to the following
terms and conditions.Your organization(Grantee) must read,accept and submit the MOU by the noted deadline.

Acceptance of MOU Terms and Conditions
1. The grant is to be used solely in connection with the program/project described in the grant application
and the restrictions identified here.
2. Agency warrants and represents:(a)that it is exempt from federal income tax pursuant to Section
501(c)(3)of the Internal Revenue Code;(b)that its receipt of this grant will not adversely affect its status
as other than a private foundation within the meaning of Section 509(a)of the Internal Revenue Code;
and(c)that it is a public charity under Section 509(a)(1)and 170(b)(1)(A)of the Internal Revenue Code as
stated in its Internal Revenue Service determination letter.Agency will furnish The Foundation any
information concerning a change or proposed change in its exempt status. If Agency's exempt status
changes,The Foundation reserves the right to have all grant funds paid after the effective date of such
exempt status change returned immediately.
3.Agency will cooperate with The Foundation in supplying supplemental information or in complying with any
procedures which might be required by any governmental agency in order for The Foundation to establish its
compliance with all laws and regulations with respect to this grant.
4.Agency warrants that it will not, under any circumstance,transfer,assign or encumber any portion of this grant.
Furthermore,Agency agrees that the funds will not be expended,transferred,or used for any purpose or in any
fashion that is prohibited by an applicable law of the United States or of any domestic or foreign jurisdiction.
5.Agency must complete and submit the online Grant Report assigned to this grant by the due date stated therein.
6.Events that may cause a significant change in the program/project as described in the grant application must be
reported as they occur.
7.The Foundation reserves naming rights as appropriate.
8.The grant will be paid as shown here.The grant may be fully funded at any time prior to the payment schedule
and can be fulfilled with cash or readily marketable securities.

9.The grant is restricted to the program/project as described here and in the grant application.Accordingly,the
principal and related income is to be used solely for the program/project described herein.
10. No goods or services were provided to The Morris Foundation by the organization in return for the
Foundation's contribution.
