HomeMy WebLinkAboutContract 52001-A1 CSC No. 52001-A1 FIRST AMENDMENT TO FORT WORTH CITY SECRETARY CONTRACT NO. 52001 VENDOR SERVICES AGREEMENT BETWEEN CITY OF FORT WORTH AND TRIAD MARINE & INDUSTRIAL SUPPLY, INC. This First Amendment to Fort Worth City Secretary Contract No. 52001 ("First Amendment") is made between the City of Fort Worth ("Fort Worth"), a municipal corporation, acting by and through its duly authorized Assistant City Manager,and Triad Marine&Industrial Supply, Inc. ("Vendor"), acting by and through its duly authorized representative, each individually referred to as a"party" and collectively referred to as the "parties" WHEREAS,the parties entered into an Agreement identified as Fort Worth City Secretary Contract No. 52001 for labor and parts to service,repair,maintain, and upgrade Zodiac watercraft in the City's fleet beginning February 12, 2019 (the "Agreement"); and WHEREAS,the Agreement provides that the City will not pay shipping costs,off-loading or handling charges associated with orders. WHEREAS, it is the collective desire of the parties to amend the Agreement to state that the City will pay for shipping costs, off-loading or handling charges associated with orders. NOW THEREFORE, known by all these present, Fort Worth and Vendor, acting herein by the through their duly authorized representatives, agree to the following terms, which amend the Agreement as follows: 1. The Agreement is hereby amended by amending Exhibit A — Scope of Services, Article 6.2 of Section 6, of the Agreement to state the following: 6.2. A properly prepared invoice shall be computer printed and shall include the Vendor's name and federal tax-identification number, invoice number, address, date, service or item description, unit price, extended cost, City issued purchase order and release number. The invoice shall also include the vehicle identification number of the vehicle serviced. Incomplete or inaccurate invoices may result in delayed payments, as they shall be returned to the Supplier for correction and re-submittal. All freight will be F.O.B. Fort Worth. The City of Fort Worth will pay shipping costs, off-loading or handling charges associated with orders. 2. All other terms,provisions,conditions,covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect.
