RENEWAL 1 AND AMENDMENT 1 TO CITY OF FORT WORTH CONTRACT 50085
BETWEEN THE CITY OF FORT WORTH AND SAFETY KLEEN SYSTEMS, INC.
This Amendment and Contract Renewal (the "Agreement") to City of Fort Worth Contract No.
50085 is made and entered into by and between the City of Fort Worth, a home-rule municipal
corporation of the State of Texas, located within Tarrant,Denton, and Wise Counties, (hereinafter
referred to as the "City"), acting by and through Dana Burghdoff, its duly authorized Assistant
City Manager, and Safety Kleen Systems, Inc. (hereinafter referred to as the "Contractor"), acting
by and through Shane Outlaw,its duly authorized Account Manager, for packing,transporting and
disposal services of hazardous, special and solid waste. Each party shall be individual referred to
herein as Party and collectively as Parties.
RECITALS
WHEREAS, on December 6, 2017, the Contractor entered into an Agreement with the
City to provide packing, transporting and disposal services of hazardous, special and solid waste.
City Secretary Office (CSO) Contract No. 50085 (the "Original Agreement"); and
WHEREAS, the initial term of the Original Agreement was from December 6, 2017 to
December 4, 2020,and could be renewed under the sole discretion of the City; for one (1),two (2)
year renewal term.
WHEREAS, the Parties agree to amend the Original Agreement to increase the total
compensation by $10,000 so that total payment made under the Original Agreement by the City
for all services shall not exceed$50,000;
WHEREAS, the City wishes to exercise its right to renew the Original Agreement for an
additional two year period beginning on December 5, 2020 till December 4, 2022.
NOW THEREFORE City and Contractor do hereby agree to the following:
I.
AMENDMENT TO ORIGINAL AGREEMENT
1. The following terms are hereby amended to either replace any conflicting terms in the
Original Agreement or shall be added to the terms and shall be binding and enforceable as if they
were originally included therein and the amended agreement shall be referred to as the
Agreement in all future documents. The following amendments shall take into effect upon
signature of all parties.
Section 5 shall be replaced in its entirety with the following:

5. Compensation
The City shall pay Contractor or Contractor shall pay the City, as applicable, in accordance with
the provisions of this Agreement and the Payment Schedule attached as Exhibit `B," which is
incorporated for all purposes herein; however, total payment made under this Agreement by
the City for all services shall not exceed$50,000.00. Contractor shall not perform any additional
services for the City not specified by this Agreement unless the City requests and approves in
writing the additional costs for such services. The City shall not be liable for any additional
expenses of Contractor not specified by this Agreement unless the City first approves such
expenses in writing.
2. All other terms,provisions, conditions, covenants and recitals of the Original Agreement
not expressly amended herein shall remain in full force and effect.
RENEWAL OF ORIGINAL AGREEMENT
1. The City exercises it contractual authority to renew the Original Agreement, as amended
herein, is hereby renewed and extended for a renewal term commencing on December 5, 2020,
and ending on December 4, 2022.
