AMENDMENT NO. 1 OF FORT WORTH
CITY SECRETARY CONTRACT NO. 54263
BETWEEN THE CITY OF FORT WORTH AND
GARVER,LLC
This AMENDMENT NO. 1 ("Amendment")is made and entered into by and between the CITY
OF FORT WORTH ("City"), a home rule municipal corporation organized under the laws of the State
of Texas,acting by and through Fernando Costa,its duly authorized Assistant City Manager,and Garver,
LLC, ("Engineer"), acting by and through Frank McIllwain, its duly authorized Vice President.
RECITALS
WHEREAS, On April 29, 2020 and May 6, 2020, a Request for Qualifications (RFQ) was
advertised for General Airport Engineering Services at Fort Worth Spinks Airport("Airport"),and on May
21, 2020,Engineer was selected;
WHEREAS,On August 1,2020,City and Engineer entered into City Secretary Contract("CSC")
No. 54263 ("Agreement"), an agreement for minor engineering services on an as needed basis for a five
year term at Fort Worth Spinks Airport("Airport");
WHEREAS, City and Engineer wish to replace the Compensation clause with a new
Compensation clause that reflects the intended annual payment amount that the City and Engineer have
agreed to; and
WHEREAS, City and Engineer also agree to incorporate an additional exhibit to the Agreement
that provides a sample addendum that can be used throughout the term of the Agreement when work is
requested by the City to be conducted by the Engineer which can be signed by both parties.
NOW,THEREFORE,for good and valuable consideration,the receipt and adequacy of which are
hereby acknowledged, Lessor and Lessee hereby agree as follows:

The Agreement is hereby amended by deleting Article II, "Compensation and Term of
Agreement,"in its entirety and replacing it with the following:
ARTICLE II
Compensation and Term of Agreement
A. The ENGINEER's compensation shall be in an amount not to exceed
$99,900.00 per year; the hourly rates and more particular details of
compensation are set forth in Attachment B.

B. Unless otherwise terminated pursuant to Article VI. D. herein, this Agreement
shall be for a term beginning August 1, 2020 (effective date), and shall
continue until July 31, 2025 (Expiration Date).
2.
The Agreement is further amended by incorporating an additional Attachment "D" to the
Agreement labeled "Sample Addendum/Scope of Work" which is attached as Exhibit A to this
Amendment and should be used by the parties for any services to be provided under the Agreement.
Any references to the collective attachments in the Agreement shall now incorporate and reference
Attachment D, "Sample Addendum/Scope of Work"where applicable.
3.
Except as expressly modified in this Amendment, all other terms and conditions of the Lease
shall remain in full force and effect.
4.
The statements set forth in the recitals above are true and correct and form the basis upon which Lessor and
Lessee have entered into this Amendment. The Lease is a public document on file in Lessor's City
Secretary's Office and is incorporated herein by reference for all purposes.
5.
All other provisions and conditions of the Lease that are not expressly amended herein or directly in
conflict with the provisions and conditions of this Amendment shall remain in full force and effect.

EXHIBIT A
SAMPLE ADDENDUM/SCOPE OF WORK
This Addendum No. - Scope of Work (SOW) is made as of this day of ,
20_, under the terms and conditions established in the MASTER PROFESSIONAL
SERVICES AGREEMENT between the City of Fort Worth ("City") and Garver, LLC.
("Engineer"), the same being Fort Worth City Secretary Contract (CSC) No. (the
"Master Agreement" or"MSA").
This Scope of Work is made for the following purposes, consistent with the services defined in
the Master Agreement: The at Fort Worth Spinks Airport. In particular,
Engineer shall perform those functions identified below in the Scope of Services, as such
services are more fully detailed in the MSA.
Section A. Scope of Services

Deliverables and/or other results of services:
Section B. Schedule: To begin immediately and conclude by
Section C. Compensation, Reimbursable Expenses, and Billing Terms: Processing and
payment of Fees and Reimbursable Expenses, including the structure of payments and
invoicing therefor, shall be in accordance with the Master Professional Services Agreement.
The total Fee that shall be paid to Engineer for shall be
in accordance with Article 2(a) and Article 3 of the Master Service Agreement. If the City
requests additional documentation of expenses, the Engineer shall provide such information if
available.
Engineer shall submit invoices for Fees and Reimbursable Expenses to
in the Citv's Aviation Department.
On full and final completion of the Services for this Scope of Work, the Engineer shall submit
a final invoice;
Section E. Counterparts; Electronically Transmitted Signature:
This SOW may be executed in one or more counterparts, each of which when so executed
and delivered shall be considered an original, but such counterparts shall together constitute
one and the same instrument and agreement. Any signature delivered by a party by facsimile
or other electronic transmission (including email transmission of a portable document file (pdf)
or similar image shall be deemed to be an original signature hereto.
