FIRST AMENDMENT TO
FORT WORTH CITY SECRETARY CONTRACT NO. 49935
This First Amendment to Fort Worth City Secretary Contract No. 49935 ("First
Amendment") is made between the City of Fort Worth ("Fort Worth"), a municipal corporation
and Trion Group, a division of Marsh & McLennan Agency LLC, a Delaware limited liability
company"Consultant,""MMA," or"Trion").
WHEREAS, Fort Worth and Consultant entered into an Agreement identified as Fort
Worth City Secretary Contract No. 49935 beginning November 1, 2016 (the "Agreement"); and
WHEREAS, it is the collective desire of both Fort Worth and Vendor to amend the
Agreement to change the term section to allow for unlimited renewals.
NOW THEREFORE,known by all these present,Fort Worth and Vendor,acting herein by
the through their duly authorized representatives, agree to the following terms, which amend the
Agreement as follows:
1. The Agreement is hereby replacing section 2 of the Agreement in its entirety with
the following:
Term. This Agreement shall commence on November 1, 2016 ("Effective Date")
and shall on expire no later than October 31, 2019 ("Expiration Date"), unless
terminated earlier in accordance with the provisions of this Agreement or otherwise
extended by the parties. This Agreement may be renewed for two (2) renewal
periods at the City's option, each a"Renewal Term." The first renewal period shall
be from October 31, 2019 through December 31, 2020. The second renewal period
shall be from January 1, 2021 through December 31, 2021. The City shall provide
Vendor with written notice of its intent to renew at least thirty(30)days prior to the
end of each term.
2. All other terms,provisions, conditions,covenants and recitals of the Agreement not
expressly amended herein shall remain in full force and effect.
