FIRST AMENDMENT TO
FORT WORTH CITY SECRETARY CONTRACT NO. 53914
This First Amendment to Fort Worth City Secretary Contract No. 53914 ("First
Amendment") is made between the City of Fort Worth ("Fort Worth"), a municipal corporation
and VAiRKKO Technologies, LLC, a limited liability company("Vendor").
WHEREAS, Fort Worth and Vendor entered into an Agreement identified as Fort Worth
City Secretary Contract No. 53914 beginning May 15, 2020 (the "Agreement"); and
WHEREAS, it is the collective desire of both Fort Worth and Vendor to amend the
Agreement by increasing the annual spending authority to $13,650.00 to include the licensing of
the Classroom Cloud software-as-a-service module, along with related professional services,
maintenance and support.
NOW THEREFORE, known by all these present, Fort Worth and Vendor, acting herein by
and through their duly authorized representatives, agree to the following terms, which amend the
Agreement as follows:
1. Section 3 of the original agreement is hereby amended to increase the total annual
spending authority to $13,650.00.
2. Exhibit B is hereby replaced in entirety with Vairkko Proposal#13613594FF-5056-
3CCB-46C96D 1 1 C8C75652. The unit costs for each module that are defined by
Exhibit B shall apply to any increase over the quoted 1000 users so long as the total
annual spend does not exceed the amount authorized by this Agreement.
3. All other terms,provisions, conditions, covenants and recitals of the Agreement not
expressly amended herein shall remain in full force and effect.
