Re: Cancellation of Professional Services Agreement between the City of Fort Worth,
Texas ("City"), and HumCap LP ("Company"), dated on or about March 11, 2014
(City Secretary Contract No. 45421)
Dear Mr. McIntosh:
Pursuant to Section 4. TERMINATION of the above referenced Agreement, CSC No.
45421 (the "Agreement"), the City is hereby providing thirty (30) days written notice of
cancellation of services. The Agreement will effectively terminate May 29, 2014, and this
termination will release both parties of any and all obligations under the Agreement, except those
obligations that accrued as of the effective date of termination and those which survive such
termination.
Please note, the City regularly conducts audits of services agreements once the agreement
has terminated to ensure compliance. In accordance with the "Right to Audit" provision set forth
in the Agreement, please retain all records related to this Agreement for a minimum of 3 years
after the expiration of the final payment under this Agreement. The City will provide you
advance reasonable notice of any intended audits.
The City has enjoyed its working relationship with HumCap LP.
