IN THE DISTRICT COURT 153RD JUDICIAL DISTRICT • • • TARRANT COUNTY, TEXAS _ PARTIAL COMPROMISE SETTLEMENT MENT AND RELEASE AGREEMENT This Partial Compromise a Settlement and Release Agreement (the "Agreement") is executed on the one hand by Dallas/Fort Worth International Airport Board, Cityi of Fort Worth and City of Dallas (collectively "DFW"), and on the other hand by Chesapeake Exploration, 833272 0-3-26-12 P12•19 IN 0)6 OFFICIAL RECORD JUG 0 $CITY SECRETARY FMOPTI1 TX 1 1 ail 1 1 . • • • L L C ("Chesapeake"), SP DFW, LLC (as successor -in -interest to Paz Energy, LLC ("PAZ")), LADA Investments, LLC, Callejo Energy L.L.C., First Preston ICC Energy Group, LLC successor in title to Energy, LP, ICC Energy Corporation, Margolf, Inc., SLNJG Investments, L.L.C., Forty -Four Investments, LLC, Catalina C. Productions, Inc S.B. Dike, Ltd,, CL PAZ, LP, and Petro Capital IX, LP (collectively the "Working Interest Owners") effective as of the date stated below. DFW, Chesapeake and the Working Interests Owners are sometimes referred to herein collectively as the "Parties" and individually as a "Party." T. DFW Releasees. The Releasees who shall benefit from the promises, covenants and/or warranties made by Chesapeake are as follows: A. DFW; and B All agents, employees, officers, fiduciaries, attorneys, board members, council members or other representatives of DFW. As used in this Agreement, the term "DFW Releasees" shall be construed as broadly as possible to include all of the foregoing named or described persons or entities. TT. Chesapeake Releasees. The Releasees who shall benefit from the promises, covenants and/or warranties made by DFW are as follows: A. Chesapeake; • B. All agents, employees, shareholders, directors, officers, fiduciaries, attorneys or other representatives of Chesapeake; and C. All subsidiaries, parent corporations, affiliated entities or sister corporations of Chesapeake or any of their successors or assigns that have in any way conducted any activity or that have been requested to have had any activity associated with the Oil and Gas Lease effective October 5, 2006 (the "Lease"), that serves as the basis of the above -referenced lawsuit (the ` Lawsuit"); and 2 833272 D. All Working Interest Owners, or their predecessors and successors in interest and all agents, employees, shareholders, directors, officers, fiduciaries, attorneys or other representatives of the Working Interest Owners and their predecessors and successors in interest. As used in this Agreement, the term "Chesapeake Releasees" shall be construed as broadly as possible to include all of the foregoing named or described persons or entities. III. Recitals. A. DFW and Chesapeake entered into the Lease which provides in relevant part that "[i]f this Lease is maintained beyond the expiration of the Primary Term by production or otherwise ..., it will remain in force as to all acreage and depths as long as there is no lapse of more than ninety (90) days between the completion of one well and the commencement of the actual drilling of another well. The commencement of actual drilling means the penetration of the surface with a drilling rig capable of drilling to the anticipated total depth of the well. After a well is commenced, whether during the Primary Term or otherwise, drilling operations must continue in a good and workmanlike manner in a good faith effort to reach the anticipated total depth with no cessation of operations for more than ninety (90) consecutive days." The obligations established by the foregoing Lease provisions are referred to herein as the "Continuous Drilling ObIigations." At least as of May 2009 Chesapeake ceased drilling operations on the Lease. The Parties disagree as to: (i) whether operations under the continuous development provisions in the Lease ceased on an earlier date; (ii) what obligations, if any, each Party had with respect to identifying each Retained Tract as the phrase is defined in the Lease; and (iii) how the Retained Tracts are to be configured (collectively (ii) and (iii) are hereafter referred to as the "Retained Tract Claims"). 833272 B. As a result of these and other disputes, DFW filed a cross -claim in the Lawsuit, which was initiated by PAZ. PAZ then filed a non -suit as to all parties. The Court entered orders granting non -suit on March 8 and October 26, 2010, and an Order Realigning Parties on March 9, 2011. As a result of these orders, the only claims remaining in the Lawsuit are those asserted by DFW against Chesapeake. Among the claims asserted by DFW are the Retained Tract CIaims and claims related to the manner in which royalty payments have been made (the "Royalty Claims"). OnIy the Retained Tract Claims are affected by this Agreement. The Royalty Claims and any other claim asserted in the Lawsuit are not intended to be, and are not, affected in any way by this Agreement. C. As a result of thorough discussions and negotiations, the Parties have determined that it is in their best interests to resolve certain disputes between them on the terms and conditions set forth in this Agreement. IV. Settlement Provisions. NOW, THEREFORE, KNOW ALL MEN BY THESE PRESENTS that for the consideration stated in this Agreement, the receipt and sufficiency of which is hereby acknowledged by each of the Parties, it is agreed as follows: A. Consideration. 1. In consideration of this Agreement, the Parties will execute the attached Exhibit "A" (the `Lease Amendment") contemporaneously with the execution of this Agreement. 2. In further consideration of this Agreement, Chesapeake has at its sole expense surveyed the Line of Demarcation and the survey is attached hereto as Exhibit "B." 833272 3. In further consideration of this Agreement, Chesapeake shall reimburse to DFW within three business days of the date that the last Party executes this Agreement, $110,000 for attorney fees associated with the Retained Tract Claims. Aside from said payment, each of the Parties agrees to pay its respective costs and attorney fees related to the Retained Tract Claims. To the extent otherwise relevant and admissible, nothing in this Agreement shall prohibit DFW or Chesapeake from advising the Court of the terms of this Agreement, and the negotiations related thereto, so the Court can consider them in deciding who, if anyone, is the prevailing party in this Lawsuit. 4. In further consideration of DFW's promises and covenants stated herein, Chesapeake Jointly, severally and completely RELEASES and forever discharges each and all of the DFW Releaseesfrom any and all past or pi esent claims, rights, damages, costs, benefits, expenses and compensation of any nature whatsoever, whether based upon tort, contract, statute, common law or any other theory or basis of recovery, and whether for compensatory, statutory or exemplary damages or for equitable relief, which Chesapeake holds, in any way related to the Retained Tract Claims up to and including the effective date of this Agreement. This release shall include any and all of Chesapeake's claims for monetary damages or otherwise arising on or before the effective date of this Agreement. This is intended to be a general release providing the DFW Releasees the greatest protection allowable under the law as to the Retained Tract Claims. Notwithstanding anything to the contrary in this Agreement, this Release shall in no way affect any of Chesapeake's rights or defenses: (i) with respect to any other issue in the Lawsuit or any other claims DFW has asserted or can assert in the future; or (ii) with respect to the Royalty Claims. 833272 5. In further consideration of Chesapeake's promises and covenants stated herein, DFW jointly, severally and completely RELEASES and forever discharges each and all of the Chesapeake Releasees from any and all past or present claims, rights, damages, costs, benefits, expenses and compensation of any nature whatsoever, whether based upon tort, contract, statute, common law or any other theory or basis of recovery, and whether for compensatory, statutory or exemplary damages or for equitable relief, which DFW holds, in any way related to the Retained Tract Claims up to and including the effective date of this Agreement. This release shall include any and all of DFW's claims for monetary damages or otherwise arising on or before the effective date of this Agreement. This is intended to be a general release providing the Chesapeake Releasees the greatest protection allowable under the law as to the Retained Tract Claims. Notwithstanding anything to the contrary in this Agreement, this Release shall in no way affect any of DFW's rights or defenses: (i) with respect to any other issue in the Lawsuit or any other claims Chesapeake has asserted or can assert in the fixture; or (ii) with respect to the Royalty Claims. 6. In further consideration of DFW's promises and covenants stated herein, the Working Interest Owners Jointly, severally and completely RELEASE and forever discharge each and all of the DFW Releasees from any and all past or present claims, rights, damages, costs, benefits, expenses and compensation of any nature whatsoever, whether based upon tort, contract, statute, common law or any. other theory or basis of recovery, and whether for compensatory, statutory or exemplary damages or for equitable relief, which the Working Interest Owners hold, in any way related to the Retained Tract Claims up to and including the effective date of this Agreement. This release shall include any and all of the Working Interest Owners' claims for monetary damages or otherwise arising on or before the effective date of this 833272 1: Agreement. This is intended to be a general release providing the DFW Releasees the greatest protection allowable under the law as to the Retained Tract Claims. Notwithstanding anything to the contrary in this Agreement, this Release shall in no way affect any of the Working Interest Owners' rights or defenses: (i) with respect to any other issue in the Lawsuit or any other claims the Working Interest Owners have asserted or can assert in the future; or (ii) with respect to the Royalty Claims. 7. Other than as modified herein or by the Lease Amendment, the terms of the Lease remain in effect. 8. As additional consideration for this Agreement, DFW shall ensure that the Retained Tract Claims are dismissed from the Lawsuit with prejudice, whether by request or voluntary nonsuit with prejudice, which shall be filed within five business days of the date Chesapeake pays DFW the $110,000 contemplated by Paragraph IV(A)(3) above. B. Warranty of Capacity to Execute Agreement and Release. 1. Each Party represents and warrants that it has the full legal right, capacity and authority to sign this Agreement and to make the promises, representations and warranties contained herein. Each Party further represents that it has not sold, assigned, transferred, conveyed or otherwise disposed of any of the claims, demands, obligations or causes of action referred to in this Agreement. 2. This Agreement is subject to execution by all Parties. D. Successors and Assigns Bound. This Agreement shall bind and benefit each Parry's heirs, successors, predecessors, agents, employees, representatives, counsel, owners, directors, partners, shareholders, insurers, assigns, subsidiaries, board members, council 833272 members, parent corporations, affiliated entities or sister corporations, as the case may be, and all others claiming by, through or under such Party. E. Severability. Should any of the provisions herein be determined to be invalid by a court of competent jurisdiction, it is agreed that this shall not affect the enforceability of any other provision herein and that the Parties shall renegotiate in good faith that provision so determined to be invalid to effectuate the purpose of and to conform to the law regarding such provision. In the event the Parties are unable to renegotiate the provision, they hereby waive a jury such that the issue shall be resolved, if at all, by a court in Tarrant County, Texas. F. Controlling Law. This Agreement is entered into in Texas and shall be construed, interpreted and enforced in accordance with Texas law without reference to choice -of - law rules. This Agreement is performable in whole or in part in Tarrant County, Texas. The parties waive their right to a jury trial concerning this Agreement. Thus, all disputes concerning this Agreement shall be tried to the court. G. Integration. Each Party expressly acknowledges and agrees that this Agreement is fully integrated, it represents the entire understanding of the Parties, there are no other agreements, representations, promises or negotiations that have not been expressly embodied herein and this Agreement supersedes any and all prior agreements with respect to the subject matter hereof. H. Modification in Writing. The Parties agree that this Agreement may be amended or modified only by a writing executed by the Party to be charged with the modification. I. Independent Legal Advice. Each Party acknowledges and represents that it has received independent legal advice and has not relied upon any representations of any other Party 833272 or its agents, employees, representatives or counsel on any subject contained in this Agreement or otherwise, other than as expressly set forth in this Agreement. J. No Admissions. This Agreement is entered into for the purpose of buying peace and settling doubtful and disputed claims. By entering into this Agreement, no Party acknowledges, but instead denies liability. K. Captions. The paragraph titles appearing in this Agreement are for convenience only and shall not by themselves determine the construction of this Agreement. L. Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which shall constitute one and the same instrument. M. Terms to be Read in Context. Singular and plural terms, as well as terms stated in the masculine, feminine or neuter gender, shall be read to include the other(s) as the context requires to effectuate the full purposes of this Agreement. EACH PARTY FURTHER STATES THAT IT HAS CAREFULLY READ THIS AGREEMENT; THAT THIS AGREEMENT HAS BEEN FULLY EXPLAINED TO IT BY COUNSEL OF ITS CHOICE; THAT IT FULLY UNDERSTANDS THE FINAL AND BINDING EEx ECT OF THIS AGREEMENT; THAT THE ONLY PROMISES MADE TO IT TO SIGN THIS AGREEMENT ARE THOSE STATED ABOVE; AND THAT IT IS SIGNING THIS AGREEMENT VOLUNTARILY. The permitted time between wells shall be cumulative so that if a well is commenced prior to the date it is required to be commenced, the number of days prior to the date on which the well should have been commenced shall be added to the time permitted for the next succeeding well. 10(b)(2) Notwithstanding the express obligations and conditions set forth in Paragraph (b)(1) above, Lessor and Lessee agree that for the period beginning on the date this amendment is fully -executed by all parties and ending December 31 2014 (the 'Termination Date"), the obligations and conditions set forth in Paragraph (b)(1) above shall be deemed to have been fulfilled and the Lease shall remain in effect as to all of the Land provided Lessee drills and Page 2 of 8 835801 completes (a) at least three wells between the date this amendment is fully - executed and December 31, 2012, (b) three wells in calendar year 2013, and (c) eight wells in calendar year 2014, i.e. a minimum of fourteen new wells on the DFW Northwest Tract, which is north of the "Line of Demarcation" and which is described on Exhibit B, attached hereto, with the fourteenth well being completed (as such term is defined in Paragraph 10(b)(1) above) on or before the Termination Date (the drilling of such fourteen wells being referred to herein as the "North Airport Commitment"). For any of the above -referenced time periods, if Lessee drills more wells than specifically required under this Paragraph 10(b)(2), such additional wells shall be credited towards the subsequent time period. For example, if Lessee drills and completes four wells prior to December 31, 2012, then Lessee shall only be required to drill and complete two wells in calendar year 2013. The Termination Date may be extended in accordance with Paragraph 10(b)(3) or Paragraph 10(b)(4) below. 10(b)(3) In addition to and separate from the terms and conditions set forth in Paragraph 10(b)(1) and 10(b)(2) above, If at any time between the date this Amendment is fully executed and the Termination Date (or Extended Termination Date, if applicable), the posted price for gas on the first of the month at Carthage exceeds $6.00 per mcf (the "Minimum Gas Price") for three consecutive months, Lessee shall drill a well south of the Line of Demarcation, i.e. on Lands south of the DFW Northwest Tract (the "South Airport Drilling Commitment"). In determining if the Minimum Gas Price has been reached for three consecutive months the clock begins anew after each three consecutive month period, in other words, if the Minimum Gas Price is reached in January, February, March, April, May and July but not June, there has been only one three consecutive month period that being January through March with July potentially starting a new, qualifying three-month period (if the .Minimum Gas Price is also met for August and September), Lessee will make a good faith attempt to commence each well it is required to drill in accordance with this paragraph within forty-five (45) days, but in no event later than sixty (60) days, of the first day of the third month in which the Minimum Gas Price existed and operations on such well must continue in a good and workmanlike manner in a good faith effort to reach the anticipated total depth with no cessation of operations for more than ninety (90) consecutive days. The North Airport Commitment shall be suspended during any period in which the South Airport Drilling Commitment is in effect, commencing on the first day of the third calendar month in which Minimum Gas Price is in effect, Provided the wells required under the South Airport Drilling Commitment are drilled in accordance with the terms of this Paragraph, said suspension shall remain in place until sixty (60) days after of the first day of the first month in which the Minimum Gas Price is not reached. For each period of suspension occurnng under this Paragraph, each of the annual deadlines for any and all drilling and completion contemplated by the North Airport Commitment shall be extended in an amount equal to the period covered by said suspension and the Termination Date of December 31, 2014 shall be extended an equivalent period. The final, extended Termination Date determined by this subparagraph shall be referred to herein as the 'Extended Termination Date? If as of the date any suspension of the North Airport Commitment goes into effect, Lessee has not yet commenced drilling each of the wells required under the North Airport Commitment for the applicable year, Lessee shall commence drilling the next North Airport Commitment well on or before the end of said period of suspension, i e. within sixty (60) days after the first day of the first month in which the Minimum Gas Price is not reached; Provided however that Lessee will make a good faith effort to attempt to commence any such required drilling within forty-five (45) days after the first day of the first month in which the Minimum . Gas Price is not reached. Notwithstanding the foregoing, Lessee may (but is not obligated to) continue to drill wells north of the Line of Demarcation during any period of suspension contemplated by this Paragraph, it being the intent that Lessee shall be permitted (but not required) to be drilling more than one well at any given time under either the North Airport Commitment and the South Airport Drilling Commitment. Page 3 of 8 835801 10(b)(4) Lessee shall have the option to pay $1,000 per acre for a one year extension to the Termination Date (or Extended Termination Date, if applicable), for each acre south of the Line of Demarcation that is not in a Retained Tract as identified in accordance with the provisions of this Lease as amended by this Amendment. Notwithstanding anything to the contrary herein, if the extension of the Termination Date (or Extended Termination Date, if applicable) authorized under this Paragraph is exercised by Lessee no payment shall be required for the acreage south of the Northern Retained Tract but north of the line labeled "Extension Line" on the attached Exhibit B, and therefore the Termination Date (or Extended Termination Date, if applicable) shall be extended with respect to such acreage between the boundary of the Northern Retained Tract and the ' Extension Line" at no additional cost to Lessee. Lessee shall notify the Board in writing of its intent to exercise this option not more than sixty (60) days after the Termination Date (or Extended Termination Date, if applicable). In conjunction with said notification, Lessee shall at the same time provide to the Board (but shall not be required to record) Retained Tract descriptions for each well commenced south of the Line of Demarcation prior to the Termination Date (or Extended Termination Date, if applicable). If exercised, this one-year extension shall be retroactively effective as of the Termination Date (or Extended Termination Date, if applicable) and expire on the one year anniversary of the Termination Date (or Extended Termination Date, if applicable). 2. Retained Tracts The Lease is hereby amended to add the following Paragraph 10(h): 10(h) The Board and Lessee hereby agree on the following terms for the designation of Retained Tracts as required by the Lease. As to Lands north of the Line of Demarcation: The entire 10,102.29- acre (more or less) DFW Northwest Tract, described in the attached Exhibit B shall be a single Retained Tract (the 'Northem Retained Tract") pursuant to the Lease. If at the Termination Date (or Extended Termination Date, if applicable) any point between the first and last perforations of one or more of the fourteen (14) wells drilled pursuant to Paragraph 10(b)(2) above is closer than 330 feet to the Line of Demarcation, the Northern Retained Tract shall prior to recording of same as a "Retained Tract" pursuant to Paragraph 10(d) of the Lease, be revised to include such additional acreage in the Northem Retained Tract as is necessary to ensure that all points along all such wells is 330 feet from the boundary of the (revised) Northern Retained Tract If Lessee does not timely drill and complete all fourteen wells contemplated by the North Airport Commitment, then Lessor shall be entitled to specific performance to compel the drilling of any well or wells not timely drilled under the North Airport Commitment. Such remedy of specific performance shall include the right to seek an order compelling Lessee to timely comply with any remaining future drilling obligations under the North Airport Commitment; Provided, however, that in no event shall Lessee be compelled to drill any wells under the North Airport Commitment any earlier than such wells would otherwise be required under this Lease, as amended and in no event shall any breach of the North Airport Commitment affect the size configuration, or effectiveness of the Northern Retained Tract as long as the fourteen wells contemplated by the North Airport Commitment are ultimately drilled (whether voluntarily or pursuant to a Court's order of specific performance) As to Lands south of the Line of Demarcation: The sole consequence of Lessee's failure to timely comply with the South Airport Drilling Commitment in Paragraph 10(b)(3) above shall be the termination of the Lease as to lands south of the Line of Demarcation and not then included in or allocable to a Retained Tract. Each Retained Tract for a well drilled to the south of the Line of Demarcation shall be a rectangle, circumscribe the well bore and extend no further than 330 feet from the lateral of the well bore. The ends of the rectangle Page 4 of 8 8358Q1 shall be perpendicular to the well bore and 330 feet from the first (or last) take points for the well, measured from the first (or Last) take point along a line perpendicular to the end of the rectangle, irrespective of whether or not this results in overlapping Retained Tracts to provide Lessor with the maximum acreage available for oil and gas development. 3. This Amendment shall be binding upon and inure to the benefit of each of the parties hereto and their respective heirs, successors and assigns and may be executed in any number of multiple counterparts, each of which shall have the same force and effect as an original instrument executed by all of the undersigned parties, regardless of whether such counterpart is executed prior to or subsequent to the date hereof or the filing of record of a counterpart hereof. 4. The Lessor hereby grants and leases the Lands to the Lessee on the terms and conditions set forth in the Lease, as amended hereby, and the Lessor hereby (to the extent necessary) revives, adopts, ratifies and confirms the Lease as amended hereby, and agrees that the Lease as amended hereby is a valid and subsisting lease in full force and effect in accordance with its terms and provisions, as amended. 5. It is further understood and agreed by all parties hereto that the provisions contained herein shall supersede any provision to the contrary in said Lease described herein, however in all other respects, said Lease and the prior provisions thereto, shall remain in full force and effect. NOW THEREFORE for good and valuable consideration the receipt and sufficiency of which is hereby acknowledged, the undersigned do hereby revive, adopt, ratify, and confirm said lease, grant, demise and let the Lands unto Lessee, subject to and in accordance with all of the terms and provisions of said Lease as amended herein. DISCUSSION: The City of Fort Worth, the City of Dallas and the Dallas/Fort Worth International Airport Board (Board) are in litigation with Chesapeake Exploration L.L.C. (Chesapeake), regarding two issues that arose under the mineral lease between the Cities, the Board and Chesapeake: the measure of royalties and the measure of Retained Tracts The Lease provides that beyond the primary term, it will remain in force only as long as there is no lapse in drilling of more than 90 days, and provides further that once drilling ceases, leased acreage is retained (Retained Tracts) by continuous production. Chesapeake ceased drilling at least as early as May 2009, and the dispute arose as to whether drilling ceased earlier, what obligations each party had for identifying Retained Tracts and how the Retained Tracts are to be configured The parties are also in dispute as to the contractual measure of royalties payable to the Dallas/Fort Worth International Airport Board, which is not part of the Settlement/Lease Amendment. This portion of the lawsuit remains set for trial Litigation of both disputes is pending in District Court in Tarrant County and the parties have tentatively reached a settlement of the issues pertaining to Retained Tracts. An Amendment to the Lease is necessary to effect the partial settlement on the Retained Tracts issue. The parties have agreed to a line of demarcation (as shown on Exhibit A to the Resolution) with all acreage northwest of the line of demarcation constituting Retained Tracts on condition that Chesapeake will drill at least 4 wells per year in that area, and a minimum of 14 new wells in total, to commence on or before June 1, 2012 and to be completed no later than December 31, 2014. For each well drilled, Chesapeake will gain an additional three months beyond December 31, 2014 in which to drill additional wells. After the last such period expires, Chesapeake may gain one additional year extension by payment of $1,000 00 per acre. In addition as part of the partial settlement, Chesapeake will reimburse the Board for $110,000.00 of attorney's fees which represents the approximate amount of fees attributable to the issue being settled. The approvals and authorizations contained in the resolution will be conditioned upon similar approvals and authorizations by the City Council of the City of Dallas. On May 5, 2011, the Board recommended that the Cities of Dallas and Fort Worth approve a partial settlement with Chesapeake. Staff recommends approval of this partial settlement. The City of Dallas is scheduled to vote on this item at its December 14, 2011 meeting.
