AMENDMENT NO. 1 TO CITY SECRETARY CONTRACT NO. 45257 SYSTEM PURCHASE AGREEMENT BETWEEN CITY OF FORT WORTH AND E-Watch Corporation s` This Amendment No. 1 ("Amendment") to City Secretary Contract No. 45257 Professional Services Agreement ("Agreement"), is made and entered into by and between the City of Fort Worth (the "City"), a home rule municipal corporation situated in portions of Tarrant, Denton, and Wise Counties, Texas acting by and through Susan Alanis, its duly authorized Assistant City Manager, and e-Watch Corporation ("Consultant"), a Texas Corporation acting by and through David A. Monroe, its duly authorized President, each individually referred to as a "party" and collectively referred to as the "Parties." RECITALS The following provisions are true and correct and form the basis of this Amendment: WHEREAS, on or about December 31, 2013, the parties entered into a Professional Services Agreement ("Agreement") for professional consulting services for the purpose of supplying and installing video management software to fulfill the functions of the Consolidated Video Management System (CUSS), under the terms and conditions set forth in the Agreement. The Agreement is a public document on file in the City's Secretary Office and referenced as City Secretary Contract No. 45257; and WHEREAS, the Parties now wish to amend the Agreement to incorporate minor changes to the Milestone Phase Titles and Projected Goals. NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, the City and Consultant agree as follows: 1. Exhibit A, Statement of Work, shall be replaced in its entirety with Exhibit A-1, which is attached hereto and incorporated into the Agreement for all purposes, to revise Milestone Phase Titles and the Projected Goals for the overall phases. 2 All other provisions of the Agreement that are not expressly amended herein shall remain in full force and effect. Monroe President Date: 21517_014- • EXHIBIT A-1 STATEMENT OF WORK Executive Summary: The following Statement of Work addresses the installation of the e-Watch Corporation MetroWatch'" Video Management System and associated components to fulfill the requirements of the City of Fort Worth Consolidated Video Management System (CVSS). All hardware supporting the CVSS shall be supplied and installed by the City of Fort Worth. All MetroWatch'" software shall be supplied and installed by the contractor, e-Watch Corporation Installation and configuration of the software shall be accomplished by efforts of both the contractor and the City as set forth by this SOW. The system shall be installed in a phased manner to facilitate integration and testing in a progressive manner. The projected goals are shown in weeks after the receipt of the purchase order by e-Watch (ARO) or January 1, 2014, which ever comes later. If installation goes smoothly and if personnel are available, the. schedule may be accelerated by agreement of the City and e-Watch. If information is not available on a timely basis or if City personnel are not available as needed, it is understood that the schedule may be adversely impacted. They appear on Exhibit B. Purchase, installation and integration of options are not projected in this SOW. A high-level Technical Overview of the primary system modules and installation follows• The CVSS requires movement of video and data from the outside of the city firewall to the inside, and from the inside to the outside. For example, cell phones and VMSs outside the firewall are required to stream video to workstations inside the firewall. Conversely, VMSs inside the firewall must be able to send video to cell phones outside the firewall For security purposes, two MetroWatch'" servers shall be implemented, one on the inside and one on the outside. Thesc servers may physically be in the same rack. The two servers, inside and outside, shall be bound togethct to operate seamlessly, as if it were one server and one system using the MutiWatch1" software module. GateWatch'"-VMS for Milestone is an Interface module that shall he used to connect the Milestone VMS to MetroWatch and allows the Milestone to be operated seamlessly thorough the MetroWatch GUI. All commands, such as camera controls, snapshot and video playback, are made available thought the GUI. GateWatch'"-WEB is an interface module that connects third -party wehcams and VMS systems with generic video interfaces to MetroWatch and allows video to be viewed via the MetroWatch GUI. Camera controls video playback and snapshot are NOT available with this interface, It, however, is a cost effective way to integrate non city VMS and web cams to MetroWatch. • MobileVVatch"'-Gateway is an interface module that connects MetroWatch to smart phones to allow streaming of video, photos and location data to be sent fi orn the phone to MetroWatch, or video from MetroWatch to the phone, • Mobilewatch" -Android is an Android smart phone app that streams video and location data and sends snapshots from the phone to MetroWatch, or receives video from MetroWatch and displays on the phone. • MobileWatchm-iOS is a mobile browser -based function, compatible with selected Apple iPhone and iPad devices, that receives video from MetroWatch and displays on the device. GateWatch "-CAD for TriTech is an interface module that bridges the TriTech system to the MetroWatch system for the purposes of passing events, including time and location, from the CAD system to MetroWatch for display of event location on a map and for selection of nearby cameras. The MetroWatch system shall operated with LDAP over SSL (LDAP-S) A description of each CVSS installation milestones follows; Consolidated Video Security System (CVSS) Page 2 CFW / e-Watch Corporation Amendment No. 1 to CSC No. 45257 Page 4ofl4 Milestone 1 A - Site Survey Number 1 The goal of the site survey shall be to collect all City information required for e-Watch to pre -configure, install and integrate the CVSS system through Milestone 3. Milestone 1 activities shall be performed in Fort Worth e-Watch shall furnish sufficient labor and include all expenses to insure that all planned functionality between the e-Watch server/software and the peripheral systems is operational and performing to the requirements set forth in the SOW. This will include meeting key City personnel, collecting and reviewing the information below, viewing the Milestone VMS site, viewing the. CAD site, and viewing all the related server sites The City shall provide the following information to e-Watch during Milestone lA to enable e-Watch to generate configuration tables for future Milestone activities: User Information: o Authorized User Name List Permissions List defining the desired permissions for each User For the Milestone VMS system, the following information shall be provided: c VMS or DVR Software Model Code and Revision Level VMS or DVR API, if known by the City o VMS or DVR system access method: IP address, HTTP address, VPN, etc. c Where required, Letter of Authorization from City authorizing VMS and/or DVR manufacturer to provide API to e-Watch for purposes of integration. o Building Names and/or geographic mime of VMS/DVR systems Floor Plans or Site Maps to be used for camera location maps in electronic form, if available a The numbers of cameras on each system o The settings of cameras in particular the data stream types. C•zmera Locations for all cameras on the VMS or DVR systems c; Camera Names to be used for identifying all cameras For the TnTec CAD system, the following information shall be provided: TnTech Software Model Code and Revision Level o TnTech API, if known by the City TnTech system access method: IP address, HTTP address, VPN, etc. If required - Letter of Authorization from City authorizing TnTech to provide API to e-Watch for purposes of integration The goal for completion of Milestone lA shall he week 1 ARO. The goal for completion of Milestone 1B shall he week 2 ARO. Milestone 1C - Base System installation The goal of the Base System Installation shall be to install and make operational the MetroWatch Base Software and Pre -Configuration files on two Fort Worth provided servers and two hot -stand-by hack -up servers. The c-Watch software installed during Milestone 1C activities shall include: ▪ MetroWatch'" for the inside the firewall application • MetroWatch'" for the outside-the-firewall application MultiWatch'" multiple server bridging software ▪ GateWatch'"VMS / Milestone gateway software GateWatch'"WEB / Third Party VMS gateway software (times 3) ▪ GateWatchTM CAD / gateway software for CAD system • MobileWatch'" Gateway for mobile device support MobileWatchm Android application on one Android smart phone for testing The e-Watch software will be warrantied and Software Maintenance will be provided by e-Watch for three years after installation. Installation will occur on four servers: Inside the City Firewall — Primary Server Inside the City Firewall - Backup Server (hot standby) • Outside the City Firewall — Primary Server ▪ Outside the City Firewall — Backup Server (hot standby) Fort Worth shall provide: • pre -installed and operational server hardware (four servers) pre -installed and operational server software (for four servers) ▪ pre -installed server back-up capability as may required by the City pre -installed UPS back-up capability as may be required by the City • pre -installed network equipment sufficient to provide connectivity with all servers woi kstations, VMS and DVR systems, the cellular cloud and other network resources as may be required. ▪ Fort Worth Enterprise Google Maps web access and license • On-Sitc Google Maps database if stand-alone operation is required. ▪ One Android mobile device for MobileWatch Android device testing Consolidated Video Security System (CVSS) Page 4 CFW / e-Watch Corporation Amendment No. 1 to CSC No. 45257 Page 6of14 IT personnel with knowledge of the servers, virtual servers, NAS, passwords, and other information as may be needed concerning the City IT environment, City IT personnel shall oversee e-Watch personnel during the software installation process on the City servers. IT personnel with knowledge of the switches, routers, VPNs, passwords, and other information *as may be needed concerning the City IT environment. City IT personnel shall perform all network configuration of the City network with assistance from e•Watch engineers. The City provided servers shall meet or exceed the following hardware and requirements• • Enterprise class server Dual quad core 2 GHz processor or better • Two 1 Gigabit Ethernet interfaces ▪ Mass storage memory internal to server or provided by a NAS • The amount of mass storage is dependent upon camera frame rate, compression settings, and duration of storage that the City desires. Storage requirements shall be established at during the Site Survey. Set ver software shall he Windows Server 2003 or later 32 bit or 64 bit (preferred) Servers may be virtualizecl, however if hot -stand-by servers are desired they should not be virtuali7ed on the same hardware system as the primary servers. MetroWatch is client/server browser based architecture. The City provided client workstations hardware and software shall meet the following minimum requirements; • An enterprise class workstation - Intel P4 orAMD K7 2GHz equivalent or better 1GB RAM 2GB Hard Drive Video adapter with 128 MB on -hoard memory (not system shared memory) • Sound card w/speakers (optional) 10/100 Ethernet network adapter or better Keyboard and Mouse, mouse pad, or trackball Windows XP, or Microsoft© Windows 7, or Microsoft@ Windows 8 with current service packs Microsoft w Internet Explorer, Version 7 or higher, Version 9 preferred Microsoft® Media Player, Version 9 or higher Microsoftta DirectX, Version 9 or higher Active X plug-in for video codecs Note that Multi -Monitor systems, such as driving a video wall, will require a higher performance CPU more memory, and higher performance display hat dware. Any such clients shall be identified during the site survey and e-Watch shall provide additional specifications based upon the Multi -Monitor requirements. Milestone 1D - Milestone VMS System Integration The goal of the Milestone VMS System Integration shall he to install and make operational the GateWatch'"-Milestone Software and associated Pt e-Configuration files on two Fort Worth provided servers. After installation, the City provided Milestone VMS system and attached cameras shall be accessible to the MetroWatch`" system. e Watch shall furnish sufficient labor and include all expenses to insure that all planned functionality between the e-Watch server/software and the peripheral systems is operational and performing to the- requirements set forth in thc SOW. The City shall be r esponsible to ensure the Milestone VMS System and required network connections are functional and available. The City shall provide IT personnel with knowledge of the Milestone VMS system, system, routers, VPNs, passwords, and any other information as may be needed concerning the City IT environment. City IT personnel shall oversee e-Watch personnel during the software installation process on thc City servers. City IT personnel shall perform all network configuration of the City network with assistance from c-Watch engineers The goal for completion of Milestone 1D shall be week 4 ARO. Milestone 1E - TriTech CAD Integration The goal of the TriTech CAD System integration shall be to configure the scripts for the GateWatch'" CAD module to communicate to the TriTech CAD system. After installation, the City provided TrrTech CAD system 911 events should be accessible by the MetroWatch'"' system. e-Watch shall furnish sufficient labor and include all expenses to make both insure that all planned functionality between the e Watch server/software and the peripheral systems is operational and performing to the requirements set lot t m the SOW. The City shall be responsible to ensure the TriTech CAD System and required network connections are functional and available. City IT personnel shall oversee e-Watch personnel durml, the software installation process on the City servers. City IT personnel shall perform all network configuration of the City network with assistance from e-Watch engineers, Note that any delay in providint, e-W itch with the TriTech http: API access by the City or TriTech could impact Milestone 1E completion date. The goal for completion of Milestone 1E shall be week 4 ARO. Milestone 2A - Site Survey Number 2 The goal of the second site survey shall he to collect all City information required for e-Watch to pre -configure, install and integrate three more VMS systems into the CVSS MetroWatch system. Milestone 2A activities shall be performed in Fort Worth. e-Watch shall furnish sufficient labor and include all expenses to insure that all planned functionality between the e Watch server/software and the peripheral systems is operational and performing to the SOW. This includes meeting the key City personnel, collecting and reviewing the info' mation below, viewing the Teleste, Bosch and Pui eActiv VMS sites, The City shall provide the following information to e-Watch during Milestone 2A to enable e-Watch to generate configuration tables for future Milestone 2 activities: For each of thc: Teleste VMS system, o Bosch VMS system, and PureAChV VMS System The following information shall be provided: VMS or DVR Software Model Code and Revision Level VMS or DVR API, if known by thc City VMS or DVR system access method: IP address, HTTP address, VPN, etc. Where required, Letter of Authorization from City authorizing VMS or DVR manufacturer to provide API to e-Watch for purposes of integration for this contract Building Names and/or geographic name of VMS/DVR systems c Floor Plans or Site Maps to be used for camera Location maps in electronic form, if available. After installation, the City provided Teleste VMS system and attached cameras shall be accessible to the MetroWatch'" system. e-Watch shall furnish sufficient labor and include all expenses to insure that all planned functionality between the e-Watch server/software and the peripheral systems is operational and performing to the SOW. The City shall be responsible to ensure the Teleste VMS System and required network connections are functional and available. The City shall provide IT personnel with knowledge of the Teleste VMS system, system, routers, VPNs, passwords, and any other information as may be needed concerning the City IT environment City IT personnel shall oversee c-Watch personnel during the software installation process on the City servers, City IT personnel shall perform all network configuration of the City network with assistance from c-Watch engineers Note that any delay in providing e-Watch with the Teleste http; API access by the City or TriTech could adversely impact Milestone 2C completion date. The goal for completion of Milestone 26 shall he week 12 ARO. Milestone 2D - Bosch VMS System Integration The goal of the Bosch VMS System integration shall be to install and make operational the GateWatch'-WEB Software and associated Pre -Configuration files on two Fort Worth provided servers. City IT personnel shall oversee e-Watch personnel during the software installation process on the City servers. Milestone 2E - PureActiv VMS System Integration The goal of the PureActiv VMS System Integration shall be to install and make operational the GateWatch'"-Milestone Software and associated Pre -Configuration files on two Fort Worth provided servers, After installation, the City provided PureActiv VMS system and attached cameras shall be accessible to the MetroWatch's' system. e-Watch shall furnish sufficient labor and include all expenses to insure th it all planned functionality between the e-Watch server/software and the peripheral systems is operational and performing to the requirements set forth in the SOW. The City shall be responsible to ensure the PureActiv VMS System and required network connections are functional and available. The City shall provide IT personnel with knowledge of the PureActiv VMS system, system, routers, VPNs, passwords, and my other information as may be needed concerning the City IT environment City IT personnel shall oversee e-Watch personnel during the software installation process on the City servers, City IT personnel shall perform all network configuration of the City network with assistance from e-Watch engineers. Note that any delay in providing e-Watch with the PureActive http: API access by the City or PureActiv could adversely impact Milestone 2D completion date. The goal for completion of Milestone 2D shall be week 12 ARO. Milestone 3 - MetroWatch Video Viewing on iOS Devices The MobileWatch"gateway shall be configured to host tor selected Apple iPhones and iPads to allow MetroWatch camera selection and video viewing via a browser on the mobile device. Browser based viewing will not require purchase of a Consolidated Video Security System (CVSS) Page 9 CFW / e-Watch Corporation Amendment No. 1 to CSC No. 45257 Page 11 of 14 MobileWatch APP from the Apple App Store to view video on these devices. An appropriate browser will have to be loaded on the SOS device. Please note that live video streaming, such as cam be done with the MobileWatch Amlroid App is not- be possible using the browser -based software. An App would be required, however Apple has placed certain restrictions on writing Apps, therefore capturing and streaming video is not possible at this time. Fort Worth shall provide one Apple Tablet for MobileWatch Apple SOS device testing. e-Watch shall provide one Apple iPhone for testing for the duration of the test and training periods. The goal for completion of Milestone 3 shall be week 13 ARO. Milestone 4 - Comprehensive System Testing The goal of the Comprehensive System Testing is to test the operation of the entire MetroWatch " system on-line on the Fort Worth network with attached VMS systems and TriTech CAD system prior to turning the system over to live operation by City Emergency Response personnel. e-Watch shall write a Test Plan and provide the first Draft to the City for comments by week 12 ARO. The goal of the Test Plan shall be to exercise all of the primary features of the system. The City shall read and be provided an opportunity to reasonably revise the test plan prior to commencement of the testing. City and e-Watch personnel shall accomplish comprehensive Systems Testing jointly. All significant software deficiencies, as reasonably determined by the City, shall he addressed and corrected by e-Watch All IT, client and server platform hardware/software issues shall be addressed and corrected by the City. c-Watch shall furnish sufficient labor and include all expenses to insure that all planned functionality between the t-Watch server/software and the peripheral systems is operational and performing to the requirements set forth in the SOW, The City shall provide project management and IT personnel to accomplish the testing. The City shall he responsible for final evaluation of the operational status and the decision to go live with City Emergency Response personnel. The goal for completion of Milestone 4 shall be week 14 ARO. Milestone SA - User Training The goal of User Training is to train City Emergency Response Personnel, System Administrators and IT technicians on the high level user operations of the MetroWatch system. Consolidated Video Security System (CVSS) Page 10 CFW / e-Watch Corporation Amendment No. 1 to CSC No. 45257 Page 12 of 14 User Training shall consist of a single two-day session for up to 20 attendees. e-Watch sh ill provide one qualified instructor for RN days. e-Watch shall provide 20 hard copy manuals for Users The city shall provide a room, client workstations for all attendees, access to MetroWatch, as installed, and a large screen or projection display client workstation for the instructor. The goal for completion of Milestone 5A shall he week 16 ARO. Milestone 5B - Administrator Training The goal of Administrator Training is to train System Administrators and IT technicians on the configuration of the MetroWatch system. Configuration includes set-up, importing and exporting of personnel lists with permissions, camera configuration lists, facility maps, and user -defined icons. City personnel in the Administrator Training session have a prerequisite of having attended the User Training class. Administrator Training shall consist of a single two-day session for up to 10 attendees. • e-Watch shall provide one qualified instructor for two days. e-Watch shall provide 10 hard -copy manuals for Administrators • The city shall provide a room, client workstations for all attendees, access to MetroWatch as installed, and a large screen or projection display client workstation for the instructor. The goal for completion of Milestone 5B shall be week 16 ARO. Milestone SC - IT Technician Training The goal of IT Technician Training is to train City IT technicians on the network configui ation and troubleshooting of the MetroWatch system. City personnel in the IT Technician Training session have a prerequisite of having attended the User Training and the Adrninisti ator Training classes. City Personnel in the IT Technician class should have a solid foundation and/or certification in network administration prior to attending the class. IT Technician Training shall consist of a single one -day session for all attendees. ▪ e Watch shall provide one qualified instructor for two days. • e-Watch shall provide 10 hard -copy manuals for IT Technicians ▪ The city shall provide a room, client workstations for all attendees, access to MetroWatch, as installed, and a large screen or projection display client workstation for the instructor. DISCUSSION. Staff was tasked with finding a possible solution to provide interoperability among disparate Video Management Systems (VMS), that would provide City departments a standardized and secure Internet Protocol (IP) enterprise VMS infrastructure. This permission based solution will have the capability to share video between departments as well as between City and non -City agencies, and help public safety and emergency management personnel monitor emergency scenes, special events and agency specific venues. In January, 2012, Staff issued the first Request for Proposals (RFP). Nine responses were received and evaluated but all were rejected (M&C P-11429, approved on September 25, 2012) because they did not adequately address the requirements and base costs exceeded the planned budget between 90 percent and 200 percent. Staff refined the specifications and a new RFP was issued in September 2013. On October 17, 2013, six responses were received. The responding firms were: AVIRO RMS Group Confluence Security Convergint Technologies Edge 360 e-Watch Corporation Schneider Electric An evaluation committee comprised of employees from the Office of Emergency Management, IT Solutions City Marshal's Office and Police Department evaluated each responder's proposal on a predetermined matrix combination of qualitative and quantitative measures The evaluation criteria were technical and functional requirements, optional and non technical requirements, warranty and maintenance, system design, cost, and qualifications. The three highest ranked firms were invited to give presentations and participate in the interview process, after which an additional evaluation was performed. Based on points received, e-Watch Corporation was ranked the highest. The price for the initial project is set not to exceed $283 965.00, and will be funded by the Homeland Security Grant Funds. The remaining $116,035.00 will be used for additional consolidation efforts of other City -owned video systems on an as -needed basis. Staff anticipates the project will begin immediately upon approval by City Council. Contractor payments are based on milestone completion and acceptance by the City. RFP ADVERTISEMENT - This Request for Proposals was advertised in the Fort Worth Star- Telearam every Wednesday from September 18, 2013 through October 16, 2013. Twelve vendors from the purchasing vendor database were invited to submit proposals. PRICING ANALYSIS - There is no expense history for this type of consolidation project. M/WBE OFFICE - A waiver of the goal for MBE/SBE subcontracting requirements was requested by the Purchasing Department and approved by the M/WBE Office, in accordance with the BDE Ordinance, because the purchase of goods or services is from sources where subcontracting or supplier opportunities is negligible. ADMINISTRATIVE CHANGE ORDER - An administrative change order or increase may be made by the City Manager in the amount up to $50 000.00 and does not require specific City Council approval as long as sufficient funds have been appropriated. AGREEMENT TERM - Upon City Council's approval the Contract will be effective upon execution for a term of one year. RENEWAL OPTIONS - The Contract may be renewed annually for up to four one-year terms, and funds will be used on an as needed basis. This action does not require specific City Council approval provided that the City Council has appropriated sufficient funds to satisfy the City's obligations during the renewal term.
