HomeMy WebLinkAboutContract 45001 (2)5ECRIZO,,JV CITY OF FORT WORTH, TEXAS ;� ���`-Tna©T STANDARD AGREEMENT FOR PROFESSIONAL SERVICES This AGREEMENT is between the City of Fort Worth, a Texas home -rule municipality (the "CITY"), and National Switchgear Systems North Texas, Inc., dba National Field Services, authorized to do business in Texas, an independent contractor ("Consultant"), for a PROJECT generally described as: Village Creek Water Reclamation Facility (VC WRF) Power System Arc Flash Analysis. Article I Scope of Services (1) Consultant hereby agrees to perform as an independent contractor the services set forth in the Scope of Services attached hereto as Attachment "A". These services shall be performed in connection with Village Creek Water Reclamation Facility (VC WRF) Power System Arc Flash Analysis. (2) Additional services, if any, will be requested in writing by the City. City shall not pay for any work performed by Consultant or its subconsultants, subcontractors and/or suppliers that has not been ordered in writing. It is specifically agreed that Consultant shall not be compensated for any alleged additional work resulting from oral orders of any person. Article II Compensation Consultant shall be compensated in accordance with the Fee Schedule shown in Attachment "B". Payment shall be considered full compensation for all labor, materials, supplies, and equipment necessary to complete the services described in Attachment "A". However the total fee paid by the City shall not exceed a total of $261,510.00 unless the City and the Consultant mutually agree upon a fee amount for additional services and amend this Agreement accordingly. The Consultant shall provide monthly invoices to the City. Payment for services rendered shall be due within thirty (30) days of the uncontested performance of the particular services so ordered and receipt by City of Consultant's invoice for payment of same. Acceptance by Consultant of said payment shall operate as and shall release the City from all claims or liabilities under this Agreement for anything related to, done, or furnished in connection with the services for which payment is made, including any act or omission of the City in connection with such services. Article I11 Term Unless terminated pursuant to the terms herein, this Agreement shall be for a term of 12 Months beginning upon the date of its execution, or until the completion of the subject matter contemplated herein whichever occurs first. Article IV Independent Contractor Consultant shall operate hereunder as an independent contractor, and not as an officer, agent, servant, or employee of the City. Consultant shall have exclusive control of and the exclusive right to control the details of its work to be performed hereunder and all persons performing same, and shall be solely responsible for the acts and omissions of its officers, agents, employees, contractors and subcontractors. The doctrine of respondent superior shall not apply as between City and Consultant, its officers, agents employees, contractors, and subcontractors and nothing herein shall be construed as creating a partnership or joint venture between City and Consultant. Article V Professional Competence and Indemnification (1) Work performed by Consultant shall comply in all aspects with all applicable local, state and federal laws and with all applicable rules and regulations promulgated by the local, state and national boards, bureaus and agencies. Approval by the City shall not constitute or be deemed to be a release of the responsibility and liability of Consultant or its officers, agents, employees, contractors and subcontractors for the accuracy and competency of its services performed hereunder. (2) In accordance with Texas Local Government Code Section 271.904, the Consultant shall indemnify, hold harmless, and defend the City against liability for any damage caused by or resulting from an act of negligence, intentional tort, intellectual property infringement, or failure to pay a subcontractor or supplier committed by the Consultant or Consultant's agent, consultant under contract, or another entity over which the Consultant's exercises control. City of Fort Worth, Texas Standard Agreement for Professional Services PMO Official Release Date: 1/28/2013 Page 2 of 8 Article VI Insurance (1) Consultant shall not commence work under this Agreement until it has obtained all insurance required under this Article and the City has approved such insurance, nor shall Consultant allow any subcontractor to commence work on its subcontract until all similar insurance of the subcontractor has been so obtained and approval given by the City; provided, however, Consultant may elect to add any subconsultant as an additional insured under its liability policies. Commercial General Liability $1,000,000 each occurrence $1,000,000 aggregate Automobile Liability $1,000,000 each accident (or reasonably equivalent limits of coverage if written on a split limits basis). Coverage shall be on any vehicle used in the course of the Project. Worker's Compensation Coverage A: statutory limits Coverage a $100,000 each accident $500,000 disease - policy limit $100,000 disease - each employee (2) Additional Insurance Requirements a. Except for employer's liability insurance coverage under Consultant's worker's compensation insurance policy, the City, its officers, employees and servants shall be endorsed as an additional insured on Consultant's insurance policies. b. Certificates of insurance shall be delivered to the Water Department, Attention:Farida Goderya PhD, PE, 1000 Throckmorton St., Fort Worth, TX 76102, prior to commencement of work. c. Any failure on part of the City to request required insurance documentation shall not constitute a waiver of the insurance requirements specified herein. d. Each insurance policy shall be endorsed to provide the City a minimum thirty days notice of cancellation, non -renewal, and/or material change in policy terms or coverage. A ten days notice shall be acceptable in the event of non-payment of premium. e. Insurers must be authorized to do business in the State of Texas and have a current A M Best rating of A: VII or equivalent measure of financial strength and solvency. Other than worker's compensation insurance, in lieu of traditional insurance, City may consider alternative coverage or risk treatment measures through insurance pools or risk retention groups. The City must approve in writing any alternative coverage. Workers' compensation insurance policy(s) covering employees employed on the Project shall be endorsed with a waiver of subrogation providing rights of recovery in favor of the City. h. City shall not be responsible for the direct payment of insurance premium costs for Consultant s insurance. i. Consultant's insurance policies shall each be endorsed to provide that such insurance is primary protection and any self -funded or commercial coverage maintained by City shall not be called upon to contribute to loss recovery. j. In the course of the Agreement, Consultant shall report, in a timely manner, to City's officially designated contract administrator any known loss occurrence which could give rise to a liability claim or lawsuit or which could result in a property Toss. k. Consultant's liability shall not be limited to the specified amounts of insurance required herein. I. Upon the request of City Consultant shall provide complete copies of all insurance policies required by these Agreement documents. Article VII Transfer or Assignment City and Consultant each bind themselves, and their lawful successors and assigns to this Agreement Consultant, its lawful successors and assigns, shall not assign, sublet or transfer any interest in this Agreement without prior written consent of the City. Article VIII Termination of Contract (1) City may terminate this Agreement for its convenience on 30 days' written notice. Either the City or the Consultant for cause may terminate this Agreement if either Party fails substantially to perform through no fault of the other and does not commence correction of such nonperformance with 5 days of written notice and diligently complete the correction thereafter City of Fort Worth, Texas Standard Agreement for Professional Services PM0 Official Release Date: 1/28/2013 Page 4 of 8 (2) If City chooses to terminate this Agreement under Article 8, upon receipt of notice of termination, Consultant shall discontinue services rendered up to the date of such termination and City shall compensate Consultant based upon calculations in Article 2 of this Agreement and Exhibit "B" attached hereto and incorporated herein. (3) All reports, whether partial or complete, prepared under this Agreement, including any original drawings or documents, whether furnished by the City, its officers agents, employees, consultants, or contractors, or prepared by Consultant, shall be or become the property of the City, and shall be furnished to the City prior to or at the time such services are completed, or upon termination or expiration of this Agreement. Article IX Right to Audit (1) Consultant agrees that the City shall, until the expiration of three (3) years after final payment under this Agreement, have access to and the right to examine any directly pertinent books, documents, papers and records of Consultant involving transactions relating to this Agreement. Consultant agrees that the City shall have access during normal working hours to all necessary facilities and shall be provided adequate and appropriate workspace in order to conduct audits in compliance with the provisions of this section. City shall give Consultant reasonable advance notice of intended audits. (2) Consultant further agrees to include in all its subcontracts hereunder, a provision to the effect that the subcontracting consultant agrees that the City shall, until the expiration of three (3) years after final payment under the subcontract, have access to and the right to examine any directly pertinent books, documents, papers and records of such sub -consultant, involving transactions to the subcontract, and further, that City shall have access during normal working hours to all sub - consultant facilities and shall be provided adequate and appropriate work space in order to conduct audits in compliance with the provisions of this article. City shall give Consultant and any sub -consultant reasonable advance notice of intended audit. (3) Consultant and sub -consultants agree to photocopy such documents as may be requested by the City. The City agrees to reimburse Consultant for the cost of copies at the rate published in the Texas Administrative Code in effect as of the time copying is performed. City of Fort Worth, Texas Standard Agreement for Professional Services PM0 Official Release Date: 1/28/2013 Page 5 of 8 Article X Minority Business and Small Business Enterprise (MBE)(SBE) Participation In accordance with the City's Business Diversity Enterprise Ordinance No. 20020-12-2011, as amended, the City has goals for the participation of minority business enterprises and/or small business enterprises in City contracts. Consultant acknowledges the MBE and SBE goals established for this Agreement and its accepted written commitment to MBE and SBE participation. Any misrepresentation of facts (other than a negligent misrepresentation) and/or the commission of fraud by the Consultant may result in the termination of this Agreement and debarment from participating in City contracts for a period of time of not less than three (3) years. Article XI Observe and Comply Consultant shall at all times observe and comply with all federal, state, and local laws and regulations and with all City ordinances and regulations which in any way affect this Agreement and the work hereunder, and shall observe and comply with all orders, laws ordinances and regulations which may exist or may be enacted later by governing bodies having jurisdiction or authority for such enactment. No plea of misunderstanding or ignorance thereof shall be considered. Consultant agrees to defend, indemnify and hold harmless City and all of its officers, agents and employees from and against all claims or liability arising out of the violation of any such order, law, ordinance, or regulation, whether it be by itself or its employees. Article XII Venue and Jurisdiction If any action, whether real or asserted, at law or in equity, arises on the basis of any provision of this Agreement, venue for such action shall lie in state courts located in Tarrant County, Texas or the United States District Court for the Northern District of Texas Fort Worth Division. This Agreement shall be construed in accordance with the laws of the State of Texas. Article XIII Contract Construction The Parties acknowledge that each party and if it so chooses, its counsel have reviewed and revised this Agreement and that the normal rule of construction to the effect that any ambiguities are to be resolved against the drafting party must not be employed in the interpretation of this Agreement or any amendments or exhibits hereto. City of Fort Worth, Texas Standard Agreement for Professional Services PMO Official Release Date: 1/28/2013 Page 6 of 8 Article XIV Severability The provisions of this Agreement are severable, and if any word, phrase, clause, sentence, paragraph, section or other part of this Agreement or the application thereof to any person or circumstance shall ever be held by any court of competent jurisdiction to be invalid or unconstitutional for any reason, the remainder of this Agreement and the application of such word, phrase, clause, sentence, paragraph, section, or other part of this Agreement to other persons or circumstances shall not be affected thereby and this Agreement shall be construed as if such invalid or unconstitutional portion had never been contained therein. The analysis will include a short circuit study, equipment evaluation, protective device coordination study, and an arc flash analysis. 2. The analysis will be simulated for both normal and emergency operating conditions. The arc flash hazard placards created from the analysis of this study will show the worst case possible hazard by either the normal or emergency scenario at each equipment location. 3. National Field Services will contact the customer's utility company to obtain the fault current available from the utility source. 4. The analysis will begin at the incoming utility source and will include all substations down to the 480V three phase electrical equipment on the provided one -line diagram. 5. Only motors above 50 hp will be included. Motors smaller than 50 hp will be grouped and summed together for the analysis of this study. 6. Each device (bus, cable, transformer, relay, circuit breaker, etc.) must be labeled with a unique name and fit within a certain character count. The names of protective devices will follow the labels on the doors/panels/equipment at the facility as close as possible unless directed otherwise by personnel. 7. All equipment included within the scope of the study will be provided with an arc flash placard with the necessary information required by NFPA 70E, 2012 edition. 8. The analysis will be performed utilizing PowerToolsTM, electrical engineering modeling software by SKM. 9. The one -line does not provide details of the 480V system. It is assumed that each 480V substation has 10 breakers on average. 1.1 Gathering of Data National Field Services will create the analysis from the provided one -line diagrams. The customer shall provide an accurate bill of materials and all known data for all cables, circuit breakers, fuses, meters, motors, relays, transformers, UPS systems, soft starts, and variable frequency drives. National Field Services will make assumptions, when necessary, for data that is not available through documentation or field verification. TM 1.2 Short Circuit Study This study shall be in accordance with applicable ANSI and IEEE Standards. Short circuit momentary duties and interrupting duties shall be calculated on the basis of maximum available fault current at each switchgear bus, switchboard, and other significant locations through the system 1.3 Equipment Evaluation Study An equipment evaluation study shall be performed to determine the adequacy of circuit breakers and fuses by tabulating and comparing the short circuit ratings of these devices with the available fault currents Any problem areas or inadequacies in the equipment shall be documented and included in the report. 1.4 Protective Device Coordination Study 1. A protective device coordination study shall be performed to check the size of power fuses, protective relay characteristics and settings ratios of current transformers, and low voltage circuit breaker trip characteristics and settings. 2. The coordination study shall begin at the incoming utility sources and will only include the three phase electrical equipment within the scope of this study. Phase and ground over current protection for normal operation shall be included as well as settings for all other adjustable protective devices. 3. The time -current characteristics of the specified protective devices shall be plotted on log -log paper. The plots shall include complete titles, relay characteristics (when applicable), significant motor starting characteristics, complete parameters of transformers, complete operating bands of low voltage power circuit breakers trip curves, and fuse curves The coordination study shall indicate the types of protective devices selected, proposed relay taps, time dial and instantaneous trip settings, ANSI transformer magnetizing inrush and withstand curves per ANSI C37.91, cable damage curves, and symmetrical fault currents All requirements of the current National Electrical Code shall be adhered to. Reasonable coordination intervals and separation of characteristic curves shall be maintained. The coordination plots for phase and ground protective devices shall be provided on a system basis. Curves shall be used to clearly indicate the coordination using a maximum of 6 (six) protective devices per plot. 4. The selection and settings of the protective devices shall be provided separately in tabulated form listing circuit identification current transformer ratios, manufacturer, type, range of adjustment, and recommended settings. Discrepancies, problem areas or inadequacies shall be promptly brought to the customer's attention 1.5 Arc Flash Hazard Analysis A flash hazard analysis shall be performed to determine the incident energy and arc flash boundary under a fault condition for each location in the power system. This analysis includes arc flash calculations at each bus for bolted short circuit fault, arcing fault in protective devices, arc flash boundary, incident energy and PPE and safe work distances. This study meets compliance with NEC 110.16, OSHA, NFPA 70E and IEEE 1584 standards Included within the report are the Page 2 of 7 required warning placards to be installed at each bus location Placards will be standard 4" x 6" self-adhesive, water based polymer with UV protection and placed on all electrical components involved in the study in accordance with NEC 110.16, OSHA, NFPA 70E and IEEE 1584 standards. In order to provide the Arc Flash Hazard Analysis a Short Circuit Analysts must be completed. ***This analysis will be based on the recommended protective device settings. 1.6 Study Report The results of the power system study shall be summarized in a final report, with three bound copy and one electronic copy provided to customer The report shall include the following sections: 1. Description, purpose, basis, scope, assumptions, analysis, and recommendations of the study 2. A single line impedance diagram of the portion of the power system which is included within the scope of the study. 3. Input information used to create the study model including the provided utility information, transformer, cable, and motor data 4. Fault current tabulations 5. Equipment evaluation - Tabulations of circuit breaker fuse, and other equipment ratings versus calculated short circuit duties and commentary regarding the same. 6. Protective device coordination curves recommended settings, for both phase and ground fault protective devices 7. Arc flash analysis that will include tabulations for every circuit included within the scope of the study, placards, and a color coded impedance diagram. 8. All National Field Services sub -consultant 2M is an SBE firm registered with the City. They will be performing the portion of the study in Exhibit A 1.7 Arc Flash Placard Installation National Field Services will provide a field engineer to place all arc flash placards in the correct locations on switchgear throughout the facility. All travel considerations are included in this price. 1.8 One -Line Update National Field Services will provide engineering services to create the electrical one -line diagram for the facility. The drawing will include all equipment involved in the above analysis. One -line drawing will be supplied in CAD format using AutoCAD LT 2010. 1.9 SKM Training (limited to 15 people per training) One (8 hour) day training will be provided to educate the electrical staff on the process to prepare and complete a facility short circuit, coordination, and arc flash study In the training SKM background will be given to cover theory model computational techniques, required inputs, assumptions utilized, system configurations explanation of model outputs, and a synopsis of applicable code and safety guidelines. National Field Services will provide (1) Certified Thermographer and (1) Qualified helper for 12 (8) hour days to perform a thermographic scan of all 480V 3 phase circuits. National Field Services will provide (1) Certified Thermographer for 2 (9) hour day to perform online partial discharge testing of all MV equipment. Page 4 of 7 1.12 Project Management and Meetings National Field Services will make flexible schedule arrangements to meet with the City regarding the project outlined by this proposal at the City's convenience Monday through Friday during normal office working hours. National will bring all project team members necessary for the purpose of the meeting The project meetings have been outlined in the pricing below and as allocated 4 meetings including 1 project kick-off meeting. 1.13 Develop SKM Model 1.14 National Field Services will provide the City with a complete SKM model to include all the equipment that is included in the report (1.6). NFS will combine all existing SKM models that the City has at the Village Creek Waste Water Facility into one working copy and deliver as part of the electronic copy required (1.6). Contingency Fund This line item is at the City's discretion to use. This can be used for any changes to the scope of work that add to the project (i.e. items identified during equipment assessment that need immediate maintenance actions and/or unforeseen circumstances not accounted for in this scope of work). 2.0 PRICING National Field Services will provide all materials, labor, equipment and related travel and living expenses necessary to perform the above engineering services. Invoices will be paid from the date of the invoice (NET 30 Days). 2. The payment schedule is as follows: 35% - Completion of data collection 25% - Delivery of Preliminary Results 30% - Delivery of final report 10% - Completion of Arc Flash Placard Installation and Training Services 3. A single iteration to the draft report based on the comments received from the City is included in this scope. 4. The customer shall provide an electrician or engineer, familiar with the distribution system, and shall be available during the data collection period They will be responsible for disconnecting and re - energizing all equipment (if necessary), including performing all switching task, unless other arrangements have been made and approved by NFS and the customer. 5. Existing one -line diagrams for the electrical system should be provided by the customer, unless other arrangements have been made. 6. This proposal is only valid for the services outlined in the tasks above and does not include services beyond those specifically described. If actual equipment quantities are different, or should be increased by the client representative, then additional quantities will be considered as out -of -scope and subject to time and material billing at our published rate sheet pricing. 7. Unless specified in proposal, it is assumed that all on -site work is to be schedule for a non -holiday Monday through Friday work within normal working hours. 4.0 SCHEDULE 1. National Field Services will complete all scope of work and deliver all copies of reports within 6 months from time of authorization from the City to proceed. Compensation A. The ENGINEER shall be compensated a total lump sum fee of $_261,510.00 as summarized in Exhibit B-1 — Engineer Invoice and Section IV — Summary of Total Project Fees. The total lump sum fee shall be considered full compensation for the services described in Attachment A, including all labor materials, supplies, and equipment necessary to deliver the services. B The ENGINEER shall be paid monthly payments as described in Section II - Method of Payment. II. Method of Payment A Partial payment shall be made to the ENGINEER monthly upon City's approval of an invoice prepared and submitted by the ENGINEER in the format and including content as presented in Exhibit B-1, Progress Reports as required in item III. of this Attachment B, and Schedule as required in Attachment D to this Agreement. B. The estimated current physical percent complete as required on the invoice shall be calculated from the progress schedule as required in Attachment D to this Standard Agreement and according to the current version of the City of Fort Worth's Schedule Guidance Document. C The cumulative sum of such monthly partial fee payments shall not exceed the total current project budget including all approved Amendments. D. Each invoice shall be verified as to its accuracy and compliance with the terms of this Agreement by an officer of the ENGINEER. III. Progress Reports A. The ENGINEER shall prepare and submit to the designated representative of the Water Department monthly progress reports and schedules in the format required by the City. D1. CONSULTING SERVICES SCHEDULE DEVELOPMENT: The CONSULTANT shall prepare schedules for consulting services that meet the requirements described in this specification, showing by Critical Path Method (CPM) the planned sequence and timing of the Work associated with the Agreement. All submittals shall be submitted in PDF format, and schedule files shall also be submitted in native file format (i.e. file formats associated with the scheduling software). The approved scheduling software systems for creating the schedule files are: Primavera (Version 6.1 or later or approved by CITY) — Primavera Contractor (Version 6.1 or later or approved by CITY) — Microsoft Project (Version 2003/2007 or later or approved by CITY)(PHASING OUT) D2. BASELINE CONSULTING SERVICES SCHEDULE: Following notice -to -proceed, the CONSULTANT shall develop, submit and review the draft detailed baseline consulting services schedule with the CITY to demonstrate the CONSULTANT's understanding of the Agreement requirements and approach for performing the work. The CONSULTANT will prepare the final detailed baseline consulting services schedule based on CITY comments, if any, and submit to the CITY no later than the submittal of the first project invoice. The following guidelines shall be adhered to in preparing the baseline schedule, and as described in further detail in the CITY's Schedule Guidance Document. a. The scope shall be subdivided by work breakdown structure (WBS) representing the tasks, subtasks, and activities associated with delivering the work. b. The schedule shall accurately describe the major work activities, key milestones, and dependencies/relationships as appropriate to the work. c. The schedule should include appropriate meetings, review periods, critical decision points, including third party utility dependencies and reviewing agencies. D3. PROGRESS CONSULTING SERVICES SCHEDULE: The CONSULTANT shall prepare and submit monthly to the CITY for approval the updated schedule in accordance with D1 and D2 and the CITY's Schedule Guidance Document inclusive. As the Work progresses, the CONSULTANT shall enter into the schedule and record actual progress as described in the CITY's Schedule Guidance Document. The updated schedule submittal shall also include a concise schedule narrative that highlights the following, if appropriate and applicable: • Changes in the critical path, • Expected schedule changes, • Potential delays, • Opportunities to expedite the schedule, • Coordination issues the CITY should be aware of or can assist with, City of Fort Worth, Texas Attachment D PMO Release Date: 02.15.2011 Page 1 of 2 • Other schedule -related issues that the CONSULTANT wishes to communicate to the CITY. D4. PERFORMANCE AND CONSULTING SERVICES SCHEDULE: If the work accomplished falls behind that scheduled due to factors within the CONSULTANT's control, the CONSULTANT shall take such action as necessary to improve the progress of the Work In addition, the CITY may require the CONSULTANT to submit a revised schedule demonstrating the proposed plan to make up the delay in schedule progress and to ensure completion of the Work within the allotted Agreement time. D5. SCHEDULE TIERS SPECIAL INSTRUCTIONS: The requirements for the schedule are determined based on the nature and needs of the project. The schedule tier for this project is stated at the top of this document. CONSULTANT shall submit each schedule relying on the CITY's current Schedule Guidance Document. D6. DISCUSSION: The City of Fort Worth owns and operates the Village Creek Water Reclamation Facility (VCWRF). The VCWRF is a 166 Million Gallons per Day (MGD) activated sludge wastewater treatment system; comprised of primary, secondary and tertiary treatment, chlorine disinfection and de —chlorination. The VCWRF is an over 60 year old facility and has been modified and expanded with numerous capital and in—house projects over many years Over the last five to 10 years, most new projects that included electrical equipment installation have required short circuit and coordination studies, and some have also included an arc flash hazard analysis followed by field labeling of equipment. However, much of the older electrical equipment has no rating, labeling short circuit, coordination studies, or arc flash hazard analysis available. The purpose of this project is to provide an electrical equipment evaluation short circuit study, protective device coordination study, arc flash analysis, provide field labeling of arc flash hazards, and staff training on SKM Power Tools software The short circuit and coordination studies and arc flash hazard analysis shall be performed from the utility primary source of connection down to 480 volt motor control centers and branch panels. National Field Services has been selected as the consulting firm and is proposing to perform the necessary work for a fee not to exceed $261,510.00. Staff considers this fee to be fair and reasonable for the scope of services proposed. M/WBE Office — National Field Services is in compliance with the City's BDE Ordinance by committing to 17 percent SBE participation on this project. The City's SBE goal on this project is 14 percent. In addition to the contract amount, $20,000.00 is required for project management and associated Staff time for the Water Department. This project serves the entire City and is located in COUNCIL DISTRICT 5, Mapsco 68N.
