FIFTH AMENDMENT TO
FORT WORTH CITY SECRETARY CONTRACT NO. 51013
This Fifith Amendment to Fort Worth City Secretary Contract No. 51013 ("Fifth
Amendment") is made between the City of Fort Worth ("Fort Worth"), a municipal corporation
and Accela, Inc., a California corporation. ("Vendor").
WHEREAS, FORT WORTH and ACCELA entered into an Agreement identified as Fort
Worth City Secretary Contract No. 51013 beginning July 10, 2018 (the "Agreement"); and
WHEREAS, the Agreement was amended on or about January 10, 2019, via CSC 51013-
Al to increase the number of licenses for the Accela License and Case Management software and
increase the total amount of the contract by$24,816.77 to $907,655.55; and
WHEREAS, the Agreement was amended on or about February 7, 2019, via CSC 51013-
A2 to revise the term to expire February 15, 2019, with two (2) additional one year renewal
terms; and
WHEREAS, the Agreement was amended on or about July 9, 2019, via CSC 51013- A3
to align the expiration dates with maintenance support and to increase the number of licenses,
increasing the total amount of the contract by$5,523.41 to $913,178.96; and
WHEREAS, the Agreement was amended on or about August 26, 2020 to include an
additional scope of work, increasing the total amount of the contract by $14,656.42 for a new
contract total of$927,835.38.
WHEREAS, it is the collective desire of both Fort Worth and Vendor to amend the
Agreement to include additional renewal options.
NOW THEREFORE, known by all these present, Fort Worth and Vendor, acting herein
by the through their duly authorized representatives, agree to the following terms, which amend
the Agreement as follows:
1. The Agreement is hereby amended to revise Exhibit D, Addendum, Section 1
Term to read as follows:
The Agreement shall commence upon the signing of the Agreement and shall expire
February 15, 2019, unless terminated earlier in accordance with the provision of the
Agreement of otherwise extended by the parties. The Agreement may be renewal for
three (3) renewals at the City's option, each a"renewal Term."
2. All other terms, provisions, conditions, covenants and recitals of the Agreement
not expressly amended herein shall remain in full force and effect.
