HomeMy WebLinkAboutContract 55010-A1 CSC No.55010-A1 AMENDMENT NO. 1 TO CITY OF FORT WORTH CONTRACT 55010 This Amendment is entered into by and between the City of Fort Worth (hereafter "City"), a home rule municipality, with its principal place of business at 200 Texas Street, Fort Worth, Texas, and The Ladder Alliance, Inc. ("Agency"), City and Agency may be referred to individually as a Party and collectively as the Parties. WHEREAS, on November 18, 2020, the City entered into an Agreement with Agency to provide services more specifically described in the agreement, City Secretary Office (CSO) Contract No. 55010, (the "Agreement"); and WHEREAS,the Parties wish to amend the Agreement to correct an error in section 4 of the Agreement to appropriately reflect the parties' intent and agreement and to extend the term of Agreement. NOW, THEREFORE, the Parties, acting herein by the through their duly authorized representatives, enter into the following agreement: 1. AMENDMENTS Section 3 entitled"Term"of the Agreement is hereby amended to read as follows: 3. TERM. This Contract begins on execution and expires on January 31, 2020 unless earlier terminated as provided in this Contract (the "Initial Term") and covers eligible expenditures incurred between the Effective Date and December 20, 2020 (the "Eligibility Period"). At the City's sole discretion based on Agency performance and changes in federal law,this Contract may be extended for one or more Renewal Terms, with the duration of any such Renewal Term to be documented in a mutually signed writing of the Parties. The Initial Term and all Renewal Terms may be referred to collectively as the "Contract Term." Section 4.1 entitled "Provide CARES Funds" of the Agreement is hereby amended to read as follows: 4.1 Provide CARES Funds. City shall provide up to $66,845.00 of CARES Funds under the terms and conditions of this Contract. CARES Funds will be provided to Agency for Eligible Expenses, up to a total of $66,845.00, upon receipt of Complete Documentation. Final Reimbursement Request must be received by the City no later than December 20, 2020. FAILURE OF AGENCY TO TIMELY OFFICIAL RECORD CITY SECRETARY FT. WORTH, TX SUBMIT THE FINAL REIMBURSEMENT REQUEST WILL CONSTITUTE A BREACH OF CONTRACT AND WILL RELIEVE CITY OF ANY RESPONSIBILITY TO REIMBURSE COSTS ASSOCIATED WITH SUCH REQUEST. Funds will not be disbursed by City for Agency's Final Reimbursement Request until remaining Complete Documentation items (Proof of Payment and other applicable documentation) have been received by City. 2. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement which are not expressly amended herein are not affected by this amendment. 3. ELECTRONIC SIGNATURE This Amendment may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument.A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as anoriginal.
