FIRST AMENDMENT TO FORT WORTH
CITY SECRETARY CONTRACT NO. 54006,
A HOST AGREEMENT FOR THE 2021 BASSMASTER CLASSIC
This First Amendment to Fort Worth City Secretary Contract Number 54006 ("First
Amendment")is made and entered into by and between the CITY OF FORT WORTH("City"),a home-
rule municipality organized under the laws of the State of Texas;FORT WORTH CONVENTION AND
VISITORS BUEARU,d/b/a VISIT FORT WORTH("VFW"), a Texas non-profit corporation;and the
B.A.S.S.,LLC ("BASS"),a Delaware limited liability company.
RECITALS
A. City, VFW, and BASS are currently parties to an agreement governing The Bassmaster
Classic to be held in Fort Worth, Texas, the same being Fort Worth City Secretary Contract No. 54006
("Agreement").
B. Due to the adverse effects of COVID-19, BASS desires to reschedule The Bassmaster
Classic from March 19-22, 2021 to June 11-13,2021.
C. Pursuant to Section 6 of the Agreement concerning force majeure,BASS provided the City
and VFW with proper written notice of COVID-19's effects on The Bassmaster Classic and its intent to
reschedule The Bassmaster Classic.
D. The City,VFW, and BASS desire to amend the Agreement to set forth the rescheduled
dates for The Bassmaster Classic.
NOW, THEREFORE, for and in consideration of the premises, undertakings, and mutual
covenants of the parties set forth herein and other good and valuable consideration, the receipt and
sufficiency of which is hereby acknowledged,the parties agree to amend the Agreement as follows:
I.
Recital H is hereby amended to change the dates of The Bassmaster Classic from March 19-21,
2021 to June 11-13, 2021 and reads as follows:
"H. The Event will take place over three days, from June 11-13, 2021, and
include 54 of the world's best anglers competing for a $1 million purse. Live
weigh-ins will occur at Dickies Arena, along with expo events at the Will Rogers
Memorial Center("WRMC"),both of which are located in Fort Worth and directly
adjacent to each."
II.
Section 4.a.iii. "RENTAL FACILITIES AND CREDITS" is amended to change the dates that
BASS may license certain areas within the WRMC for The Bassmaster Classic and reads as follows:
"iii. RENTAL FACILITIES AND CREDITS. City will license to BASS the
use of the WRMC's Exhibit Hall, Poultry Barn, the Round-Up Inn, Barns 1 and 2

and the Tower Promenade,and other areas within WRMC as the parties may agree
to in writing, for the Event from June 6-15,2021. Asa requirement by BASS for
hosting the Event,City will apply a rental credit to BASS of up to$100,000.00 for
the use of the above-stated facilities, which will be based on the actual facilities
rented and the rental fees associated therewith."
III.
Section 4.b.i. "EVENT DATES AND LOCATIONS" is amended to change the dates for The
Bassmaster Classic and reads as follows:
"i. EVENT DATES AND LOCATIONS. BASS must hold and conduct the
Event at the Will Rogers Memorial Center and Dickies Arena from June 11-13,

IV.
Section 4.c.ii.2 "PAYMENT OF RENTAL COSTS FOR DICKIES ARENA AND TENT" is
amended to change the dates for The Bassmaster Classic and reads as follows:
442. VFW will expend up to$125,000.00 to rent a 100'x 300'tent for the Event
to be used from June 6-15, 2021, which will need be erected between Dickies
Arena and WRMC. BASS will be responsible for any overages."
V.
1. All other terms and conditions of the Agreement remain in full force and effect except as
specifically set forth in this First Amendment.
2. All terms of this First Amendment that are capitalized but not defined have the meanings
assigned to them in the Agreement.
3. This First Amendment may be executed by electronic signature, which will be considered
as an original signature for all purposes and have the same force and effect as an original signature. For
these purposes, "electronic signature" means electronically scanned and transmitted versions (e.g. via pdf
file or facsimile transmission) of an original signature, or signatures electronically inserted via software
such as Adobe Sign.
IN WITNESS WHEREOF, the City, VFW,and BASS have executed this First Amendment in
Tarrant County,Fort Worth, Texas.
