FIFTH RENEWAL OF CITY SECRETARY CONTRACT NUMBER 47516
A PROFESSIONAL SERVICES AGREEMENT
FOR GOLF COURSE SOFTWARE
This FIFTH RENEWAL OF CITY SECRETARY CONTRACT NUMBER 47516, as
amended and renewed, ("Fifth Renewal") is made and entered into by and between the CITY OF
FORT WORTH, a home-rule municipal corporation of the State of Texas ("City"), acting by and
through its duly authorized Assistant City Manager, and PRO-SHOPKEEPER COMPUTER
SOFTWARE CO. INC. d/b/a CLUB PROPHET SYSTEMS, a Pennsylvania corporation
("Contractor"), acting by and through its duly authorized representative.
WHEREAS, effective March 22, 2016,the City and Contractor entered into an agreement
for golf course software, City Secretary Contract Number 47516 ("Agreement");
WHEREAS, the Agreement provided for an initial one-year term from March 22, 2016 to
March 23, 2017, with five optional one-year renewal periods, each a("Renewal Term");
WHEREAS, the City and Contractor executed the first renewal effective from March 22,
2017 to March 23, 2018, City Secretary Contract Number 47516-R2, which was identified as the
second renewal term;
WHEREAS, the City and Contractor executed the second renewal effective from March
22, 2018 to March 23, 2019, City Secretary Contract Number 47516-R3, which was identified as
the third renewal term;
WHEREAS, the City and Contractor amended the Agreement to add additional hardware
and software Services for an increased fee to be paid to the Contractor, City Secretary Contract
Number 47516-A1;
WHEREAS, the City and Contractor executed the second amendment and third renewal
to the Agreement which corrected the dates of the renewal terms and exercised the third renewal
effective from March 22, 2019 to March 21, 2020, City Secretary Contract Number 47516-R3A2;
WHEREAS, the City and Contractor executed the fourth renewal effective from March
22, 2020 to March 21, 2021, City Secretary Contract Number 47516-R4, which was identified as
the fourth renewal term;
WHEREAS, the City and Contractor desire to renew the agreement for the fifth optional
renewal term; and
NOW, THEREFORE, the City and Contractor agree to renew and extend the Agreement
as follows:
I.
The parties agree to exercise the fifth Renewal Term effective on March 22, 2021 and
expiring on March 21, 2022. OFFICIAL RECORD

II.
1. All other terms and conditions of the Agreement shall remain in full force and effect
except as specifically set forth in this Fifth Renewal.
2. All terms of this Fifth Renewal that are capitalized but not defined shall have the
meanings assigned to them in the Agreement.

IN WITNESS WHEREOF, the parties hereto have executed this Fifth Renewal to be
effective on March 22, 2021.
