MEMORANDUM OF UNDERSTANDING
OF THE CITY OF FORTH WORTH, TEXAS AND
THE COMMUNITY FOUNDATION PROJECT HENRY, LLC
THIS Memorandum of Understanding ("MOU") is entered into by and between City of
Fort Worth, a home-rule municipal corporation of the State of Texas (the "City"), acting by and
through Charles W. Daniels, its duly authorized Assistant City Manager, and Community
Foundation Project Henry, LLC, (the "Foundation") a wholly-owned subsidiary of Community
Foundation of North Texas, Inc. a Texas Nonprofit Corporation, acting by and through Phil
McCrury its duly authorized President.
RECITALS
WHEREAS, the City owns and operates the Chuck Silcox Animal Care and Control
Center located at 4900 Martin Street, Fort Worth, Texas 76119; and
WHEREAS, the City and its residents desire to construct a Medical Treatment Ward to
provide a higher level of veterinary care to animals which find their way into the shelter; and
WHEREAS, several generous benefactors in the community have already stepped
forward to pledge funds to Foundation for construction of the Medical Treatment Ward; and
WHEREAS, the Foundation has graciously offered to facilitate the construction of the
Medical Treatment Ward by coordinating the fundraising and construction of the Facility; and
WHEREAS, the City wishes to express its full commitment, endorsement, and support of
this endeavor; and
WHEREAS, the Foundation now intends to construct a Medical Treatment Ward and
intends to donate the Facility to the City of Fort Worth; and
NOW, THEREFORE, this MOU shall express the understanding and intent of the City
and the Foundation related to the construction of the Medical Treatment Ward at the Charles
Silcox Animal Care and Control Center as follows:
I. PURPOSE.
This MOU is for the purpose of outlining the general intent of the Parties with respect to
the funding of design and construction of a Medical Treatment Ward for the Chuck Silcox
Animal Care and Control Center, which hereinafter may be referred to as the "Facility". Design
may commence upon the final execution of this MOU.

II. FUNDING.
The Foundation will conduct a fundraising program to enlist the support of people in the
community with a vision for this vital project. The City will partner with the Foundation in the
promotion of the fundraising campaign, committing its staff and its endorsement, partnering at
forums to promote the campaign such as meetings and public events, permitting the use of its
trademarks and the Molly logo, facilitating the appearance of "Henry", the City's ofiicial
"spokes-dog" and his likeness in promoting the campaign, all of the foregoing subject to mutual
agreement as to specific terms. The Foundation, however, will manage, maintain possession of,
and fully control the funds collected for the purpose of designing and constructing the Facility.
The design, construction, materials, and other costs for construction of the Facility will be
paid for by the Foundation from the funds obtained in the campaign.
III. FACILITY.
The City and the Foundation will collaborate on the preparation of design and
specifications for the Facility. Any and all design professionals, contractors, and vendors
involved in construction will be engaged by the Foundation for the design and construction of
the Facility.
IV. GIFTING:
Upon completion of the Facility the Foundation intends to execute a Gift Deed conveying
to the City all interest in the Facility, any improvements, any fixtures, and any equipment
contained therein.

IN WITNESS WHEREOF, the Parties hereto execute this Agreement in Fort Worth,
Tarrant County, Texas.
