HomeMy WebLinkAboutContract 55373 CSC No. 55373 WATERLINE EASEMENT ENCROACHMENT LICENSE AGREEMENT THIS AGREEMENT is made and entered into by and between THE CITY OF FORT WORTH, a Texas home rule municipal corporation ("City"), acting by and through its duly authorized Assistant City Manager,and Bedrock Production,LLC,a Texas limited liability company ("Bedrock"), acting by and through its duly authorized representative. WHEREAS, the George Beggs Trust a/k/a George Beggs, Jr. Trust, (the "Trust"), is the owner of the surface of a certain 639 acres situated in the H T & B RR Survey, Section 7, A-646, 22.800 acres situated in the J.M. Riggs Survey, A-2616, and 303 acres situated in the E. Gillis Survey, A-2492, all in Parker County, TX (the "Beggs Ranch"); and WHEREAS,by way of that certain suit numbered CIV-18-0577 and Agreed Final Judgment ("Final Judgment"), attached hereto as Exhibit"A,"the City obtained the right to construct an access road and water pipeline right-of-way through the Beggs Ranch,being an exclusive,perpetual,forty-foot wide,6.41 acre waterline easement and a 0.33 permanent access easement in the E. Gillis Survey, Section 8, A-2492, the H T & B RR Survey, Section 7, A-646, in Parker County, Texas (the "Water Tower Road"); and WHEREAS, Bedrock Production, LLC ("Bedrock"), is the owner of the Oil, Gas & Mineral Lease that governs the Beggs Ranch covering 3070.8 acres of land and being recorded as Volume 2330, Page 1756 of the Parker County Clerk's Office (the "Lease"); and WHEREAS, Bedrock desires to access its oil and gas operations on the Beggs Ranch through the Water Tower Road; and WHEREAS, Bedrock has obtained the consent of the Trust to access its oil and gas operations on the Beggs Ranch and pursuant to the Lease through the Water Tower Road, such consent being attached hereto as Exhibit"B;" and WHEREAS,to accommodate the needs of the Beggs Ranch and Bedrock,the City will allow Bedrock to utilize the surface of the Water Tower Road under the terms and conditions as set forth in this Agreement. NOW, THEREFORE, the City and Bedrock agree as follows: AGREEMENT 1. The City, in consideration of the covenants and agreements hereinafter contained to be kept and performed by Bedrock, hereby grants permission to Bedrock to utilize the surface only of a portion of the City's public property known as the Water Tower Road, consisting of an exclusive, perpetual, forty-foot wide, 6.41 acre waterline easement and a OFFICIAL RECORD CITY SECRETARY FT. WORTH, TX 0.33 permanent access easement in the E. Gillis Survey, Section 8, A-2492, the H T & B RR Survey, Section 7, A-646, in Parker County, Texas, such property being further described in the attached Exhibit "C." Bedrock shall be allowed use of the Water Tower Road solely for the purpose of ingress and egress to Bedrock's oil and gas operations on Beggs Ranch and pursuant to the Lease (Bedrock's use of the Water Tower Road to be hereinafter referred to as the "Encroachment"). This Agreement and all rights granted to Bedrock herein are strictly non-exclusive. 2. All use or occupancy of the Water Tower Road shall comply with the Lease and be performed in strict compliance with this Agreement and with the charter, ordinances, codes, and policies of the City and with all applicable federal, state, and local laws. 3. The right of access to the Water Tower Road herein granted by City to Bedrock shall be exercised and used by Bedrock in such manner as not to cause any damage or destruction of any nature whatsoever to the Water Tower Road or any improvements located thereon or thereunder. No vehicles are permitted on any of the roadway improvements constructed within the Water Tower Road to the extent they have a weight, load distribution or wheel type which would not be permitted by applicable laws upon similarly constructed public streets in the vicinity of the Water Tower Road. Bedrock shall keep the Water Tower Road free and clear of any liens arising out of the exercise by Bedrock of Bedrock's rights hereunder. 4. Bedrock agrees that City may enter and utilize the Water Tower Road at any time for any public purpose consistent with the Final Judgment, including installing, repairing, replacing, or maintaining improvements to its public facilities or utilities necessary for the health, safety, and welfare of the public. The City shall have no responsibility or liability to Bedrock for any damages related to the City's use of the Water Tower Road. 5. Bedrock shall be obligated to restore or repair the Water Tower Road at Bedrock's sole cost and expense, including the restoration or repair of any surface or underground improvements located upon, beneath, or adjacent to the Water Tower Road which may have been removed, relocated, altered, damaged, or destroyed as a result of the Bedrock's use of the Water Tower Road granted hereunder. Page 2 of 11 6. The term of this Agreement shall be for one (1)year, commencing on the date this Agreement is executed by City (the "Initial Term"). Upon the expiration of the Initial Term, the Agreement shall renew automatically under the same terms and conditions for consecutive one (1) year terms unless terminated earlier in accordance with this Agreement. City may terminate this Agreement for any reason whatsoever upon thirty (30) days of notice from City to Bedrock. 7. Bedrock hereby represents and warrants that it shall not knowingly, nor permit any third party to, use, handle, or store any Hazardous Materials on, under, over, or about the Water Tower Road in violation of any applicable laws. Bedrock shall not handle or store any Hazardous Materials on the Water Tower Road, except that Bedrock may, in compliance with applicable environmental laws and the terms of this paragraph, use and store Hazardous Materials in such amounts and types that are commonly used in connection with the uses permitted herein, provided, however, that Bedrock specifically agrees to remove any and all such Hazardous Materials on or before the expiration or termination of this Agreement. Bedrock shall not introduce,use, generate, store, accept, or dispose of on, under, or about, transport across, or permit to exist on the Water Tower Road any "treatment, storage or disposal facility" or"underground storage tank," as those terms are defined under applicable environmental laws. For purposes of this Agreement,"Hazardous Materials"shall mean potentially dangerous hazardous wastes,toxic substances, or related materials, including, but not limited to, pollutants; asbestos; polychlorinated biphenyl (PCB);petroleum or other fuels (including crude oil or any fraction or derivative thereof); underground storage tanks, and substances considered hazardous, toxic, or the equivalent pursuant to applicable laws. Bedrock shall take commercially reasonable steps to avoid creating or aggravating any condition on Water Tower Road that could present a threat to human health or to the environment. 8. BEDROCK COVENANTS AND AGREES TO INDEMNIFY,AND DOES HEREBY INDEMNIFY, HOLD HARMLESS, AND DEFEND CITY, ITS OFFICERS, AGENTS, SERVANTS, EMPLOYEES, AND ELECTED OFFICIALS FROM AND AGAINST ANY AND ALL CLAIMS OR SUITS FOR PROPERTY DAMAGE OR LOSS AND/OR PERSONAL INJURY, INCLUDING DEATH, TO ANY AND ALL PERSONS, OF WHATSOEVER KIND OR CHARACTER,WHETHER REAL OR ASSERTED, ARISING OUT OF OR IN CONNECTION WITH, DIRECTLY OR INDIRECTLY, THE OCCUPANCY OR USE OF THE WATER TOWER ROAD BY BEDROCK GRANTED HEREUNDER, WHETHER OR NOT CAUSED, IN WHOLE OR IN PART, BY THE ALLEGED NEGLIGENCE OF THE OFFICERS, AGENTS, SERVANTS, EMPLOYEES, CONTRACTORS, SUBCONTRACTORS, LICENSEES, ELECTED OFFICIALS, OR INVITEES OF THE CITY IN EACH Page 3 of 11 CASE, EXCEPT FOR PROPERTY DAMAGE, LOSS AND/OR PERSONAL INJURY CAUSED BY THE GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OF THE INDEMNIFIED PARTIES; AND BEDROCK HEREBY ASSUMES ALL LIABILITY AND RESPONSIBILITY FOR SUCH CLAIMS OR SUITS. BEDROCK SHALL LIKEWISE ASSUME ALL LIABILITY AND RESPONSIBILITY AND SHALL INDEMNIFY CITY FOR ANY AND ALL INJURY OR DAMAGE TO CITY PROPERTY ARISING OUT OF OR IN CONNECTION WITH THE USE OR OCCUPANCY OF THE WATER TOWER ROAD GRANTED HEREUNDER AND ANY AND ALL ACTS OR OMISSIONS OF BEDROCK, ITS OFFICERS, AGENTS, SERVANTS, EMPLOYEES, CONTRACTORS, SUBCONTRACTORS, LICENSEES, OR INVITEES. 9. While this Agreement is in effect, Bedrock agrees to furnish City with a Certificate of Insurance naming City as certificate holder as proof that is has secured and paid for a policy of public liability insurance covering all public risks related to the proposed use and occupancy of the Water Tower Road as located and described in Exhibit"C."The amounts of such insurance shall be not less than $1,000,000 with the understanding and agreement by Bedrock that such insurance amounts may be revised upward at City's option and that Bedrock shall so revise such amounts immediately following notice to Bedrock of such requirement. This Agreement shall immediately terminate,without further action of City,in the event that such insurance policy is canceled or amended. A copy of such Certificate of Insurance is attached as Exhibit "D" and incorporated herein for all purposes. Bedrock agrees, binds, and obligates itself and its successors and assigns to maintain and keep in force such public liability insurance at all times during the term of this Agreement and until the restoration or repair of the Water Tower Road, if necessary. All insurance coverage required herein shall include coverage of all Bedrock's contractors and subcontractors. 10. Bedrock covenants and agrees that it shall operate hereunder as an independent contractor as to all rights and privileges granted hereunder and not as an officer, agent, servant,or employee of City,and Bedrock shall have exclusive control of and the exclusive right to control the details of its operations, and all persons performing same, and shall be solely responsible for the acts and omissions of its officers, agents, servants, employees, contractors, subcontractors, licensees, and invitees. The doctrine of respondeat superior shall not apply as between City and Bedrock, its officers, agents, servants, employees, contractors, and subcontractors, and nothing herein shall be construed as creating a partnership or joint enterprise between City and Bedrock. Bedrock agrees and acknowledges that this Agreement is solely for the purpose of permitting Bedrock to utilize the surface of the Water Tower Road and is not a conveyance of any right, title, or interest in or to the Water Tower Road, nor is it meant to convey any right to use or occupy property in which a third-party may have an interest. Bedrock agrees that it will obtain all other necessary permissions, including those from the Trust, before utilizing the Water Tower Road. 12. In any action brought by the City for the enforcement of the obligations of the Bedrock, City shall be entitled to recover interest and reasonable attorneys' fees. 13. All notices required or permitted under this Agreement shall be conclusively determined to have been delivered when (i) hand-delivered to the other party, its agent, employee, servant, or representative, or (ii) received by the other party by reliable overnight courier or United States Mail, postage prepaid, return receipt requested, at the address stated below or to such other address as one party may from time to time notify the other in writing. Bedrock covenants and agrees that it will not assign all or any of its rights, privileges, or duties under this Agreement without the written approval of the City, and any attempted assignment without such written approval shall be void. Page 5 of 11 15. Any cause of action for breach of this Agreement shall be brought in Tarrant County, Texas. This Agreement shall be governed by the laws of the State of Texas. 16. This Agreement shall be binding upon the parties hereto and their successors and assigns. 17. Thereafter, the City filed its First, Second, Third, and Fourth Amended Original Petitions. The property that the City seeks to acquire is needed for growth improvements within west Fort Worth and its ETJ to provide reliable water service to existing and proposed developments, in accordance with the City's Westside V Elevated Storage Tank and Water Main Project. The land to be acquired is more particularly described in Exhibits A-L attached hereto (hereinafter"the Property"). 2. Defendant The George Beggs Trust is the fee simple owner of the Property. 3. On August 2, 2018, Petitioner filed a Lis Pendens Notice regarding the condemnation described in the Petition. The Notice is recorded as Document No. 201819388 in the Deed Records of Parker County,Texas. 4. On August 6, 2018, three Special Commissioners were duly appointed by the Court, and said Commissioners,having been duly sworn,and after conducting a hearing on November 27, 2018, over the value of the Property and damages, if any, entered an Award of Two Hundred Fifty-five Thousand, Thirty-two Dollars and No Cents ($255,032.00), which the condemning authority,the City,deposited into the Court's Registry on December 14,2018. 5. On December 5, 2018, the Defendant filed an objection to the Award of the Commissioners. 6. After mediation of this matter on January 17, 2020,the parties announced that they agreed and reached a compromise with respect to the value of the Property and amount of damages, if any, to which Defendant is entitled by virtue of the condemnation of the Property on the date it was condemned, said amount consisting of a total of$1,250,000.00, of which $255,032.00 was previously deposited with the County Clerk of Parker County, Texas. The remaining balance of$994,968.00, has been paid directly to Defendant by the City, receipt of which is hereby acknowledged. 7. Defendant does not challenge Plaintiff's right to recover and condemn the Property described in Exhibits A—L attached hereto. 8. All proceedings necessary to vest this Court with jurisdiction over the parties and the subject matter of this cause have been instituted,maintained and complied with as required by law. 9. All legal prerequisites for trial of this cause by this Court have been duly complied with. 10. The Court has jurisdiction over the parties hereto and the subject matter set forth in this case. 11. The Water Line Facility Easement includes all incidental underground and aboveground attachments, equipment and appurtenances necessary for the use of the Water Line Facility Easement,including,but not limited to manholes,manhole vents, lateral line connections,valves, pipelines, water meters,junction boxes in, upon, under and across a portion of the property and more fully described in Exhibit C and depicted in Exhibit D attached hereto and incorporated herein for all pertinent purposes,together with the right and privilege at any and all times to enter the Permanent Easement Area, or any part thereof, for the purpose of constructing, operating, maintaining, replacing, upgrading, and repairing said Facility. IV. IT IS FURTHER ORDERED that the 0.33 acre permanent access easement ("Secondary Permanent Access Easement") conveyed to the City shall be a permanent access easement upon, over, across and through the property described in Exhibit E and depicted in Exhibit F. Entry and use of the Secondary Permanent Access Easement by Petitioner or its agents and independent contractors for the purposes set forth in this Judgment shall be permitted and shall not constitute a trespass. The Secondary Permanent Access Easement shall be used by Petitioner to maintain, construct and repair the waterline infrastructure improvements, with the reasonable rights of ingress and egress in the necessary use of such access easement, in and along said property, including but not limited to the right to remove any unauthorized obstructions or structures placed or erected on the Secondary Permanent Easement area, and the right to improve, repair and maintain the easement area in whatever manner necessary and consistent with its purposes. In no event shall Petitioner have the right to construct or install any aboveground improvements within the Secondary Permanent Access Easement,including but not limited to fencing of any type,which would prevent or impair Defendant's access over and across any part of the Secondary Permanent Access Easement. IT IS FURTHER ORDERED that the temporary construction easements (collectively, the "Temporary Construction Easements")shall be for the use and passage in, over, across,below and along the property described and depicted in the attached Exhibits G,H,I,J,K and L to construct the improvements described in this Judgment. The 50' wide temporary construction easement described and depicted in Exhibits G and H shall be for a 16 month term, which commenced on December 14,2018. The 24' wide temporary construction/access easement described and depicted Exhibits K and L shall be for a term of 16 months, which commenced on December 14, 2018. The 10' wide temporary construction easement described and depicted in Exhibits I and J shall be for a one year term, which commenced on December 14, 2018. The Temporary Construction Easements and all rights associated therewith shall cease and end upon the earlier of. (1) completion of construction of the improvements described herein and acceptance of those improvements by the City, or(2) the expiration of the respective terms set forth in this Paragraph for each respective temporary construction easement. VI.
