AMENDMENT NO. 1 AND RENEWAL NO. 5 TO
CITY OF FORT WORTH CONTRACT 43165
This Amendment and Renewal is entered into by and between the City of Fort Worth
(hereafter "City"), a home rule municipality, with its principal place of business at 200 Texas
Street, Fort Worth, Texas, and Data Axle Inc. Vk/a Infogroup, Inc. (hereafter "Vendor") a
corporation authorized to do business in the State of Texas, located at 13155 Noel Road, Galleria
Tower Three, Suite 1750,Dallas, TX 75240. City and Vendor shall be referred to individually as
a"Party" and collectively as the "Parties."
WHEREAS, the Parties have previously entered into City of Fort Worth City Secretary
Contract No. 43165 (the "Agreement"); and
WHEREAS, the Agreement was executed for Vendor to provide the City with a
subscription to the ReferenceUSA database ("Agreement"); and
WHEREAS, the original term of the Agreement was for one year with unlimited one-year
renewals; and
WHEREAS, the Contract was most recently renewed for continued services pursuant to
the original Agreement for an additional year, specifically from April 15, 2020 to April 14, 2021;
and
WHEREAS, the Parties now wish to amend the Agreement in order for Vendor to
memorialize the name change of the subscription database ReferenceUSA to Data Axle Reference
Solutions; and
WHEREAS,the Parties wish to renew the term of the Agreement for continued services
pursuant to the original Contract for an additional year, specifically from April 15, 2021 to April
14, 2022.
NOW, THEREFORE, the Parties, acting herein by the through their duly authorized
representatives, enter into the following agreement:

AMENDMENTS TO AGREEMENT
The following terms are hereby amended to replace the referenced terms in the Agreement
and shall be binding and enforceable as if they were originally included therein.
All references to "ReferenceUSA" in the Agreement (and in all related Exhibits and/or
Attachments)will be replaced with"Data Axle Reference Solutions."

RENEWAL OF AGREEMENT
The term of the Agreement, as amended, is hereby renewed for an additional year to begin
on April 15, 2021 and expire on April 14, 2022, unless terminated earlier in accordance with the
Agreement.
3.
ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of the Agreement which are not expressly amended herein shall
remain in full force and effect.
4.
ELECTRONIC SIGNATURE
This Amendment and Renewal may be executed in multiple counterparts, each of
which shall be an original and all of which shall constitute one and the same instrument.
A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be
treated as and shall have the same effect as anoriginal.
