HERBERT, its duly authorized Vice President. RECITALS: The following introductory provisions are true and correct and form the basis of this Consent: A. Lessoi� and Lessee previously entered into City Secretaiy Contract ("CSC") No. 46138 (the "Lease"), a Tank Farm Lease and Public Fueling Agreement at Fort Wot�th Meacham International Aiiport ("Airport) lcnown as Fuel Farin Site 3(the "Leased Premises"). The Lease is a public document on file in Lessor's City Secretary's Office; B. The Initial Term of the Lease began on November 11, 2014 and had a term of five (5) years with the option fot• up to three (3), ten (10) year, renewal terms; C. The Initial Term expired on September� 30, 2020 and, in accordance with the Lease, the Lessor and Lessee executed the first 10 year renewal term which began on October 1, 2020; D. Recently, Lessee has surrendered its Fixed Based Opet•ator (FBO) Permit at the Airpoi-t and therefore is no longer obligated to have fuel storage tanlcs as required for Fixed Based Opet•ators, under Section D., "Fuel Storage and Equipment" of the Airport's Minimum Standards; E. Assignee has expressed interest in assuming all right, title and interest in the remainder of the Lease to increase storage capacity for its operation as a Fixed Based Operatot• at Fort Worth Meacham International Airport; and F. Lessee now wishes to assign all of Lessee's t•emaining right, title and interest in the Lease to Assignee; Assignee wishes to accept such assignment; and Lessor• is willing to consent to such assignment, all on the terms and conditions set forth in this Consent. Consent to Assignment of CSC No. 46138 by Richazdson Aviation to FW American Aero Operating Company, LLC Page 1 of 6 : ���icia� REcoR�� ; -� . , . .�� .• � AGREEMENT: NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which are hereby acicnowledged, Lessor, Lessee, and Assignee agree as follows: 1. Lessor hereby consents to an assignment by Lessee to Assignee of all of Lessee's remaining right, title and interest in the Leased Premises and Leases granted to Lessee by the Leases (the "Assignment"), effective as March 12, 2021 ("Effective Date"). The Assignment, dated as of March 12, 2021, is a public document that will be on �ile in Lessor's City Secretary's Office and Aviation Department, is attached hereto as Exhibit "A"is incorporated herein by reference for all purposes. 2. Lessor does not adopt, ratify or approve any of the particular provisions of the Assignment and does not grant any remaining right, privilege or use to Assignee which is different fi�om or more extensive than any t•ight, privilege or use granted to Lessee by the Leases. In the event of any conflict between the Leases and the Assignment, the Leases shall control. In the event of any conflict between this Consent and the Assignment, this Consent shall control. 3. Lessor consents to the Assignment expressly upon the promise and covenant by Assignee, and Assignee hereby promises and covenants to Lessor, that as of the Effective Date Assignee will faithfully perform, as an independent contractor, all duties and obligations of Lessee set forth in the Lease. Lessor acknowledges Lessee has no duties and obligations under the Leases after the Effective Date. 4. Lessee undei•stands and agrees that Lessee will be liable to Lessor for (i) any duty or obligation of Lessee that Lessee was required by the Leases to undertalce or perform prior to the Effective Date and (ii) any dainages (subject to the terms of the Leases), including, but not limited to, property loss, property damage and/or personal injury of any lcind, including death, to the extent caused by Lessee, its ofiicers, agents, servants, employees or subcontractors prior to the Effective Date. 5. Assignee understands and agrees that Assignee will be liable to Lessor• for (i) any duty or obligation of Lessee that Lessee is required by the Leases to undertake ot• pet�form on or after the Effective Date and (ii) for any damages (subject to the terms of the Lease), including, but not limited to, property loss, property damage and/or personal injury of any kind, including death, to the extent caused by Assignee, its officers, agents, servants, employees ot• subcontractors on or after the Effective Date. 6. The person signing this Consent hereby warrants that he/she has the legal authority to execute this Consent on behalf of the respective party, and that such binding authority has been granted by proper order, resolution, ordinance or other authorization of the entity. The other party is fully entitled to rely on this warranty and representation in entering into this Consent. 7. This Consent may be executed in any number of counterparts, all of which shall constitute the same instrument. White, the duly authorized Vice President of SRCG AVIATION, INC., Assignor's managing general partner, and FW AMERICAN AERo OPERATING CoMPANY, LLC, a Delaware limited liability company ("Assi�nee"), acting by and through Jay H. Hebert, Assignee's duly authorized Vice President (collectively, the "Parties" and each individually, a «Pa1 "). RECITALS WHEREAS, Assignor is the lessee under that certain Tank Farm Lease and Public Fueling Agreement dated November 11, 2014 (as renewed by that certain First Renewal to City Secretaiy Conh�act No. 46138, the "Lease"), with the City of Fort Worth ("Lessor"), a home rule municipal corporation organized under the laws of the State of Texas, concerning (i) Assignor's lease of real propei•ty at Fort Wot�th Meachatn Intet•national Airpot�t ("Meacham") described as appi•oximately 3,600 square feet of ground space at Meacham as shown in a copy of the Lease that is EXxIBIT "A" attached hereto and made a part of this Agreement for all purposes (the "Preinises"), and (ii) Assignor's right to store and sell aviation fuel on said Premises and to provide transient fueling seivices at Meacham fi•om said Premises; and WIIEREAS, Assignor desires to assign the Lease to Assignee and Assignee desires to assutne the Lease, on the terms and conditions set forth herein. NOW, THEREFORE, in consideration of the above premises, the mutual covenants and agreements stated herein and other good and valuable consider•ation, the receipt and sufficiency of which are hereby acknowledged, Assignor and Assignee agree to the following terms and conditions. AGREEMENT 1. I�ltroduction and Recitals. The Introductoty paragraph and the Recitals set forth above are acicnowledged as tcue and correct and are incorporated herein as if set forth in fiill. 2. Assigninent and Assutnption. Subject to the terms, provisions and conditions of tliis Agreement, Assignor hereby sells and assigns the Lease to Assignee and Assignee hereby purchases the Lease and assuines all of Assignor's obligations under the Lease as of the Effective Date. Assignee hereby accepts physical delivety of the Pretnises covered by the Lease and acknowledges and agrees that, fi•otn and after the Effective Date, Assignor shall not be responsible for the performance and/or discharge of any of the duties or obligations required by Assignor under the Lease, subject to the remainder of this Section 2 and Section 4 below. Assignee acicnowledges that it has reviewed the Lease and exatnined the Pi•emises and fully understands the obligations set foi•th herein to be performed by Assignee as the "tenant" or "lessee" under the Lease. Assignee hereby acknowledges and agrees (a) to perfortn and/or discharge ail of the terins, covenants and conditions of the Lease on the part of Assignor fi•otn and after the Effective Date, with the same force and effect as if Assignee was the original tenant under the Lease and (b) that Assignee shall be solely responsible foi• the per•formance and/or discharge all of the liabilities 1 3232950_5 and obligations required by Assignor under the Lease that arise on or after the Effective Date (except for any liabiliry ot• obligation of Assignor under the Lease that (i) relates to the period prior to the Effective Date; (ii) is attributable to the period prior to the Effective Date (excluding normal wear and teat• of the Pr•emises prior to the Effective Date, for which Assiguor shall have no liability or obligation); and/or (iii) results frorn any ti•ue-up, reconciliation or adjustment determined putsuant to the Lease for any tiine per•iod prior to the Effective Date). 3. Pro-Rations. Assignor and Assignee each hereby aclmowledges and agrees that a tank farm usage fee, a fuel flowage fee and the amount of fuel actually in the fuel tanks on the Premises shall be determined in good faith among Assignor and Assignee as of the Effective Date, with Assignee agreeing to pay to Assignor, for each gallon (or portion thereo fl in such fuel tanks as of the Effective Date, an amount equal to the inost recent per gallon price that Assignor paid for such fuel, and with Assignor ab -eeing to pay to Assignee the pro-i•ata amount of tanlc fat•in usage fee and fuel flowage fees up to the Effective Date. 4. Indeinnitv/Defend/Hold Harmless. Assignee does hereby agree to indemnify, defend and hold harmless Assignor, and its successors and assigns, from and against any and all claims, actions, liabilities, losses, damages and expenses, including t•easonable attor•neys' fees and disbursements, which may be asserted against or incurred by Assignor, or any of its successors ot• assigns, arising out of or related to any and all matteis relating to the Lease, of whatever nature or kind, from and aftet• the Effective Date. Assignor does hereby agree to indelnnify, defend and hold harmless Assignee, and its successors and assigns, fi�om and against any and all claims, actions, liabilities, losses, damages and expenses, including reasonable attorneys' fees and disbuisements, which may be asserted against or incut•red by Assignee, or� any of its successors o�• assigns, arising out of or i•elated to any and all mattecs related to the Lease, of whatever nature or kind, prior to the Effective Date (excluding normal wear and tear of the Premises prior to the Effective Date, for which Assignor shall have no liability or obligation). 5. Waiver of R�resentations and Warranties. THE LEASE IS SOLD AND ASSIGNED ON AN "AS-IS," "WHERE-IS" BASIS WITHOUT ANY REPRESENTATIONS OR WARRANTIES WIIATSOEVER, WI�THER EXPRESS OR Il�ZPLIED, AS TO THE FITNESS FOR A PARTICULAR PURPOSE OR THE CONDITION OF THE PREMISES, ANY IMPROVEMENTS ON, ]N OR UNDER THE PREMiSES OR ANY FUEL 1N ANY TANKS ON THE PREMISES, AND ASSiGNEE EXPRESSLY WAIVES ANY WARRANTY OF FITNESS FOR A PARTICULAR PIIRPOSE AND ANY WARRANTY AGAINST HIDDEN OR LATENT DEFECTS THAT MIGHT RENDER THE LEASE OR THE PREMISES USELESS OR SO 1NCONVENIENT OR IMPERFECT THAT ASSIGNEE WOULD NOT HAVE PURCHASED THEM I-IAD ASSIGNEE KNOWN OF SUCH DEFECT, AND ASSIGNEE EXPRESSLY WAIVES AND FORFEITS ANY RIGHT TO AVOID THE ASSIGNMENT OF THE LEASE ON ACCOUNT OF A HIDDEN OR LATENT DEFECT. THIS WANER OF EXPRESS AND II��PLIED REPRESENTATIONS AND WARRANTIES IS A MATERiAL CONSIDERATION OF THE TRANSACTION CONTEMPLATED BY THIS AGREEMENT, WITHOUT WIIICH ASSIGNOR WOULD NOT HAVE SOLD OR ASSIGNED THE LEASE OR THE PREMISES TO ASSIGNEE. THIS PROVISION HAS BEEN CALLED TO THE ATTENTION OF ASSIGNEE AND FULLY EXPLAINED TO ASSIGNEE AND ASSIGNEE ACKNOWLEDGES AND AGREES THAT IT HAS READ AND UNDERSTANDS THIS WANER OF ALL EXPRESS AND IMPLIED REPRESENTATIONS AND WARRANTIES AND ACCEPTS THE LEASE AND PREMISES WITHOUT ANY EXPRESS OR IMPLIED REPRESENTATIONS AND WARRANTTES OF ANY KIND. NOTWITHSTANDING THE FOREGOING, THIS SECTION 5 SHALL NOT LIMIT ASSIGNOR' S INDEMNIFICATION OBLIGATIONS FOR TIIIRD-PARTY CLAIMS SET FORTH 1N SECTION 4 ABOVE. 2 3232950 5 6. Successors, Transfei•ees and Assi�ns. This Agreement will inur•e to the beneiit of and be binding upon the parties hereto and theit� t•espective successors, transferees and assigns. 7. Opportunitv to Consult Counsel. The Parties to this Agreement have had the opportunity to consult with counsel of their choice prior to executing this Agreement and have done so. 8. Entire A�reement. This Agreernent represents the entire agreernent between the pai�ties hereto with respect to the subject tnatter hei•eof and supersedes all prior agreelnents, whether oral, in writing or otherwise. 9. Amendments/Modifications. The provisions of this Agreernent �nay be waived, amended or modified only by an instrument in writing and signed by the Parties. 10. Atto1•nevs' Fees. If eithei• Party begins an action against the other arising out of or in connection with this Ag►�eement, the prevailing Party shall be entitled to recover fi�om the losing Party reasonable attorneys' fees and costs of suit, as awarded by a court of competent jur•isdiction. 11. Interpretation. The i•eference to any party executing this Agreement (including any intervening signatory parry) herein shall include such party's affiliates, successors, assigns, and transferees. 12. No Other Inducetnent. No promise, representation, statement, or conduct by the Parties hereto, or by any pet�son acting on behalf of the Parties hereto, other than the express provisions in this Agreement, has influenced auy of the Parties het•eto to enter into this Agt•eement. 13. Governing Law. This Agreement shall be govet•ned by the laws of the State of Texas for all purposes, including its interpi•etation and enforcement. 14. Severabilitv. In case any one or more of the provisions contained in this AgY•eement will for• any reason be held to be invalid, illegal or unenfot•ceable in any respect, such provision shall (i) be reformed to the minimum extent necessary to cause such provision to be valid, legal and enforceable while p�•eseiving the intent of the Parties as expi�essed in, and the benefits to the Parties provided by, this Agreement; or (ii) if such provision camiot be so refortned, such provision shall be severed fi•otn this Agreement and an equitable adjustment shall be made so as to give effect to the intent so expressed and the benefits so provided. Such holding, reformation ot• severance shall not affect or impair the legality, validity or enfoi•ceabiliry of any other provision of this Agc•eement. 15. Authori . Each of the undersigned individuals t•epresents that such individual is authorized to bind the entity on whose behalf the individual is signing and/or the individual is legally competent to execute and deliver this Ag1•eement. 16. Counterparts. This Agreement rnay be executed in one or more counterparts, each of which shall be deeined an original, and all of such counter•parts togethet• shall constitute one and the satne agreernent. DISCUSSION: On November 11, 2014, Richardson Aviation entered into City Secretary Contract (CSC) 46138 a Tank Farm and Public Fueling Agreement (Lease) consisting of approximately 3,600 square feet of ground space for use as a fuel farm. The initial term of CSC 46138 expired on September 30, 2020 with three (3) options to renew for ten (10) years each. After the initial term expired, Richardson Aviation was on holdover status until December 28, 2020. On December 28, 2020, Richardson Aviation exercised its first option to renew CSC 46138 and entered into CSC 46138-R1 which expires on September 30, 2030 with the remaining two (2) options to renew for ten (10) years each. On February 16 2021, staff received a request from Richardson Aviation to assign CSC 46138 and 46138- R1 to FW American Aero Operating Company, LLC (American Aero). Upon City Council approval, American Aero will assume oversight of all leasehold interests and obligations associated with the Lease and Richardson Aviation will surrender its Fixed Based Operators (FBO) Permit. The Lease prohibits Richardson Aviation from making any assignment of the Lease to be made of the leased premises without City Council approval. This type of transaction is routine for large airport tenants and staff has no objection to this request. Under the current agreement, Richardson Aviation remits the amount of $4,800.00 annually to the City, payable in monthly installments of $400.00. After the assignment, American Aero will remit the same amount and be subject to the provisions contained within the original agreement. Fort Worth Meacham International Airport is located in COUNCIL DISTRICT 2.
