Home My WebLink AboutContract 55296-A1CSC# 55296-A1 FIRST AMENDMENT TO FORT WORTH CITY SECRETARY CONTRACT NO. 55296 This AMENDMENT ("Amendment") is made and entered into by and between the City of Fort Worth, a home-rule municipal corporation of the State of Texas ("City"), acting herein by and through Jesus J. Chapa, its duly authorized Deputy City Manager, and Triarc Systems, LLC ("Contractor"), acting by and through Christopher Reeves, its duly authorized Owner, each individually referred to as a"Party" and collectively referred to as the "Parties". WHEREAS, City and Contractor previously entered into an agreement for Contractor to conduct "Night Vision Operator Close Quarters Combat Course" training for law enforcement personnel for the Fort Worth Police Department, the same being Fort Worth City Secretary Contract No. 55296 (the "Agreement"); and WHEREAS, under the terms of the Agreement, Contractor was to provide such training beginning on February 17, 2021 and ending on February 19, 2021 ("Services"); and WHEREAS, the scheduled training was cancelled due to unexpected snow and ice storms in the City the week of Febrary 14- February 19, 2021 and the Parties now wish to amend the Agreement to allow for the training to be rescheduled; and WHEREAS, the Parties mutually agree to amend the Agreement to revise Section 3.2 "Facility Use Fee" as well as "Exhibit A- Scope of Services," in order for Contractor to provide training beginning on April 14, 2021 and ending on April 16, 2021. NOW, THEREFORE, the Parties, acting herein by and through their duly authorized representatives, enter into the following agreement: 1. AMENDMENTS TO AGREEMENT The following terms are hereby amended to replace the referenced terms in the Agreement and shall be binding and enforceable as if they were originally included therein. A.Section 3.2 "Facility Use Fee" and Section 3.3 "Exchange of Value" are hereby amended and replaced in their entirety with the following: 3.2 Facilitv Use Fee. In lieu of $3,650 cash exchange for the Facility Use Fee, City and Contractor agree that as consideration for the use of the Premises listed above by Contractor, the City shall be entitled to five enrollments with the Enrollment Fee waived, for a total value of $3,280.00. Contractor shall pay to City the remaining $370.00 for the use of the facility. Contractor and City agree that the provision of these enrollments to the City without the Enrollment Fee and the $370 payment represents fair and equitable consideration for the Facility Use Fee described above. B. "EXhibit A- Scope of Services" is hereby amended and replaced in its entirety with the attached revised "EXhibit A- Scope of Services." 2. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement which are not eXpressly amended herein shall remain in full force and effect. 3. ELECTRONIC SIGNATURE This Amendment may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as an original.
