HomeMy WebLinkAboutContract 45777-AD3CSC No. 45777-AD3 ADDENDUM 3 TO CITY SECRETARY CONTRACT NO. 45777, AGREEMENT BETWEEN THE CITY OF FORT WORTH AND INNOVATIVE INTERFACES INC. This Addendum is made a part of the Agreement between the City of Fort Worth ("City") and Innovative Interfaces Inc. ("Vendor"), City Secretary Contract No. 45777. The terms and provision of this Addendum shall control to the extent there is a conflict between the terms and conditions of this Addendum and the terms and conditions of the Agreement. WHEREAS, on July 24, 2014, the City and Vendor entered into City Secretary Contract No. 45777 for Vendor to provide the City with an integrated library system consisting of hardware, software and related services ("Polaris ILS"); and WHEREAS, City Secretary Contract No. 45777-R4 provides for a continuation of services between Vendor and the City from July 22, 2020 to July 21, 2021; and WHEREAS, the City has created a MetroPAC Library Consortium agreement with libraries in surrounding cities to provide reciprocal borrowing services for their residents, and negotiate cooperative library material purchasing and licensing agreements; and WHEREAS, the City and the City of Burleson ("MetrOPAC Burleson Library") previously entered into City Secretary Contract No. 47269 to receive library system services from the City; and WHEREAS, Section 11.1 of City Secretary Contract No. 47269 provides that MetrOPAC Burleson Library shall retain ownership and use of its data and City will pass along any system vendor charges related to extracting their records from the system; and WHEREAS, City Secretary Contract No. 47269-R1A1 expires on September 30, 2021 and MetrOPAC Library provided the City with a withdrawal notice on December 29, 2020; and WHEREAS, MetrOPAC Burleson Library is now requesting data extraction and removal from the City system, which will require service performance by Vendor. WHEREAS, the City and the City of Haltom City ("MetrOPAC Haltom City Library") previously entered into City Secretary Contract No. 47270 to receive library system services from the City; and WHEREAS, Section 11.1 of City Secretary Contract No. 47270 provides that MetrOPAC Haltom City Library shall retain ownership and use of its data and City will pass along any system vendor charges related to extracting their records from the system; and WHEREAS, City Secretary Contract No. 47270-R1A1 expires on September 30, 2021 and MetrOPAC Library provided the City with a withdrawal notice on February 4, 2021; and WHEREAS, MetrOPAC Haltom City Library is now requesting data extraction and removal from the City system, which will require service performance by Vendor. WHEREAS, the City and the City of Keller ("MetrOPAC Keller Library") previously entered into City Secretary Contract No. 47271 to receive library system services from the City; and WHEREAS, Section 1 l.l of City Secretary Contract No. 47271 provides that MetrOPAC Keller Library shall retain ownership and use of its data and City will pass along any system vendor charges related to extracting their records from the system; and OFFICIAL RECORD CITY SECRETARY FT. WHEREAS, the City and the City of Richland Hills ("MetrOPAC Richland Hills Library") previously entered into City Secretary Contract No. 47272 to receive library system services from the Ciry; and WHEREAS, Section 11.1 of Ciry Secretary Contract No. 47272 provides that MetrOPAC Richland Hills Library shall retain ownership and use of its data and Ciry will pass along any system vendor charges related to extracting their records from the system; and WHEREAS, City Secretary Contract No. 47272-R1A1 expires on September 30, 2021 and MetrOPAC Library provided the City with a withdrawal notice on January 28, 2021; and WHEREAS, MetrOPAC Richland Hills Library is now requesting data extraction and removal from the City system, which will require service performance by Vendor. WHEREAS, the City and the City of Watauga ("MetrOPAC Watauga Library") previously entered into City Secretary Contract No. 47273 to receive library system services from the City; and WHEREAS, Section 11.1 of City Secretary Contract No. 47273 provides that MetrOPAC Watauga Library shall retain ownership and use of its data and City will pass along any system vendor charges related to extracting their records from the system; and WHEREAS, City Secretary Contract No. 47273-R1A1 expires on September 30, 2021 and MetrOPAC Library provided the City with a withdrawal notice on February 22, 2021; and WHEREAS, MetrOPAC Watauga Library is now requesting data extraction and removal from the City system, which will require service performance by Vendor. NOW, THEREFORE, the Parties, acting herein by and through their duly authorized representatives, enter into the following agreement: l. The attached Statement of Work provides the scope of the project and fees to complete the work that has been requested by MetrOPAC Burleson Library, MetrOPAC Haltom City Library, MetrOPAC Keller Library, MetrOPAC Richland Hills Library, and MetrOPAC Watauga Library, including extraction of data, data cleanup and branch removal from the City system by Vendor. Vendor will be paid within thirty days of receipt of a correct and accurate invoice. WORTH, TX lil innovative Statement of Work This Statement of Work (the "SOW") dated March 11, 2021 is entered into pursuant to the Master Professional Services Agreement between Fort Worth Library ("Client") and Innovative Interfaces Incorporated ("Innovative") effective as of August 1, 2017 (the "AgreemenY'). Innovative and Client may each be referred to as "Party" from time to time or collectively as "Parties". A. Purpose of this Statement of Work The SOW provides an overview of the scope of the project and fees to complete the engagement based on Innovative's prior experience with similar projects and preliminary discussions with Client. The Client hereby acknowledges that the SOW is not meant to capture all detailed requirements but documents the high level requirements and implementation approach discussed and that additional detailed requirements discussions will be required to outline the full scope of work between the Parties. B. Project Scope of Services The Scope of the project includes the following set of professional services: 1. Polaris Exit Services Innovative will provide Exit Services for the following 5 branches: Keller Burleson Haltom City Watauga Richland Hills Extraction of core data types: o Bibliographic and authority, with item information embedded in MARC21 communication format. o Patron information in text delimited format. Extraction of circulation transaction files: o Checkouts, fines, and holds will be extracted into separate files in text delimited formats. Full data sets may be extracted twice. A data dictionary will be provided for each file output in a delimited ASCII text format. 2. Branch Removal Innovative will remove the following 5 branches: Keller Burleson Haltom City Watauga Richland Hills 3. Data Cleanup Innovative will perform a data cleanup of the following 5 branches: Keller Burleson Haltom City STATEMENT OF WORK— Innovative Interfaces Incorporated Page 1 of 4 l innovative Watauga Richland Hills C. Fees and Payment Terms Fees for Services delivered under this SOW will be charged on a fixed price basis as set forth in the Innovative Pricing Exhibit EST-INC13206 attached herewith and are made in good faith based on the activities, approach, and assumptions contained within the SOW. Payment terms for this SOW are as set forth in the Professional Services Agreement. Any Change Requests will be performed at a blended rate of $200 per hour for all resources. Additionally, Client is responsible for all reasonable out-of-pocket costs and expenses incurred during this SOW. Pricing assumes that deliverables in this Statement of Work are completed within six months or additional Services fees will apply. D. Innovative Services Team The Services Team will have the following resources available for this project: 1. Data Analyst - All Data Analysts have extensive Innovative database and application skills as well as in-depth knowledge of the MARC standard. E. Client Implementation Team 1. Librarian Lead — Works closely with Innovative to ensure requirements are complete and representative of the needs of the Library. The Librarian Lead will coordinate with key members of the team as required. 2. Technical Lead - Will be responsible for assisting with Client responsibilities related to system level duties required by Client. F. Implementation Assumptions 1. Exit services require full payment before work will commence. 2. Client will provide a technical point of contact who is able to provide, or coordinate access to, necessary information and library resources. This includes information related to collecting and providing any prerequisite information required to support needs that may arise during the project. 3. Client will have adequate resources available to ensure timely completion of any library tasks outlined in the project schedule. 4. Timeline for the completion of this project will be established, through joint planning conversations between the client and Innovative during the initial stage of the project.
