HomeMy WebLinkAboutContract 47272-AD1CSC No. 47272-ADl ADDENDUM TO CITY SECRET ARY CONTRACT NO. 47272, INTERLOCAL AGREEMENT BETWEEN THE CITY OF FORT WORTH AND CITY OF RICHLAND HILLS This Addendum is made a part of the interlocal agreement between the CITY OF FORT WORTH (hereafter "City") and CITY OF RICHLAND HILLS (hereafter "MetrOPAC Library"), acting by and through Chantele Hancock, its duly authorized Library Director. City and MetrOPAC Library shall be referred to individually as a Party and collectively as the Parties. WHEREAS, on July 24, 2014, the City entered into City Secretary Contract No. 45777 with Innovative Interfaces Inc. (hereafter ''Vendor") for Vendor to provide the City with an integrated library system consisting of hardware, software and related services ("Polaris ILS"); and WHEREAS, City Secretary Contract No. 45777, which provides for a five-year term and an unlimited one-year renewal option, was recently renewed providing for a continuation of services between Vendor and the City from July 22, 2020 to July 21, 2021 (City Secretary Contract No. 45777- R4); and WHEREAS, on November 30, 2015 the Parties entered into City Secretary Contract No. 47272 for MetrOPAC Library to receive automated library system services from the City, provide reciprocal borrowing services for their residents, and negotiate cooperative library material purchasing and licensing agreements; and WHEREAS, City Secretary Contract No. 47272 Section 11.1 provides that MetrOPAC Library shall retain ownership and use of its data and City will pass along any system vendor charges related to extracting their records from the system; and WHEREAS, City Secretary Contract No. 47272-RlA l expires on September 30, 2021 and MetrOPAC Library provided the City with a withdrawal notice on January 28, 2021; and WHEREAS, MetrOPAC Library has requested extraction of its data from the Vendor's system and removal ofits setup from the City system, and acknowledges it is responsible for all related charges per City Secretary Contract No. 47272; and WHEREAS, the attached Pricing Exhibit details the service fees related to Vendor's exit services for five MetrOPAC library locations (Keller, Burleson, Haltom City, Watauga and Richland Hills), each responsible for an equal amount of such service fees. NOW, THEREFORE, the Parties, acting herein by the through their duly authorized representatives, enter into the following agreement: The Parties agree that the attached Statement of Work provides the scope of the project and fees to complete the work that has been requested by MetrOPAC Library, including extraction of data, data cleanup and branch removal from the City system by Vendor. The Parties further agree that the prices included in the attached Pricing Exhibit are accurate and MetrOPAC Library agrees to pay for one-fifth of the services as they are described in the attached, at the amount of eleven thousand five hun.dred sixty five dollars_ ($11,565}. The Parties. agree that City will p�ovide invoices from th� Vendor within 30 days of receipt and MetrOPAC shall reimburse City for those costs within 30 days. Innovative and Client may each be refemed to as "Party" from time to time or collectively as "Parties". A. Purpose af this 5tatement of Work TE�e SOW provides an overview of the scope of the project and iees to complete the engagement based on Innovative's prior experience with similar prajects and preliminary discussions with Ciient. 7he Client hereby acknowledges khat the SOW is not meant to capture all detailed requirements but documents the high level requirements and implementation approach discussed and that additianal detailed requirements discussians will be required to outline the full scope of work between the Parties. B. Rroject Scope of Services The Scope af the project includes the following set of professional services: 1. Polarls Exit Services Innavative wiA provide Exit Senrices for the following 5 branches: Keller Burleson Haltom City Watauga Richland HiUs Extrackion of core data types: o Bibliographic and authority, with item informatian embedded in MARC29 communication format. o Patron information in text delimited format. Extraction of circulation transactian files: o Checkouts, fines, and holds will be extracted into separate iiles in text delimited formats. Full data sets may be extracted twice. A data dictianary will be provided for each file output in a delimited ASCI1 text format. 2. Bran�h Removal Innovative will remove the following 5 branches: Keller Burlesan Haltom City Watauga Rich[and Hills 3. Fees and Payment Terms Fees far Services delivered under this SoW will be charged on a fixed price basis as set forth in the Innovative Pricing Exh9bit EST-INC132�& atteched herewith and are made in goad faith based on the ackivities, approach, and assumptions contained within the SOW. Payment terms for this SOW are as set forth in the Profess9anal 5ervices Agreement. Any Change Requests will be performed at a blended rate of $200 per haur for all r�sources. Additionally, Client is responsible for all reasonable out-of-pocket costs and expenses incurred during this SOW. Pricing assumes that delive�ables in this Statement af Work are complsted within six months or additional Services fees will apply. D. (nno�ative Services Team The 5ervices Team will have the follawing resources available ior this project: 9. Data Analyst - All Data Analysts have extensive lnnovative database and application skills as well as in-depth knowledge af the MARC standard. �. Clieni Implementatian 3'eam 1. Librarian Lead — Works closely with Innovative to ensure requirements are complefe and representative of the needs of the l.ibrary. The Librarian Lead will coordinate with key members of the keam as required. 2. iechnical Lead - Will be responsible for assisting wikh Client responsibilities related to system level duties required by Client. F. Implementation Assumptions 1. Exit services require fulf payment before work will commence. 2. Client wili provide a iechnicai point of cantact who is able to provide, or coordinate access to, necessary information and library resources. This includes information related to collecting and providing any prerequisite information required to support needs ti�at may arise during ihe project. 3. Client wil! have adeguate resources available to ensure timely completion af any lihrary tasks outlined in the praject schedule. 4. Timeline for the completion of this project wi11 be established, thr�ugh joint planning conversatiflns between the client a�d lnnovative during the initiaE stage of the praject.
