Home My WebLink AboutContract 54487-A1DocuSign Envelope ID: 9C5DB646-8176-4F9B-BF8F-933EC7AB8AOC AMENDMENT NO. 1 TO CITY OF FORT WORTH CONTRACT 54487 CSC No. 54487-A1 This Amendment is entered into by and between the City of Fort Worth (hereafter "City"), a home rule municipality, with its principal place of business at 200 Texas Street, Fort Worth, Texas, and Greenhouse Software, Inc., a Delaware Corporation (hereafter "Vendor"). City and Licensor shall be referred to individually as a"Party" and collectively as the "Parties." WHEREAS, the Parties have previously entered into City of Fort Worth City Secretary Contract No. 54487 (the "Agreement"); and WHEREAS, the Agreement was executed for Vendor to provide City with the subscriptions for Greenhouse's proprietary recruiting and/or onboarding SaaS products and services ("Agreement"); and WHEREAS, the Agreement commenced upon the date set forth in the Order Form ("Effective Date") for a five-year term; and WHEREAS, the Parties acknowledge that there was a typographical error in which the Expiration Date was inadvertently set for May 2, 2026 under the "Term" Section of the Agreement; and WHEREAS, the Parties acknowledge that May 2, 2026 does not reflect a five-year term nor is it the End Date reflected on the Order Form; and WHEREAS, the Parties acknowledge that the correct "Expiration Date" is September 29, 2025, as reflected in the Order Form; and WHEREAS, the Parties now wish to amend the Agreement to allow for the correct "Expiration Date" to be reflected in Section 4. Term of the Agreement; and WHEREAS, the Parties also wish to amend the Agreement to delete the Data Migration Statement of Work set forth in the Agreement in its entirety and to relieve the Parties of their obligations under the Data Migration Statement of Work; and WHEREAS, as a result of relieving the Parties of their obligations under the Data Migration Statement of Work, the Parties acknowledge and agree that after the Amendment effective date, Vendor shall provide City with a credit in the amount of three thousand five hundred dollars ($3,500.00), and such credit will be applied Fees associated with City's Greenhouse subscriptions; and WHEREAS, Parties agree no other changes to the Agreement are being requested and all other terms not amended herein shall remain in full force and effect. AMENDMENTS TO AGREEMENT The following terms are hereby amended to replace the referenced terms in the Agreement and shall be binding and enforceable as if they were originally included therein. A. Section 4, TERM is hereby amended and replaced in its entirety with the following: 4. Term. This Agreement shall commence upon the date set forth in the Order Form, September 30, 2020 ("Effective Date") and shall expire no later than September 29, 2025 (`Bxpiration Date"), unless terminated earlier in accordance with the provisions of this Agreement or otherwise extended by the parties. This Agreement may be renewed for subsequent terms, each a"Renewal Term," upon mutually executed written agreement. The City shall provide Vendor with written notice of its intent to renew at least thirty (30) days prior to the end of each term. B. "Statement of Work- Data Migration" located in E�ibit "A" (pages 29-34) is hereby deleted in its entirety, and the parties are relieved of their obligations under said "Statement of Work-Data Migration," and replaced with the attached hereto: "Amendment to Statement of Work No. 1." 2. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement which are not expressly amended herein shall remain in full force and effect. 3. ELECTRONIC SIGNATURE This Amendment may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as anoriginal.
