AMENDMENT NO. 1 AND RENEWAL NO. 2 TO
CITY OF FORT WORTH CONTRACT 52233
This Amendment and Renewal is entered into by and between the City of Fort Worth
(hereafter "City"), a home rule municipality, with its principal place of business at 200 TeXas
Street, Fort Worth, Texas, and SkillPath Enterprise Solutions (hereafter "Vendor") a Kansas
corporation authorized to do business in the State of TeXas. City and Vendor shall be referred to
individually as a"Party" and collectively as the "Parties."
WHEREAS, the Parties have previously entered into City of Fort Worth City Secretary
Contract No. 52233 for Vendor to provide the City with instructed led training for administrative
assistants (the "Agreement");
WHEREAS, the original term of the Agreement was far one year with three one-year renewal
options;
WHEREAS, the Contract was most recently renewed for continued services pursuant to
the original Agreement for an additional year, specifically from April 15, 2020 to April 14, 2021;
WHEREAS, the Agreement incorrectly identified SkillPath Enterprise Solutions as the
original Vendor to the Agreement;
WHEREAS, the Parties acknowledge that Vendor's true and correct name is Graceland
College Center for Professional Development and Lifelong Learning Inc. and Vendor has been
operating and doing business with City under its dba SkillPath Enterprise Solutions;
WHEREAS, the proper Vendor to the Agreement is and always should have been
Graceland College Center for Professional Development and Lifelong Learning Inc.;
WHEREAS, the parties wish to memorialize the proper Parties to the Agreement and
amend certain other portions of the Agreement to capture its full intent;
WHEREAS, Vendor acknowledges that operating under a dba prior to this Amendment
does not remove the obligations and responsibilities established under the Agreement;
WHEREAS, the Parties also wish to renew the term of the Agreement for continued
services pursuant to the original Agreement for an additional year, specifically from Apri115, 2021
to April 14, 2022.
NOW, THEREFORE, the Parties, acting herein by the through their duly authorized
representatives, enter into the followingagreement:

The City and Vendor acknowledge that the Agreement incorrectly identifies SkillPath
Enterprise Solutions as the original Vendor to the Agreement and that the proper Vendor to the
Agreement is and always should have been Graceland College Center for Professional
Development and Lifelong Learning Inc. Vendor agrees to be bound by all of the terms and
conditions of the Agreement as if it were listed as an original party thereto, including any revisions
set forth in this Amendment.
2.
AMENDMENTS TO AGREEMENT
The following terms are hereby amended to replace the referenced terms in the Agreement
and shall be binding and enforceable as if they were originally included therein.
All references to "SkillPath Enterprise Solutions" ("Vendor") in the Agreement (and in all
related Exhibits and/or Attachments) will be replaced with "Graceland College Center for
Professional Development and Lifelong Learning Inc. d/b/a SkillPath."
3.
RENEWAL OF AGREEMENT
The term of the Agreement, as amended, is hereby renewed for an additional year to begin
on April 15, 2021 and expire on April 14, 2022, unless terminated earlier in accordance with the
Agreement.
4.
ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of the Agreement which are not expressly amended herein shall
remain in full force and effect.
5.
ELECTRONIC SIGNATURE
This Amendment and Renewal may be executed in multiple counterparts, each of
which shall be an original and all of which shall constitute one and the same instrument.
A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be
treated as and shall have the same effect as anoriginal.
