HomeMy WebLinkAboutContract 35531 PROFESSIONAL SERVICES AGREEMENT EXE UTWE SEARCH SERVICES This Agreement is made by and between the City of Fort Worth, 'Tx rthe City') and Slavin Management Consultants ('Consultant'). 1. geared Engageraent. The City agrees to engage the Consultant to perform those services described below, for completion of the project described as follows; City Auditor recruitment ("the Search"), all in accordance with the Proposal to Recruit a City Auditor, attached hereto as Exhibit"A.' Any conflict between the Proposal and this Agreement shall be resolved in favor of this Agreement, 2. Services. The Consultant agrees to perform certain services necessary for completion of the Search, which services shall include the following: a Organizational and position analysis b) Place advertisements in appropriate journals and publications c) Candidate identification ) Resume review and screening e) Preliminary interviews with leading candidates Progress report ) Detailed reference checks on leading candidates h) Final report i) Assist with interviews and negotiations complete description of the services to be provided is contained in a proposal from the Consultant to the City dated June 25, 2007, which is referenced above as Exhibit "A" and is incorporated herein for all purposes. 3. eiationshiy. Consultant shall perform all work and services hereunder as an independent contractor and not as an officer, agent, or employee of the City. Consultant shall have exclusive control of, and the exclusive right to control, the details of the work performed hereunder and all persons performing same shall be solely responsible for the acts and omissions of its officers, agents, employees and subcontractors. Nothing contained herein shall be construed as creating a partnership or joint venture between the City and Consultant; and the doctrine of res ondeat superior shall not apply as between the City and the Consultant. 4. Camp nsation. As full compensation for the Consultant's professional services performed hereunder, the City shall pay the Consultant the freed professional fee of Thirteen thousand eight hundred thirty dollars ($13,930). 5. I nae Reimbursement. The Consultant shall be entitled to reimbursement for expenses from the City for such expenses as consultant travel, advertising, sourcing, background checks, printing/photocopying, postage and delivery, telephone and clerical charges and any optional services requested by the City. Expenses shall not exceed Seven thousand, Six hundred and Six dollars ($7,606.00) for a nationwide search. The Consultant shall provide the City with a listing of expenses by category of expense as a part of monthly billings. City of Fort Worth / Slavin Management Consultants � ,.....� . In the event the City requires services in addition to those described in Paragraph 2 or Exhibit"A," the City shall make a request in writing for such additional services. The Consultant shall be compensated at a negotiated rate and expenses as set forth in writing. 7. Met of Payment. Payments will be made in three ( ) equal payments of % and one (1) payment of 100/0. Consultant shall submit its first billing upon authorization to proceed, the second billing at the end of thirty m a s, %at the end of sixty clays and the remaining 10% shortly after the time the new City Auditor accepts employment with the City. Each invoice will be payable upon receipt for professional services. Expenses will be billed (monthly) in addition and shovm as a separate figure until completion of the assignment. 8. Term. The team of this Agreement shall commence on the issuance of a notice to proceed at which time the Consultant shall begin work on the Search and shall continue, subject to the termination provisions of Paragraph 9, until the date that the Consultant completes the Search. The time of completion of the Search is estimated to be 90 clays from the date of the meeting to develop the Recruitment Profile, 9. Termination. This Agreement may be terminated by the City at any time for cause or for the convenience of the City by notice in writing to the Consultant. In the event of termination, the Consultant shall stop work upon receipt of notice of termination and shall be entitled to compensation for professional service fees and for expense reirribursement through the date of receipt of notice of termination; and the Consultant shall provide to the City all work product completed or in progress at such date and communicate such recommendations and conclusions to the City as may have been formed by such date. Consultant shall not be entitled to any lost or anticipated profits should the City elect to t 1"minate this agreement. 10.Insurance. The Consultant shall obtain and maintain the following insurance in the minimum amounts stated prior to entering into performance of this Agreement: A. Worker's Compensation insurance—Statutory Limits B. Comprehensive General Liability - $250,000 per person $500,000 per occurrence C. Property Damage Insurance - $500,000 D. Excess Liability F 1,000,000 City shall be added as an additional insured under the Public Liability and Property Damage insurance. 11. Miscellaneous. The entire agreement between the parties with respect to the subject matter hereunder is contained in this Agreement phis any attachments hereto. b) Neither this Agreement nor any rights or obligations hereunder shall be assigned or delegated by the Consultant without the prior written consent of the City. c) This AgTeemen t shall be modified only by a written Agreement duly executed by the City and the Consultant. d) Should any of the provisions hereunder be found to be invalid, void or voidable by a court, the remaining provisions shall remain in full force and effect. Identify and recruit qualified candidates. Evaluate prospective candidates. Make recommendations, help in selection and facilitate employment. Establish evaluation criteria and follow-up. Each step of this process is described below. A. the Rkq ltment Pr ye We will meet with the Mayor nor and City Council members individually and coixecbvely and with staff if the City Council wishes)to learn the City{s needs,focus and requirements such as experience,education and training as well as preferred management and personal traits. In developing the recruitment profile,we will spend a oonsiderable amount of time at the beginning of the process in Fort Worth to gather additlenal 1nformation about the City and to ascertain, the unique challenges of the job and the general environment within which the position functions. Once we have wined the necessary information,we will prepare a draft recruitment profile and review Stith the City Council to arrive at a general agreement regarding the specifications for the position. The final profile will include information abcwt the Dallas-Fort Worth 1 etroPlex region, the City of Fort Worth, the City government, the new City Auditor position, major issues to be faced, the position and the selection criteria established. B. IdenW Qualffied Can dlda es We will first review our database to find those candidates whom we may already know and/or already have on file who may meet your specifications. Although the above process is valuable, we will rely most heavily on our own contacts in related fields and on our own n experience. In other words,through networking, we will conduct a professional search for the best-qualified candidates and invite therm to apply for the position. In this effort,we utilize appropriate professional organizations.,our established contacts, and our knowledge of quality jurisdictions and their employees. We will prepare and place advertisements in professional publications. We will acknowledge a all resumes received and thoroughly screen all potential candidates. C. Evaluate Precfre Candidates Preliminary Screening and Progress Report Criteria for the preliminary screening will be contained in the approved recruitment profile. They may include such items as education, technical knowledge, experience, accomplishments, management style, personal traits,etc. screening of candidates against those criteria will be based on data contained in the resume and other data provided by the candidates and on our knowledge of the organizations in which they work. At this stager each must meet the minimum qualifications specified in the recruitment prole. We request that all candidates provide us,in writing,substantial information about their accomplishments and their management style and philosophy. This information is verified arid, at the City's option, may be further tested by having the finalists respond to a supplemental questionnaire and/or complete management and leadership style inventories. We interpret these instruments for the City as well. We will meet with the City Council to provide a progress report on a number of semifinalist candidates.These individuals will be top prospects who clearly meet the Cit s specifications for the position. With guidance from Prepared far the CITY of FORT WORTH, TEX4 by Slavin Management Consultants the city Council, we will narrow the semifinalist candidate group on the basis of refined criteria. During this meeting we will determine city's expectations relafive to intervie r questions that we will write as well as the candidate rating and scoring processes which will be included in our final report. D. SelegLon and EmploVmen t !n-depth Screening and Final Report At this point:we will interview those semifinalist candidates whom the City has the greatest interest in. Proper "fit"is as important as technical ability. vie assess both. In order to better assess candidates'management style and interpersonal characteristics,we personally interview each in his or her present work environment. We will closely examine each candidate's experience,qualifications, achievements, management style and interpersonal skills in view of the selection criteria and our professional expertise in evaluating the quality of such qualifications, skills and achievements. We conduct in-depth background checks on those individuals who continue to demonstrate their overall suitability for the position.i ncluded are detailed and a ctensive reference checks which cover a minimum period of tern years- In conducting these, it is our practice to speak directly to individuals who are now or have been in positions to evaluate the candidate's job performance. We ask each candidate to provide us with a lame number of references. We then network these references to other persons who know the candidate. In this way, we thoroughly evaluate each candidate. These references and evaluations are combined to provide frank and objective appraisals of the top candidates. As part of our evaluation process we conduct credit checks and verify undergraduate and graduate college degrees.We also conduct criminal history,civil court records and driving record checks. AttheCiysoption, we can arrange for assessment centers and/or psychological or similar testing of the candidates. These optional items will result in extra cost. We wili then meet with the Mayor and City council to present a group of well-qualified finalist candidates for interviews in Fort Worth. These final candidates will not be ranked because, at this point, they will all be qualified and it will then be a matter of chemistry that should produce the final selection decision. Our final report will be presented in a meeting with the Mayor and City Council. This written report is a comprehensive document. It contains our candidate recommendations, details about the search, interview Ups, interview questions, candidate evaluation forms and information about legal ors. illegal inquiries. The report also includes the candidate interview schedule as well as our recommendations relative to timing, sequencing, location, setting, format, and conduct of interviews. The report contains comprehensive information about each recommended candidate. This includes educational and experience information, an evaluation of the candidate's a perience relative to the criteria established by the City,a su mmary of reference comments and a statement of accomplishments and management style prepared by the candidate. Present compensation is also provided for each recommended candidate. We will provide information about treads in employment, employment contracts and agreements, relocation expenses,perquisites,appropriate roles for spouses,receptions,etc. We arrange schedules for top candidate interviews with the City and we will coordinate the entire process. We will properly handle any and all media relations. Unless otherwise directed, it is our standard practice to tell all",media that we are working on behalf of the City of t=ort forth and that any public statement should come from the City directly. Under no conditions will we release information to the media unless specifically directed by the City to do so. W e will notffy all unsuccessful candidates of the final decision reached. Finally, will continue to work for the City until a suitable candidate is recruited and hired by the City.
